What Wanbury does — in plain English

Wanbury makes the active ingredients (APIs) that generic drug companies press into tablets. Its two big molecules are metformin (the first-line type-2 diabetes drug; Wanbury claims ~11% of a ~75,000 MT global market and calls itself India's largest maker) and sertraline (a generic Zoloft antidepressant; ~30% of a ~680 MT global market and ~75% of Brazil). It also sells tramadol (~11% global share), paroxetine, mefenamic acid, diphenhydramine and, since 30-Jan-2026, a high-potency anaesthetic API (probably ketamine [Est.]). About 80% of API sales are exports to the EU, Brazil, US, Korea and Australia from two USFDA-inspected plants. A small (₹77 Cr) domestic branded-formulations arm, descended from Wander Ltd (ex-Sandoz), sells acute brands such as Coriminic through a 300+ rep field force with fully outsourced manufacturing. The company emerged from a decade of CDR, ARC assignments and lender settlements (peak obligations ~₹700 Cr) only in FY24. Guaifenesin is not a Wanbury product.

Analyst Notes

The lead analyst's read before the data. First-person, opinionated, and labelled [Analyst View] throughout unless a number is tagged otherwise.

1. The turnaround happened — at the gross-margin line. Between FY23 and FY26 revenue rose only 9.2% a year (₹499.7 Cr → ₹650.3 Cr), but gross margin went from 39.4% to 57.5% and operating EBITDA from ₹23.2 Cr (4.6%) to ₹106.8 Cr (16.4%). That came from yields, methanol and condensate recovery, auction-based procurement, E&Y process benchmarking and "stable pricing of raw materials" — not from volume. Employee cost (+17.8%) and other expenses (+16%) both grew faster than revenue in FY26. The FY26 margin was therefore a cost-and-chemistry story, and Q1 FY27 just showed how quickly that can reverse when solvents and crude-linked inputs spike. [Analyst View]

2. Q1 FY27 broke the trend, and "transitory" is only partly true. Revenue was flat at ₹165.6 Cr, EBITDA ₹16.2 Cr (9.8%), PAT ₹3.24 Cr (−76%). Management blamed an "unprecedented increase in input costs" (solvent/crude-linked, not yet passed through), West Asia export logistics delays and expansion hiring, and promised full pass-through and recovery from Q2. Part of this is genuinely a lag. But the new Labour Code wage definition is permanent, employee cost was already running ahead of sales, and this is the second consecutive quarter blamed on West Asia. Quarterly revenue has sat in a ₹160–166 Cr band for five quarters. Q2 FY27 (due by ~14-Nov) is the credibility test. [Analyst View]

3. Reported earnings flatter the picture; cash flow does not support it. FY26 PAT of ₹66.1 Cr includes a ₹6.33 Cr net tax credit (₹6.98 Cr deferred-tax remeasurement on the move to the new regime); at a normal 25.17% tax it is ~₹47 Cr [Est.]. Over FY24–26 the company booked ₹127 Cr of PAT but only ₹62 Cr of operating cash flow (49%); FCF was negative every year (FY26 −₹27.5 Cr), and gross debt doubled from ₹109 Cr to ₹215 Cr. The cash conversion cycle swung from −96 to +6 days as stressed-era supplier credit unwound and ~63% of receivables went past due. I do not think this is an accruals-fraud pattern — it is a working-capital normalisation — but it means the equity has not yet been self-funding. [Analyst View]

4. The balance sheet is genuinely being repaired. Cost of debt went ~21–22.5% (Neo AIF) → 12.5% (EICOF II NCDs, Mar-2025) → <10% (Axis Finance / Poonawalla Fincorp, Jul-2026). Infomerics upgraded the bank facility roughly seven notches to IVR BBB-/Stable in March 2026, and the NCD trustee's pledge on promoter shares was released in July. Interest savings of ~₹5–6 Cr a year are real. Against that: the Dec-2025 Issuer-Not-Cooperating episode, an AR that says there is "no credit rating programme", a ₹180 Cr vs ₹205 Cr redemption discrepancy, and an unknown residual pledge show that disclosure discipline has not caught up with the refinancing. [Analyst View]

5. Governance is the real discount, and it is deserved. Effective control sits with WTD Mohan Kumar Rayana (87.5% of the two companies that own Expert Chemicals), not with "the K. Chandran group" (Chandran's look-through is ~3.4%); the owner of Kingsbury Investments Inc is undisclosed. History: a ~€50 mn Cantabria acquisition that ended in CDR, ~20% lender recoveries, ~₹181.7 Cr of overseas/related-party balances finally written off in FY26 (more than the entire FY26 net worth), up to ₹60.7 Cr of interest-free advances to KMP-controlled Bravo Healthcare, and LODR fines in 7 of 8 quarters that the CG report then denies. Since profits returned, WTD pay went from nil to ₹2.81 Cr with ceilings of ₹4–5 Cr each, and promoter warrants converted at ₹120 when the stock was ~₹255. This is a promoter group that has historically put itself ahead of creditors and minorities. [Analyst View]

6. The binary: Tanuku. The 6-observation Form 483 lands on the multi-purpose site that makes ~70% of revenue, all the sertraline/paroxetine for US ANDAs, the anaesthetic and the FY27 capex block. The nature of the observations is undisclosed. A VAI closure would remove the overhang; an OAI/Warning Letter would hit US-linked volumes and new-molecule approvals at the same time. The clean Patalganga record (zero 483 in 2024, zero MFDS observations in Apr-2026) does not protect Tanuku. [Analyst View]

7. What the market is pricing. At ₹191 (~₹667 Cr), the stock trades at 11.9x reported / ~16.4x normalised TTM earnings and ~9.0x TTM EV/EBITDA versus a listed API peer range of ~14–23x EV/EBITDA. It is below its own 3-year average on reported P/E (~17.7x) and EV/EBITDA (~10.0x), roughly in line on normalised P/E. In my view the price already discounts a margin that settles ~13–15% and a routine 483; it does not discount an OAI outcome or crystallisation of the ₹122.35 Cr of contingent liabilities (₹91.5 Cr disputed, 63% of net worth). There is no institutional sponsor (FII 0.89%, DII 0.06%, no broker coverage), so price discovery is retail and momentum-driven. [Analyst View]

8. My stance. Neutral. This is a real niche franchise (sertraline ~30% global, 75% Brazil; 70 DMF/CEP filings) with a repaired cost of capital, wrapped in weak governance and a single-site regulatory binary. I would not underwrite it until (a) Q2 FY27 margins recover above ~14% with visible interest savings, (b) the Tanuku 483 closes VAI, and (c) the Sep-2026 shareholding pattern confirms the residual pledge. If all three land, the discount to peers looks too wide; if Tanuku goes OAI, the stock is not cheap. [Analyst View]

Segment Analysis

Wanbury reports one Ind AS 108 segment ("Pharmaceutical and related products"). API vs formulations revenue appears only in MD&A and investor decks; segment EBITDA has never been disclosed. Geography is audited (Notes 47/59).

API (Active Pharmaceutical Ingredients)

What: metformin (incl. DC), sertraline, tramadol, paroxetine, mefenamic acid, DPH HCl/citrate, anaesthetic. Customers: generic formulators in regulated markets (Teva, Mylan/Viatris, Apotex named by a third party, unconfirmed); Brazil generics; EU/Korea/Australia makers. FY26: ₹574 Cr (+8.3%), ~88% of revenue, ~80% exported, "50%+ gross contribution margin" (IP). Effectively all group EBITDA comes from API [Est.].

Domestic Branded Formulations

What: acute brands (Coriminic, C-RED, Zeva, Gemron, Rabiplus-D, Nitrofur SR …), 100% outsourced manufacture. Customers: 30,000+ Indian doctors via 17 C&F agents → 1,800+ distributors → chemists. FY26: ₹76.93 Cr (~12%); broke even H1 FY26, EBITDA-positive Q2–Q3 FY26. New: Wanbury Skin Health Ltd (berrysoft™ baby care, Oct-2026).

Management's explanation (11-Aug-2026 release)"Q1 FY27 was a quarter marked by an unprecedented increase in input costs… We view these pressures as transitory and specific to the input cost environment prevailing during the period." Drivers cited: solvent and crude-linked input inflation not yet passed through, higher employee costs from expansion hiring, and West Asia logistics delays to API dispatches. Expects full pass-through and margin recovery from Q2 FY27; new Tanuku block "being validated and commercialised". [Third-party: Equitybulls/ScanX quoting company release] Univest cites a gross-profit fall from ₹20 Cr to ₹12 Cr (definition unverified). Additional candidates not addressed by management: metformin realisation, anaesthetic ramp-up cost, formulations field-force build, FX. [Analyst View] The labour-code wage definition and +17.8% FY26 employee-cost growth mean part of the squeeze is structural.

Do not call this "the K. Chandran group" without qualificationPer the FY26 AGM notice (Reg 36 table), WTD Mohan Kumar Rayana is the effective controller. Chandran — founder, Chairman and WTD — has only ~3.4% look-through. Disclosure inconsistency: the FY25 AGM notice said Chandran held no shares "including as beneficial owner" and was a director of no other entity; the FY26 notice discloses his 9.90% in Akkadian and Gunbow. Rayana is a director of Akkadian and Gunbow only. Aggregators (Emkay/heard) still label Expert Chemicals as "K. Chandran group". [Fact]

Promoter / director profiles

Mohan Kumar Rayana — Promoter & Whole-time Director

  • Age 68; DIN 07878975; B.Pharm, University of Mumbai.
  • Board from 11-Jul-2023; WTD from EGM 21-Aug-2023 (to 20-Aug-2026). 5-year re-appointment to 20-Aug-2031 (beyond age 70) approved by board 11-Aug-2026 (the day Q1 PAT fell 76%) and put as special resolution to the 24-Sep-2026 AGM — vote outcome not verified.
  • Self-description: "business and management advisor with more than 25 years in Wanbury in advisory role… fund raising and debt settlement" — in effect the controller behind Expert Chemicals through CDR/ARC/OTS years [Est.].
  • Pay: FY25 nil; FY26 ₹1.61 Cr (₹1.50 Cr + ₹11.1 L perqs; 30x median). New package: ₹3.00 Cr fixed (+≤20%/yr) + up to 4% of s.198 net profit + perqs up to 2x fixed; cap ₹5 Cr p.a. — yet the resolution also permits pay "notwithstanding that [it] may exceed ₹5 crore or 2.5% of net profits" (Reg 17(6)(e)); payable as minimum remuneration if profits inadequate.
  • Committees: RMC; added to Audit Committee and SRC on 5-Feb-2026 (Audit Committee at the two-thirds-independent floor, 4 of 6). RMC chair status unverified (garbled tables).
  • Daughter Anisha Rayana (B.A., Loyola Marymount) "Management Trainee" since 10-Oct-2024; pay capped ₹60 L FY26, up to ₹1 Cr p.a. later without further approval (ratified 2025 AGM).
  • No independent biography (LinkedIn/press) found.

K. Chandran (Chandran Krishnamoorthy) — Chairman & WTD

  • Age 69; DIN 00005868; "Graduate". Associated since 1990; founder-promoter.
  • First appointment inconsistent: 18-Dec-1990 (CS certificate, FY25 AR) vs 23-Jan-2001 (FY26 Reg 36 table).
  • Re-appointed WTD 18-Sep-2025 to 17-Sep-2030 (beyond 70); retires by rotation at 2026 AGM.
  • Pay: FY24–25 nil; FY26 ₹1.20 Cr (24x median). Approved: ₹2.40 Cr fixed + 4% profit + perqs up to 2x; cap ₹4 Cr.
  • Personal guarantee to WC lenders (Note 28.1).
  • Committees: Audit (member), SRC, RMC; chairs Day-to-Day Affairs. Garbled tables could show him chairing Audit (to 3-Aug-2025) and SRC (to 4-Feb-2026) — likely an artefact; FY25 AR lists Dr Vaidya as chair. Reg 18 requires an independent Audit chair.
  • Track record: built Tarapur (1992), Patalganga (1995), Tanuku; PPIL (BIFR) and Doctors Organic (2007); led the €50 mn Cantabria purchase that ended in CDR/ARC/write-off — a decade of value destruction, then an API-led recovery since FY22 [Est.].

Resolving eventSep-2026 shareholding pattern (~21-Oct-2026) and SAST Reg 31 disclosures

Interpretation [Est.]: most of the promoter stake (60–87%) was encumbered to support the company's own borrowings, not promoter-level debt. The Jun/Jul-2026 releases and the NBFC refinance may have reset it. ScanX's "acquirer is not part of the promoter group" refers to the pledgee (Catalyst) filing as acquirer.

Supply Chain

Upstream dependencies and downstream customers. Wanbury names no suppliers and no top-5/top-10 customer shares; where the company is silent, route chemistry and filings are used and tagged [Est.].

↑ Upstream — What Wanbury Depends On

AspectEvidence
Cost structureMaterials consumed ₹272.90 Cr (42.0% of revenue) vs ₹277.88 Cr FY25 and ₹290.18 Cr FY24; traded purchases ₹16.62 Cr; power & fuel ≈ ₹28.6 Cr vs ₹24.2 Cr [Fact, Notes 36/41]
Key inputsMetformin: dimethylamine HCl + DCDA, methanol. Sertraline: tetralone + methylamine, mandelic acid. Tramadol: cyclohexanone Mannich base + 3-bromoanisole. Paroxetine: piperidine intermediates + sesamol. DPH: benzhydrol + dimethylaminoethanol. Mefenamic: 2-chlorobenzoic acid + 2,3-dimethylaniline. Bulk solvents (methanol, toluene, IPA, acetone), agro-waste briquettes, power [Est.]
Import dependenceCIF RM imports ₹74.42 Cr FY26 (~27% of materials) vs ₹87.17 Cr (~31%) FY25; imported capital goods ₹0.56 Cr. ₹30.83 Cr contingent customs duty on advance-licence imports pending export obligation — duty-free imported inputs are structurally built into export production [Fact]
Country dependenceNot disclosed. China dependence for KSMs/intermediates probable (DCDA, sertraline tetralone) [Est.]. Wanbury ran a China sourcing arm (Ningxia Wanbury, with Bravo Healthcare) 2008–2025. India's API raw-material imports ~66% from China by volume (2016-17). Management cites "China +1" and natural hedging via imported RMs. FX payables FY26: USD ₹17.8 Cr, EUR ₹6.3 Cr
Named suppliersNone disclosed. Related-party supplier: Wanbury Infotech (IT, ₹3.67 Cr). E&Y (process), Deloitte (SAP), BDO/EY (internal audit) are service providers
Supplier concentration / single-source riskNot disclosed. Mitigants: "long-term contracts with material suppliers", longer KSM contracts, auction-based sourcing, new paroxetine KSM vendors (2026). DMF/CEP filings lock in KSM sources — a vendor change needs a regulatory variation → de facto single-source risk per molecule [Est.]
Payables behaviourTrade payables ₹107.2 Cr vs ₹138.5 Cr; payables turnover 1.97x → 2.36x — suppliers paid faster as liquidity improves (creditor days 196 → 142 since FY24)
Input-cost pass-throughPartial and lagged. FY26 benefited from "stable pricing of raw materials" + yields (GM 51% → 57.5%). Q1 FY27 GM fell to 52.5%; management "could not pass on" inflation within the quarter, expects full pass-through in Q2. Typical API contracts reprice quarterly/half-yearly [Est.]. Metformin cost floor = DMA + DCDA, both firmed in 2026 on Middle-East and agricultural supply disruption
Backward integrationSelective: sertraline backward integration is an "immediate R&D focus"; tramadol isomer recovery. No KSM plant announced. PLI-funded Indian DCDA capacity could reduce China reliance (Wanbury not a PLI beneficiary)
Energy / utilitiesTanuku briquettes + 33 kV HT line; 1.5 MW Satara solar for Patalganga (planned); crude-linked solvent prices were the Q1 FY27 shock

↓ Downstream — Who Depends On Wanbury

AspectEvidence
API customersGeneric formulators in regulated markets — "several of the world's leading generic pharmaceutical companies" [Fact]. Teva, Mylan (Viatris) and Apotex named by Intelsense [Third-party; unconfirmed]. Unnamed: European anaesthetic customer; "one of the largest customer[s]" approving special metformin DC grade (~₹15 Cr/yr). Historic: Wyckoff Chemicals US alliance (1996)
Formulations customers30,000+ Indian doctors (GPs, paediatricians, gynaecologists, orthopaedists) → 17 C&F → 1,800+ distributors → chemists
Customer concentrationNo single customer ≥10% of revenue (Note 47C) [Fact]; top-5/top-10 not disclosed; "no concentration of credit risk… customer base widely distributed"; receivables "mainly from manufacturers" on 7–90-day credit
Market concentrationBrazil ₹90.7 Cr (~14%), mostly sertraline (75% local share) — the single point of failure; molecule concentration (metformin + sertraline + tramadol ~90%+ of API) matters more than customer concentration
Receivables₹143.3 Cr (≈80 days) vs ₹114.2 Cr; turnover 5.91x → 5.05x; ~63% past due; export receivables factored (₹6.3 Cr)
Contract tenorsNot disclosed. "Strong order book… with existing and new customers" (AR26). Customer advances negligible (₹0.01 Cr) → PO-based / annual supply agreements, not prepaid long-term contracts [Est.]
Design-win stickinessHigh [Est.]: once a generic ANDA/MA/CADIFA references Wanbury's DMF/CEP, switching needs a prior-approval supplement/variation, re-validation and stability data — typically 12–24 months (customer qualification cycles 2–4 years). Evidence: 75% Brazil sertraline; ~30% global sertraline; multiple US ANDAs referencing Wanbury metformin DMF confirmed without deficiency (Jul-2026)

Where pricing power sits

NodePricing powerWhy
Metformin (Wanbury)Lowest~75,000 MT commodity, many Indian and Chinese producers; China ~US$7.2/kg vs India ~US$10.7/kg (Q2-26); ~11% share gives scale and management claims it can "influence prices", but large consolidated buyers have procurement leverage. Margin = yield, solvent recovery, DC premium
Sertraline & niche molecules (Wanbury)Higher~30% global, 75% Brazil; small-volume niche (tramadol, anaesthetic, rivaroxaban, quetiapine) + regulatory switching costs. Capped by US generic deflation and Brazilian price controls squeezing customers
Downstream generic majors, US PBMs, wholesalersMostVolume buyers on annual contracts; dual-sourcing
Chinese KSM producersWhen tightWanbury is a price-taker on inputs — Q1 FY27 lag proved it
Domestic formulationsLimitedAcute, OTC-adjacent portfolio; NPPA/DPCO (₹1.91 Cr disputed demand); DCGI FDC ban forced Coriminic reformulation
Bottom line on the supply chainWanbury sits in the middle of the chain with modest power on both sides: a price-taker on crude/China-linked inputs and a partial price-setter only in sertraline. Its real protection is regulatory stickiness — DMF references in customers' dossiers — which is exactly what a Tanuku OAI outcome would threaten. [Analyst View]

Sanity check on the metformin share claim [Est.]11% × 75,000 MT ≈ 8,250 MT. At the Q1-2026 India metformin price of ~US$10.1/kg (Expert Market Research) that is ~US$83m ≈ ₹700 Cr — more than Wanbury's entire FY26 API revenue of ₹574 Cr, which also includes sertraline, tramadol and others. So either the share is overstated, realisations sit well below tracked prices (low-price EM mix), or the 75,000 MT base is understated. Diligence: ask for metformin MT volumes and realisation per kg. ValuePickr history (2012–19) cites 8,500–9,000 MT capacity and ~12.5–25% share in supplier tables.

Strengths and weaknesses vs each peer [Est.]

PeerWanbury strengthsWanbury weaknesses
Aarti DrugsHigher EBITDA margin (16.4% vs 12.2%); sertraline niche (~30% global) Aarti lacks; lower valuation; higher regulated-market mix~1/4 the revenue, ~1/10 the equity; Aarti more backward-integrated with deeper metformin cost economics; clean credit history vs Wanbury's CDR/settlement past (Wanbury now rated IVR BBB-/Stable, but only since Mar-2026 after an INC period)
Granules IndiaCheaper (9x vs ~20x EV/EBITDA); pure merchant seller — doesn't compete with its customers; sertraline and anaesthetic nicheGranules integrated API→PFI→FDF with US front end, ~8x scale, ~20% growth; can price metformin to fill own plants — sets a ceiling on merchant prices
IOL ChemicalsHigher margin (16.4% vs 11.6%); more regulated/niche exposure; far cheaperIOL net-debt-light (debt 135 vs equity 1,799); captive acetyls; 3.5x revenue; Wanbury interest ~4.6% of sales
Supriya LifescienceOverlap in DPH and anaesthetics but far cheaper; domestic-formulations optionalitySupriya ~36% margin, net cash, ~19% growth — the better-executed niche-share model; Wanbury's anaesthetic enters Supriya's home turf

H2-2026 global forecast US$9.72–10.68/kg ("moderately firm"). Indian metformin carries a ~US$3–3.5/kg (~45–50%) premium over Chinese [Est.] — durable only while buyers value USFDA/EDQM status, nitrosamine control and supply security. Named producers (unverified lists): USV (India, private), Wanbury, Aarti Drugs, Granules, IOL; China: Shouguang Fukang, Keyuan, Shandong Lukang. NDMA barrier: Dec-2019 FDA flagged NDMA in non-US metformin; May–Jul 2020 ER recalls (Amneal, Actavis, Apotex, Lupin, Marksans, Bayshore); Sep-2024 revised FDA nitrosamine guidance — a quality moat for validated producers and a recurring cost/recall risk.

Key industry trends [Est.]

  1. China+1 de-risking supports Indian regulated-grade APIs — Wanbury's USFDA, EDQM, ANVISA, KFDA, TGA, WHO-GMP filings (64 approved + 6 under review) are a real asset.
  2. Nitrosamine/genotoxic-impurity tightening raises the bar but can trigger recalls.
  3. Consolidation of API supply into ICH Q7-qualified plants (IndexBox).
  4. Chinese surplus capacity pressures commodity molecules such as metformin.
  5. Domestic tightening: FDC bans, paediatric cold-combination restrictions, Revised Schedule M, UCPMP, cough-syrup scrutiny.
  6. Indian mid-caps moving to higher-value APIs (anaesthetics, DPP-4, anticoagulants) — sitagliptin and rivaroxaban already crowded with dozens of Indian DMF filers.

Concall Highlights & Guidance

Coverage window Oct-2024 to Oct-2026. No earnings-call transcripts were found and none are reproduced or invented. This tab is built from company releases, the Nov-2025 investor deck, the FY26 AR and AGM notice, and exchange filings.

Disclosure caveatScreener lists four "concall" entries carrying PPTs (Nov-2025 ×2, Feb-2026, "Jul-2026") whose "Transcript" and "AI summary" labels have no links. Reg 30 intimations found cover plant visits and group meets only; no earnings-call intimation was found. The "Jul-2026" entry predates the 11-Aug-2026 Q1 results, so it is likely a deck. Whether earnings calls were held is unconfirmed. BSE returned HTTP 403 and PDFs could not be parsed. Analyst Q&A is therefore substituted with document-derived questions (below).

Street bull variantThe −47% sell-off priced in a one-quarter margin dip and a routine 483; interest savings on ~₹180–205 Cr at ~2.5–3pp ≈ ₹5 Cr+ a year; specialty/anaesthetic APIs and new DMFs (Korea, South Africa, Philippines, Singapore) re-rate the mix; ~14–16x trailing P/E vs a sector in the 30s is cheap if Q2 normalises and the 483 closes VAI.
Street bear variantQ1 shows FY26 profit was not durable; thin equity leaves little margin of safety; the 483 at the key metformin/sertraline site could escalate; the 30-Sep high-delivery crash with "no catalyst" hints at informed selling; post-refinance pledge unconfirmed; a no-dividend, concentrated, previously pledged company deserves a discount.

Sentiment shift: Apr → mid-Jul 2026 euphoria (deleveraging news, record FY26, breakout narratives, ₹360 high, retail count rising again) → late-Jul → Oct capitulation (483 on 22-Jul, Q1 miss 11-Aug, quant downgrades, −8.9% on 30-Sep, death cross 5-Oct; −36% over 3 months). AI targets now converge at CMP and no human broker defends the stock. Recurring debates: deleveraging vs leverage; FY26 vs Q1 FY27; regulatory record vs 483; valuation (P/E vs sector) vs governance discount; mix shift vs commodity pressure. [Est.]

Final Verdict

Analyst synthesis across all inputs. [Analyst View]

Business Quality
Medium
Real niche (sertraline ~30% global / 75% Brazil; 70 DMF/CEPs) but commodity metformin, ~90% three-molecule concentration, one site = ~70% of revenue.
Management Quality
Weak
Opaque control (Rayana via holdcos), ₹181.7 Cr legacy write-off, Bravo advances, cheap warrants, pay step-up, repeated LODR breaches and disclosure conflicts. Balance-sheet execution is the credit.
Financial Quality
Medium
Margins and cost of debt transformed; but OCF 49% of PAT, FCF negative 3 years, debt doubled, ₹122.35 Cr contingents, Q1 FY27 9.8% OPM.
Valuation
Fair
~9.0x TTM EV/EBITDA, 11.9x / ~16.4x P/E — cheap vs peers (14–23x), roughly fair after risk adjustment.
Overall View
Neutral
Wait for Q2 FY27 margins, Tanuku classification and the Sep-26 pledge disclosure.

Bull case — 3 reasons

  1. Cost of capital reset. 21–22.5% → 12.5% → <10% debt, BBB-/Stable rating and NCD-trustee pledge release remove the distress discount; ~₹5–6 Cr p.a. interest saving.
  2. Sticky niche franchise. Sertraline ~30% global / 75% Brazil, deficiency-free metformin DMF across multiple ANDAs, Rivaroxaban CEP, anaesthetic launched — mix can shift toward higher-margin APIs.
  3. Cheap vs peers. ~9x EV/EBITDA vs 14–23x; if Q2 margins recover and the 483 closes VAI, a re-rating toward ~11x implies ~₹300+.

Bear case — 3 reasons

  1. Single-site regulatory binary. Tanuku (~70% of revenue) has a 6-observation 483; OAI would hit US supply and pipeline approvals at once.
  2. Earnings not proven durable or cash-backed. FY26 margin was a one-time cost step-up; Q1 FY27 halved it; PAT flattered by tax credits; FCF negative 3 years; receivables 63% past due.
  3. Governance and contingents. Opaque control, history of value leakage, unknown pledge, ₹122.35 Cr contingent liabilities (85% of NW) unprovided.
Base case (12–18 months)Q2/Q3 FY27 margins recover partially to ~13–15% as input costs pass through and interest falls; revenue grows mid-single digits as the anaesthetic and new block ramp slowly (₹100 Cr anaesthetic target missed); Tanuku closes without an import alert but with lingering uncertainty; tax disputes stay in appeal. The stock trades around 8.5–9.5x EV/EBITDA — roughly ₹170–210 — with no institutional sponsor. Consolidated reporting returns with Wanbury Skin Health Ltd.

5 things to remember

  1. FY26: revenue ₹650.3 Cr, EBITDA ₹106.8 Cr (16.4%; ₹107.7 Cr / 16.6% incl. OI), PAT ₹66.1 Cr reported / ~₹47 Cr normalised.
  2. Q1 FY27: EBITDA 9.8%, PAT ₹3.24 Cr (−76%) — management blames solvent/crude inflation and West Asia logistics; recovery promised from Q2.
  3. Tanuku (~70% of revenue): USFDA 483 with 6 observations, classification pending.
  4. Debt ₹215 Cr at Mar-26, refinanced ~₹205 Cr at <10% (Axis Finance / Poonawalla); ₹180 vs ₹205 Cr redemption unresolved; rating IVR BBB-/Stable.
  5. Control sits with Rayana (~30.1% look-through), not "the Chandran group" (~3.4%); pledge status unknown until the Sep-26 SHP.

5 questions to ask before investing

  1. What exactly are the six Tanuku observations, and has the EIR/VAI been received?
  2. Did Q2 FY27 margins recover above ~14%, and what was the one-off NCD prepayment cost?
  3. What is the true residual promoter pledge after the NBFC refinance, and who owns Kingsbury and the 18% of Wanbury Skin Health?
  4. Why are 63% of receivables past due, and when will OCF converge with PAT?
  5. What is the basis and appeal status of the ₹61 Cr income-tax and GST demands?
Wanbury is a genuine API niche whose balance sheet has finally been repaired, but its earnings power is unproven after Q1 FY27, its core site faces a USFDA binary and its promoter record warrants a governance discount. At ~₹191 the stock is cheap on multiples yet only fairly priced for its risks — Neutral; revisit after Q2 FY27, the Tanuku classification and the Sep-2026 pledge disclosure.
