Analyst Notes
[Analyst View] Aamara Capital, 21 Oct 2026. Pre-results: Q2 FY27 board meeting 26 Oct 2026, call 27 Oct 2026.
What happened. LEAP India listed in the second week of August 2026 (13 or 14 Aug, the sources differ) after a Rs 2,480 cr IPO at Rs 159 in which Rs 2,000 cr, or 81% of the money, was KKR selling and only Rs 480 cr was fresh capital. It opened at Rs 165.80, closed day one at Rs 144.93, ran to Rs 172.29 on the Q1 FY27 print on 31 Aug (revenue +19.1%, PAT +30.3%, EBITDA margin 53.5% on the company basis incl. other income; 51.2% per Ind-Ra) and has since slid to Rs 129.35, 18.7% below issue and at or near its 52-week low (Rs 127 per Screener; Rs 128.55 per Chittorgarh data to 19 Oct). The stock fell 5.0% on the day after a 30% profit rise, which is the market telling us the operating print was not the debate. Underneath, ownership has turned over fast: total shareholders fell from 5,98,600 to 1,53,842 (-74%) and resident retail holders below Rs 2 lakh from 5.98 lakh to 1.46 lakh in seven weeks, while foreign portfolio investors went from 10.5% to 19.3%, led by Smallcap World Fund (Capital Group) at 5.77%.
What the market is pricing. At Rs 129 the stock trades on about 83x trailing earnings and about 16x EV/EBITDA [Est.], for a business whose EBIT return on capital is 8-9% against borrowing costs of 7.25-9.65% on term loans and 9.50% on the NCDs. The only way that works is the thesis management and UBS (Buy, target Rs 175, ROCE 8.4% rising to 14.7% and EBITDA margin 49.5% to 53.8% by FY31, a secondary media report [Est.]) are selling: movement hire turns India's pallets from a static rental into a per-move toll road, yield per pallet rises from about Rs 562 a year, and returns converge towards CHEP's. The early evidence is only partly there. Yield rose 6% (Re 1.45 to Re 1.54 a day) but movement-hire volume grew 8% (766k vs 711k) against revenue growth of 19%, and the FY27 target of 3.7 mn movements is behind a Q1 run-rate that annualises to about 3.1 mn [Est.].
Headline numbers that do not survive adjustment. Several figures in the IPO narrative are flattering on their face. FY26 revenue growth of 56.4% is mostly CHEP India consolidation (acquired 8 Jan 2025 for Rs 1,004 cr); India Ratings computes 16.5% pro forma, against the CEO's 24-25% "organic" to Reuters, which I cannot reproduce from any filing. "ROCE 19%" is EBITDA over capital employed before the 28% of revenue charged as depreciation; EBIT ROCE is about 9.3% on my calculation, 8% for Ind-Ra, 8.34% on Screener. Q1 EBITDA margin of 53.5% includes Rs 10 cr of other income; Ind-Ra's 51.2% excludes it. And Screener's EPS of Rs 22.15 and P/E of 97.7 sit on the wrong share base (filings: EPS Rs 1.52). None of this says the business is poor; it says the starting multiple is being set off the wrong numerators.
The governance question I cannot close: Plenova. Plenova Supply Chain Pvt Ltd is a promoter-group company incorporated on 25 Jan 2025 and LEAP's only Group Company. In FY26, its first period, LEAP bought Rs 111.3 cr from it (Rs 94.5 cr of fixed assets, Rs 8.96 cr repairs, Rs 7.62 cr stock-in-trade, Rs 0.17 cr rent), which is about 97.5% of Plenova's Rs 114.2 cr sales and about 24% of LEAP's FY26 gross capex cash outflow [Est.]. Plenova earned a PBT of Rs 4.49 cr on paid-up capital of Rs 0.10 cr and is LEAP's single material creditor. The unnamed "Supplier 1" in the Prospectus (Rs 111.28 cr, 15.16% of purchases) matches that figure within Rs 0.006 cr, and Moneycontrol made the same match; that link is my estimate and the company has not confirmed it. The Prospectus says the Group Company is not interested in the supply of machinery while Note 40 shows Rs 94.54 cr of PP&E bought from it, and the Chief Growth Officer opened the 1 Sep call by calling the transactions arm's length and audited. Plenova's owners are Not Available. Until pricing is benchmarked and the owners are disclosed, this is the single item most likely to change a governance verdict, and the FY27 run-rate (and the SEBI LODR related-party approval thresholds) is what to read in Q2.
Supply, leverage and the exit pattern. KKR's vehicle Vertical went from 80.58% to 35.11% in 25 months, selling Rs 1,998.62 cr in the OFS and a further 2.34 cr shares (Rs 371.3 cr) at exactly Rs 159 on 3-4 Aug 2026, one to two days before price discovery was publicised, to Gamnat Pte (Rs 280 cr, ultimate owners not disclosed; one media headline calls it a GIC arm), Dymon Asia (Rs 50 cr) and the founder's vehicle Matyas (Rs 23 cr). Vertical's average cost is Rs 63.60 a share against Rs 159. The founder side is now levered to the stock: 5.12% of capital (4.52% by non-disposal undertaking by Sunu Mathew, 0.60% pledged by Matyas) secures unlisted NCDs held by Medley Pharmaceuticals, Bloomingdale Securities, India Credit Excellence Fund-I and Aditya Birla Capital, size and coupon undisclosed, on stock now 19% below the IPO price. The next supply events are the second anchor tranche on 9 Nov 2026, the pre-IPO capital on about 12 Feb 2027 [Est.] and promoter excess holdings about 12 Aug 2027 [Est.].
What tempers the caution. This is a real franchise. Pallet utilisation is 89.2%, 48 new customers signed in Q1 against a normal 18-20, 24 contracts renewed with escalators, yield rising 6%, top-10 customers down to 26.65% of revenue from 39.49% in FY24, and India Ratings upgraded the bank lines to IND A+/Stable on 14 Oct after Rs 360 cr of IPO money repaid debt (it expects debt/equity below 0.5x and net leverage below 2.25x). EBITDA is Rs 379 cr on Rs 729 cr of revenue and operating cash flow was Rs 268 cr. Foreign long-only money (Capital Group, Prudential, Habrok, Government of Singapore, MAS, Norway's GPFG) is buying into weakness. The problem is price, not quality of franchise: the quality is being capitalised at a multiple that assumes returns will double, and the cash that is generated is being consumed by capex (free cash flow negative in three of the last four years, -Rs 122 cr in FY26).
What would change the view on 26-27 Oct. (1) Revenue growth from operations at or above 20% year on year and EBITDA growth ahead of it, with margin inside the 47-56% band management cites; (2) DSO under about 109 days (119 in Q1, target 10-15 days off per quarter); (3) movement-hire pallets showing a step up towards 3.7 mn; (4) utilisation at 90-91% as promised; (5) any disclosure of Plenova volumes, owners or pricing basis, and the FY27 related-party run-rate; (6) GCC: a first customer or revenue after the go-live slipped from August to mid-September; (7) the Q2 treatment of working capital and capex, given Q1 asset spend of Rs 76 cr against Rs 110 cr a year ago; (8) the outcome of the complaint on the restated financials that the Prospectus mentions.
Where I land. A durable, sticky asset-rental franchise in a market with 17% palletisation (F&S, LEAP-commissioned), priced for a return expansion that has not started, with an unresolved promoter-family supplier and a supply calendar that runs into February 2027. Not a business to avoid, not a price to pay. The verdict in Tab 13 is a watching brief with explicit triggers, and the Q2 print and call on 26-27 Oct 2026 are the first of them.

Industry-data caveat
Nearly every market-structure number (90% share, 106 mn pallets, 9.4% penetration) comes from a July 2026 Frost & Sullivan (F&S) report, "Independent Market Research on Asset Pooling as a Service", that LEAP commissioned and paid for (engagement letter 23 Apr 2025, Prospectus p.143, p.42). The 90% share claim has no independent corroboration in the documents reviewed. [Fact]Which entity this is
LEAP India Limited, Mumbai (listed; NSE LEAPIND, BSE 544865). Screener search for "leap india" returns exactly one company (id 1286086) and the NSE feed returns LEAPIND filings. Not to be confused with: leapindia.com, which redirects to leapifl.com (an unrelated site, not researched); leapindia.in (a blank lander); or Leaap International Pvt Ltd (Chennai), a trademark plaintiff suing LEAP (Prospectus p.380). | Movement-hire volumes | 2.8-2.9 mn pallet movements FY26; Q1 FY27 766k vs 711k (+8%); FY27 target 3.7 mn; global benchmark about 4 turns a year vs 0.3-0.4 in India (claim); pool 9 mn pallets, moved 2.9 mn, target pool 9.5-9.6 mn and 3.7 mn moved | [Fact] Call p.9, p.23-24. Q1 annualises to about 3.1 mn so about 0.6 mn extra movements must come in Q2-Q4 [Est.] |

| Asset value (gross, deck p.6) | - | - | - | Rs 1,690 cr (Rs 16,900 mn) |
- Container count jumped from 1.94 to 5.26 mn in FY25 because of the CHEP India acquisition [Est.], consistent with Prospectus p.215. CHEP's 1.4 mn pallets and moulds were acquired.
- MHE count conflict: Prospectus FY26 4,743; deck Q1 4,532; CEO "1,440 forklifts in totality"; F&S counts TARON at 1,838 MHE units (Fig 8.3). Use 1,440-1,838 for forklift-equivalent scale. TARON added 174 machines in Q1 FY27.
- Utilisation targets: 90-91% "in a quarter to come", 92%+ in a couple of years; a 1.5-point rise equals 70-80k pallets not bought (CEO). Buffer of 800-900k ready pallets. Net pallet adds about 850k expected in FY27 (history 700k-1 mn); Q1 is normally negative (-100k) but was positive on the extended beverage season.
- Q1 FY27 asset deployment was Rs 76 cr vs Rs 110 cr a year ago (one call passage says Rs 25 cr less; perimeter unclear) because crates cost about 1.5-1.8x and the Gulf is on hold.

| Customers | 500+ | 900+ | 1,000+ | 1,000+ (900+ in Q1 FY26); CEO says about 1,100 |
- Leased network. All FCs are leased (9 months to 5 years); the registered / corporate and regional offices are leased (36-60 months); LEAP owns no manufacturing plant and buys pallets and crates from third parties. In 2017 the company cited "14 manufacturing centres and 22 warehouses over 450,000 sq ft"; manufacturing is now outsourced [Est.]. [Fact] Prospectus p.229, p.28.
- States. Prospectus text: Gujarat, Haryana, Jharkhand, Karnataka, Madhya Pradesh, Maharashtra, Odisha, Punjab, Tamil Nadu, Telangana, Uttar Pradesh, West Bengal; the Prospectus map also marks Uttarakhand and Andhra Pradesh (text vs map inconsistency). Q1 deck map labels (Rajpura, Gandhidham, Rudrapur, Guwahati, NCR, Siliguri, Lucknow, Kheda, Indore, Jamshedpur, Kolkata, Kanera, Nagpur, Bhubaneswar, Mumbai, Nashik, Hyderabad, Bhiwandi, Karjat, Pune, Bengaluru, Sri City, Chennai) mix head office, corporate offices and FCs; do not read every city as an FC.
- Consolidation. FCs cut from 33 to 29 (Mar-26) to remove overlaps after CHEP and to 28 at Jun-26; two more warehouses of about 250-300k sq ft each (stated as both 300k and 250k) targeted for closure in Q2-Q3 FY27; possible new 40,000-pallet pool near Silvassa for textile customers. [Fact] Call p.17.
- Rent. Rs 65.03 cr FY26 (9.76% of expenses) vs Rs 44.73 cr FY25 and Rs 30.62 cr FY24. [Fact] Prospectus p.37.
- People. 419 permanent employees and 2,062 MHE operators at 31 Mar 2026; contract labour Rs 27.89 cr (4.18% of expenses); attrition permanent 31.26%, MHE operators 56%, KMP 33%; about 579 professionals in the market-education / logistics-engineering team; trains 35-40k customer staff a year; "GEM" supervisors deployed at customer touchpoints; no union and no strikes since inception. [Fact] Prospectus p.24, p.217-220, p.228-229.
- Overseas. Saudi licence (MISA) and ADGM / Dubai entities in place; GCC go-live planned for "mid-September" after a delay from the Middle East conflict (originally August); five people hired; about 20 customer discussions; target 3 mn pallets in the Gulf in 4-5 years (Reuters) and Rs 150-200 cr revenue "three years down the line" (call); no further set-up money, only asset capex. As of 21 Oct there is no GCC revenue disclosure: Not Available. Management says the Gulf contributes only a "small fraction" of the 20%+ growth guide. [Fact] Call p.8, p.11, p.18; Reuters 7 Aug 2026.

USP and moat [Analyst View]
- Moat is network density (10,500 touchpoints, 28 FCs, sort-repair-condition capability) plus switching cost (re-palletising every node). Asset life and utilisation (89%) are the unit-economics levers.
- The 15-year accounting life against management's 40-55 year claim means reported ROCE (about 8%, Ind-Ra; 19% on the company's EBITDA-based definition) understates or overstates depending on whom you believe; both are narratives until checked against scrap and repair rates (4.74% of pallets repaired a year; 0.27% contaminated).
- Capital intensity is high: PP&E net Rs 1,480.7 cr at Mar-26 vs revenue Rs 729.5 cr; pallet additions consumed 43% of revenue in FY26.
- Mix shift: pallets 72% to 62% of revenue since FY24; containers (CHEP) and MHE (TARON) are lower EBITDA but higher ROCE per the CEO; automotive up and F&B down lowers beverage seasonality but adds auto and crate-cost cycles.

Fastest grower, laggard and why [Analyst View]
| Line | Read | Evidence |
|---|---|---|
| Containers: fastest in FY26 (+151.4%) | Acquisition effect, not organic | CHEP India consolidated from 8 Jan 2025; container assets 1.94 mn (Mar-24) to 5.26 mn (Mar-25); Q1 FY27 organic-like growth only +13% as crate cost rose from about Rs 650 to Rs 1,000-1,200 and LEAP slowed container capex |
| MHE: fastest in Q1 FY27 (+29%) | Small base, genuine growth | TARON added 174 machines, revenue +33% per call; Q1 MHE pooling revenue Rs 9.6 cr to Rs 11.6 cr a month; DSO at TARON 62-63 days |
| Pallets: core and slowing in mix | Still +18% in Q1 on price (+6% yield) and pool growth (+1.0 mn YoY) | Movement hire only +8% (766k vs 711k); extended summer / Adhik Maas lifted beverage and preform demand |
| Sale of products: +195.5% | Lumpy, low quality | Only sold to customers likely to return to pooling; Rs 35.18 cr FY26 vs Rs 11.91 cr |
| Pressure points | Textiles subdued by supply shortages and cost; GCC deployment on hold; crate cost spike; F&B and e-commerce share of revenue declining | Call p.5-16 |

Source: Prospectus p.225 [Fact]; change column is my arithmetic. Automotive more than doubled in two years because of CHEP India's auto container book (CEO: auto share 13.5-14% pre-CHEP, about 20% now, target 22-25%; the Prospectus basis shows 23.66% for FY26, so the CEO's "about 20%" uses a different basis). Growth: organic versus inorganic, volume versus price
FY26 +56% is largely an acquisition effect
CHEP India (acquired 8 Jan 2025, cash Rs 1,004.13 cr) contributed about three months in FY25 and a full year in FY26. India Ratings' pro forma (CHEP in both years) gives FY26 revenue growth of 16.5% and EBITDA margin 49.7% vs 50.6% in FY25. The CEO told Reuters organic growth was 24-25%; no filing reproduces that. Management guides "20%+" year-on-year growth, including a "small fraction" from the Gulf (call: "quarter-on-quarter 20%+", clarified as year-on-year); Ind-Ra expects organic growth above 15%. [Fact] Q1 FY27 reported growth of 19.1% (revenue) / 18.6% (total income) is already organic since CHEP is fully in the Q1 FY26 base.| Driver | Evidence | Tag |

Are profits backed by cash? [Est.]
Operating cash flow was Rs 268.27 cr in FY26, or 71% of EBITDA (FY25 93%, FY24 71%, FY23 121%), because receivables absorbed Rs 74.76 cr (Rs 6.87 cr in FY25) and other assets Rs 40.33 cr. After capex of Rs 390.24 cr, free cash flow was -Rs 122.0 cr. The detail, working-capital days and funding are in Tab 6. PAT is 8% of income because D&A is 28% and interest 12.8% of revenue; the cash PAT margin of 36% is the better measure of what the pool earns before replacing assets.Financials: Balance Sheet, Cash Flow & Ratios

- CHEP accounting. FY25 jump reflects the CHEP India deal (cash Rs 1,004.13 cr, acquired 8 Jan 2025; PP&E Rs 120.87 cr and customer relationships Rs 161.09 cr recognised); Rs 283.08 cr "amalgamation adjustment deficit" is parked in equity rather than goodwill (common-control pooling), keeping goodwill at Rs 41.82 cr [Est.]. Acquired CHEP receivables Rs 68.75 cr gross vs Rs 48.84 cr fair value (Rs 19.91 cr not expected to be collected).
- Pro forma capitalisation after the IPO (Mar-26 base, before offer expenses): equity Rs 1,486.33 cr, borrowings Rs 1,017.73 cr before the Rs 360 cr prepayment; D/E 1.01x pre vs 0.68x post (about 0.44x after the prepayment [Est.]); CCPS fully converted. - CFO vs PAT. CFO / PAT is structurally high because D&A is 28-33% of revenue; CFO / EBITDA is the better test and fell to 71% in FY26 as trade receivables absorbed Rs 74.76 cr (Rs 6.87 cr in FY25) and other assets Rs 40.33 cr. Screener shows FY26 FCF of -Rs 94 cr, consistent with my net-of-sale row.
- Funding of the cumulative negative FCF and acquisitions. Debt (long-term borrowings drawn Rs 338.78 cr FY24, Rs 409.41 cr FY25, Rs 337.96 cr FY26) and preference / equity (FY24 Rs 150 cr Series H to Vertical; FY25 Rs 785.33 cr preference plus Rs 70 cr equity). The FY25 preference proceeds do not fully reconcile to the Series I cash I can trace (11,875,000 x Rs 400 = Rs 475 cr, of which Vertical Rs 333 cr); the difference is not verified [Est.]. FY24: Rs 56.99 cr buyback of equity from the founder at Rs 199.78 a share (15 Sep 2023, 2,852,539 shares, 0.69%), funded by KKR's primary.
- Quality flags. Impairment of financial assets rose to Rs 11.59 cr in FY26 (Rs 0.20 cr FY25); CHEP's contractual receivables Rs 68.75 cr acquired vs Rs 48.84 cr fair value; Screener's auto flags: "low interest coverage", ROE 6.3% over 3 years, "might be capitalising interest cost".

A maintenance / growth split of capex is Not Available (searched Prospectus, deck, call); repairs are expensed through R&M, pallet replacement sits inside additions. No quantified FY27 capex guidance was found; management says repair more, buy less.
Working-capital days [Est.] (on revenue from operations, year-end balances)
| Days | FY23 | FY24 | FY25 | FY26 | Q1 FY27 |
|---|---|---|---|---|---|
| Debtor days (receivables / revenue x 365) | 123 | 144 | 156* | 131 | 119 (mgmt) |
| Inventory days | 26 | 15 | 18 | 17 | - |
| Payable days | 69 | 47 | 61* | 43 | - |
*FY25 is distorted because CHEP's receivables and payables are fully in the balance sheet but only about 3 months of its revenue is in the P&L. Screener's DSO matches mine (131). Q1 FY27 DSO 119 days; TARON 62-63 days; management targets a 10-15 day cut each quarter and "up to date" in 2-3 quarters. A cash conversion cycle is not meaningful given payables are for assets. Debtor days above 120 on a rental business with blue-chip customers is a visible weakness [Analyst View].

Take-away [Analyst View]. The "19% ROCE" in the IPO marketing is an EBITDA return before the 28% of revenue spent on depreciating the pool; the EBIT return is 8-9%, below the 9-10% cost of its own debt (term loans 7.25-9.65%, NCD 9.5%).

Conflict: how fast are pallets written off? [Fact] with conflict
The business and narrative files say the accounting depreciation life is 15 years (Prospectus p.215; call p.22), against management's claim of a 40-55 year physical life. The governance file says pallets are depreciated "at 25% a year per the accounting policy" (aggressive write-off helps cash ROE and depresses reported EBIT). The two cannot both be the policy for the same asset class; the Prospectus accounting-policy page was not re-read for this report. D&A is 28.0% of FY26 revenue either way.Key balance-sheet risks [Analyst View]
- Capital intensity: PP&E Rs 1,480.7 cr against revenue Rs 729.5 cr, and negative FCF in FY24, FY25 and FY26.
- Leverage is falling but still 2.7-2.9x net debt / EBITDA before the IPO prepayment; floating-rate debt Rs 742.31 cr.
- Receivables 119-131 days; impairment of financial assets up 58x in FY26.
- Rs 283.08 cr of CHEP equity deficit and Rs 164.58 cr of intangibles sit against Rs 1,006 cr of pre-IPO net worth.
- Rs 120 cr of IPO proceeds is earmarked for general corporate purposes per the deck and Ind-Ra (Rs 98.29 cr net per the Prospectus) with no itemised plan, and Rs 110 cr is parked as investments (the "war chest", deck).

- Contracts. Agreement effective 1 Apr 2025 under which Plenova supplies "manufacturing and supplying services" to LEAP; agreement effective 29 Apr 2025 for facility management and warehousing to LEAP and TARON (p.269, p.390).
- Plenova FY26 (first period) per LEAP's website. Sales Rs 114.18 cr, PBT Rs 4.49 cr, equity capital Rs 0.10 cr, reserves Rs 4.25 cr, EPS Rs 424.78 (Rs 10 FV), NAV Rs 434.78 a share.
- Concentration [Est.]. LEAP's FY26 purchases from Plenova = 94.54 + 7.62 + 8.96 + 0.17 = Rs 111.29 cr = 97.5% of Plenova's sales; Plenova's profit is about 4% of sales. It supplied about 24% of LEAP's FY26 gross capex (94.54 / 390.24). Payables to Plenova (Rs 12.94 cr + 5.16 cr) are about 21% of LEAP's trade payables. A newly formed promoter-family vendor with Rs 1 mn paid-up capital supplies a material part of the asset base LEAP rents out.
- Match to the withheld supplier [Est.]. Purchases and payments to Plenova total Rs 1,112.87 mn, matching the unnamed Supplier 1 (Rs 1,112.81 mn) within Rs 0.06 mn; Moneycontrol made the same match. It is a media / analytic inference, not a company confirmation.
- Disclosure tension. The Prospectus says the Group Company "is not interested in any transactions for the acquisition of land, construction of building and supply of machinery" (p.389) and that promoters have no interest in any transaction for "supply of machinery" (p.269), while Note 40 shows Rs 94.54 cr of PP&E bought from Plenova. [Est.] Possibly pallets / containers are treated as stock or assets, not "machinery", but the wording is at best narrow.
- Management response. The CGO said on the 1 Sep 2026 call that there had been "recent market commentary on the related-party transaction" and that all RPTs are "at arm's length, audited and disclosed in our RHP and accounts". The commentary's author and medium: Not Available.
- Mitigants and gaps. Mitigants [Fact]: RPTs audited; Audit Committee chaired by an independent; Board identified Plenova as a Group Company on the 10%-of-revenue test; FY26 purchases disclosed in the RHP. Unmitigated [Est.]: no disclosed benchmarking study or third-party pricing for the Rs 94.5 cr PP&E; no cap on future Plenova dealings; opaque ownership. Post-listing SEBI LODR RPT approval thresholds (shareholder approval above Rs 1,000 mn / 10% of turnover) would apply, so the FY27 run-rate matters.
Audit quality and accounting flags
| Area | Finding |
|---|---|
| Opinion | No audit qualification, emphasis of matter or restatement adjustment in FY24-FY26 (restated PAT = audited PAT) (p.341) |
| Audit trail (Rule 11(g)) FY24 | No database-level audit trail; TARON used software without an audit-trail feature from 1 Apr to 10 Oct 2023 and it was switched off on 16 Oct 2023 (3:51-3:56 pm) |
| Audit trail FY25 | Database-level audit trail enabled only from 14 Nov 2024 and then disabled for a few days at every month-end for billing; the auditor was "unable to comment" whether it operated all year; CHEP books (8 Jan to 31 Mar 2025) had no database-level audit trail |
| Audit trail FY26 | Operated at application level; the database is run by a third-party provider whose ISAE 3402 report does not cover database-level edit logs (p.335, p.340) |
| CARO | Quarterly statements filed with banks differed from books (receivables Rs 233.35 cr vs Rs 235.99 cr at Mar-26; inventory Rs 20.64 cr vs Rs 24.48 cr; Dec-25 receivables gap Rs 12.23 cr; TARON receivables Rs 22.17 cr vs Rs 28.21 cr); unpaid disputed statutory dues (CESTAT customs / excise Rs 12.54 cr, income tax Rs 5.91 cr, GST across states); a complaint received in the year (clause xi(c)) which the company denied |
| Accounting choices [Est.] | Rs 283.08 cr "amalgamation adjustment deficit" from CHEP in equity, not goodwill; pallet depreciation policy (see conflict in Tab 6); impairment of financial assets Rs 11.59 cr in FY26 (Rs 0.20 cr FY25); Screener flags possible capitalised interest |
| Labour codes | Notified 21 Nov 2025; incremental impact "not significant", recognised in FY26 |

Governance red-flag register (ranked)
- Plenova (High). Promoter-family vendor formed Jan 2025, sold Rs 111 cr to LEAP in FY26 (about 97% of its revenue) incl. Rs 94.5 cr of fixed assets (24% of capex); thin capital; opaque ownership; narrow offer-document wording; management already responding to "market commentary".
- Promoter leverage (Medium-High). 5.12% of capital encumbered behind Matyas's unlisted NCDs; Matyas bought Rs 23 cr from KKR at the cap price; the stock is 19% below issue.
- KKR exit pattern (Medium). Vertical sold 12.57 cr shares in the OFS (Rs 1,998.62 cr) plus 2.34 cr shares pre-IPO and went from 80.6% to 35.1% in 25 months at an average cost of Rs 63.6 against Rs 159. (The governance file's phrase "6.5 cr+ shares sold in OFS" does not match the 12,56,99,559 OFS shares in the Prospectus and is not used.) The remaining stake is a standing overhang from Aug 2027.
- Audit-trail gaps (Medium). Month-end disabling in FY25; none for the CHEP stub; third-party database in FY26.
- CFO turnover (Medium). Three CFOs in two years; latest change Mar 2026.
- Independent-director quality (Medium). Audit chair faces a pending criminal revision; all three independents newly appointed in 2025; one chairs three committees.
- Quality of earnings (Medium). Impairment of financial assets up; DSO 131 days; CFO / EBITDA 71%; negative FCF three of four years; EBITDA-based ROCE headline vs 8-9% EBIT.
- CHEP tax disputes (Low-Medium). Rs 30-35 cr disallowance upheld at first appeal; penalty notices.
- Not flagged: no wilful-defaulter status, no SEBI orders, no auditor resignation, no qualified opinions, no promoter pledge to the company's own lenders.

Upstream: what LEAP depends on
| Topic | Detail | Tag / source |
|---|---|---|
| Raw materials | LEAP does not source timber or plastic directly; pallet and container suppliers buy to LEAP's benchmarks and "primarily source timber from Europe and Oceanic countries". India has no softwood forests, so SPF is imported (duties, FX, supply-chain exposure). In Oct 2017 the founder said wood came from Russia, Ukraine and Germany; sourcing has since moved away from Russia / Ukraine [Est.] | [Fact] p.28, p.188; ITLN 2017 |
| Polymer resin | Crates / FLC use polymer resin (India; Gulf petrochemicals a key source); crate cost rose from about Rs 650 to Rs 1,000-1,200 | [Fact] Call p.13 |
| MHE | Forklifts bought from China by LEAP / TARON (import-restriction, duty, FX exposure); lithium-ion batteries and controllers | [Fact] p.28 |
| Supplier base | 245 suppliers at 31 Mar 2026; top 10 = 63.27% of purchases FY26 (60.00% FY25, 77.00% FY24) | [Fact] p.22-23 |
| Cost of asset additions | Pallet additions Rs 315.17 cr in FY26 = 43.20% of revenue (43.24% FY25; 51.22% FY24); packaging / freight / transport expense Rs 77.25 cr (+100% YoY); repairs and maintenance Rs 39.83 cr (5.98% of expenses; avg 4.74% of pallets repaired in FY26) | [Fact] p.30, p.33, p.358 |
| Input-cost shocks | COVID timber spike (FY20), Red Sea disruption (FY24), polymer price spike from the Iran-US / Israel conflict (FY26); LEAP slowed container capex; timber prices "reduced in the last one month" (Sep 2026); rupee about Rs 96.44 per USD on 6 Oct 2026 vs Rs 94.65 average FY26 | [Fact] p.28; call p.13, p.16 |

| Services | Warehousing / facility management and manufacturing supply from Plenova (related party) | [Fact] p.269, p.389 |
Import origins (F&S, FY26e, HS 441520 wooden pallet-related imports; top-10 origin countries over 62%): Germany 10.6%, Switzerland 8.0%, Netherlands 7.9%, Belgium 7.4%, Poland 6.7%, France 5.6%, Italy 4.4%, USA 4.1%, Austria 3.9%, Sweden 3.6%, Spain 2.4%, Singapore 2.1%. The colour-to-country mapping is read from a pie legend [Est.] and this is national import data, not LEAP's own supplier split (p.188).

Role mapping by company name only [Est.]: SNG Timbers = timber / pallet supplier; Shanadzzar, Shree Shipping, Prozo, APL Logistics = transport / logistics service providers. Implied FY26 purchases base about Rs 733.9 cr (464.31 / 0.6327) [Est.]. The FY25 and FY24 figures on the withheld-name rows are the Prospectus rows for those years; the same entity need not occupy the same rank (Plenova was only incorporated on 25 Jan 2025) [Est.].
Related-party supplier: Plenova Supply Chain Pvt Ltd
Promoter-group entity incorporated 25 Jan 2025. FY26 transactions with LEAP: purchase of PP&E Rs 94.54 cr (12.96% of revenue), repairs and maintenance Rs 8.96 cr, purchase of stock-in-trade Rs 7.62 cr, rent paid Rs 0.17 cr; LEAP sold Rs 7.14 cr of products and rented a forklift (Rs 0.105 cr) to it (p.64-65). Plenova FY26 sales Rs 114.18 cr, PBT Rs 4.49 cr; LEAP owed Plenova Rs 9.97 cr at 31 Mar 2026 per its material-creditor disclosure, its only material creditor (the Prospectus related-party note instead shows a trade payable of Rs 12.94 cr plus Rs 5.16 cr for capital goods; the difference is unresolved, see Tab 7). Agreements: manufacturing / supply (from 1 Apr 2025) and facility management / warehousing for LEAP and TARON (from 29 Apr 2025). [Est.] Purchases and payments of Rs 111.29 cr match the unnamed Supplier 1 (Rs 111.28 cr) within Rs 0.006 cr, as Moneycontrol also matched: a media / analytic inference, not a company confirmation. [Est.] About 97.5% of Plenova's FY26 sales went to LEAP. Governance assessment is in Tab 7.Downstream: who depends on LEAP

| Receivables | Trade receivables Rs 262.32 cr = 35.96% of FY26 revenue (42.69% FY25); DSO 131 days FY26 to 119 days Q1 FY27; management targets 10-15 days off a quarter; TARON 62-63 days. Acquired CHEP receivables: gross Rs 68.75 cr vs fair value Rs 48.84 cr (Rs 19.91 cr not expected to be collected). A customer insolvency occurred in Jan 2023 (risk factor) |
| Demand signals Q1 FY27 | 48 new customers from 11 sectors (normal 18-20 a quarter); 3PL (DP World, DHL, Yusen) +30,000 pallets; e-com / q-com (Zomato, Blinkit) +25,000; agro +20,000; textiles subdued by supply shortages and cost; further 100,000-pallet opportunity (stated later as 120,000) |
| Reverse flow and end of life | Assets recovered at de-hire and inspected; contaminated assets (0.27% in FY26) quarantined and scrapped; repaired on site by mobile repair vans or in FCs; dismantled and recycled; scrap sale Rs 8.56 cr FY26. Asset-loss impairment not recovered from customers Rs 2.83 cr (0.19% of net block) FY26 vs Rs 5.24 cr (0.43%) FY25 and Rs 5.35 cr (0.55%) FY24 (p.25, p.30, p.36, p.226, p.358) |
| Export / cross-border | The CHEP deal enabled inter-country pallet and container movement; GCC import customers (for example Piramal glass sending 40,000 pallets a month to Jebel Ali / Ras Al Khaimah per CEO, as transcribed) are targeted for hire / de-hire conversion (p.221; call p.26) |
| Stickiness | Customers re-palletise every node; 10-12 customers who bought their own pallets returned within 6-12 months; a very large customer trialled 88 locations and returned in 4-6 months; 24 contracts renewed in Q1 with escalators; customised assets can be stranded if a customer changes spec but costs were passed on so far (p.26) |
Where pricing power sits [Analyst View]
- With LEAP, versus customers: contracts of 1-5 years carry price escalators indexed to a timber price index; price rises of 5-9% a year; yield up 6% in Q1 FY27; switching means re-palletising every node. This is real but capped by customers' alternative of owning one-way pallets (82 mn of the 106 mn market; F&S, LEAP-commissioned) and a customer-side cost benefit claim of only 20-30%.
- With suppliers, versus LEAP: LEAP is a very large buyer of pallets but the top 10 suppliers are 63% of purchases and the largest, which may be the promoter-group Plenova [Est.], is 15%. Timber and polymer are commodities priced off European wood indices and Gulf petrochemicals, and cost shocks (crates Rs 650 to Rs 1,000-1,200) fall on LEAP's capex before they reach rents through escalators.
- Net: pricing power exists in the downstream rental, but input-cost risk and a related-party supplier sit on the capex side, which is exactly where returns are thin.
Competitive Position
Industry-data caveat
Every Indian market-size, share and penetration number in this tab comes from the Frost & Sullivan (F&S) report dated July 2026 ("Independent Market Research on Asset Pooling as a Service") that LEAP commissioned and paid for (engagement letter 23 Apr 2025), excerpted in Prospectus pp.143-207. The "90% share" depends entirely on it. The F&S PDF on the company site is the older Aug 2025 edition; Prospectus figures supersede it. F&S prose has errors (it says North America has "1,114 million pooled" units while its own table shows 1,114 total and 613 pooled; it swaps global CAGR labels); I use table and figure values. [Fact] unless tagged.Position and structure
- Rank. LEAP is the dominant Indian pallet pooler (about 90% of pooled pallets: 9 mn of about 10 mn, FY26, F&S; "90%+" in the deck; "90-95%" claimed on the call; before the CHEP deal LEAP about 80% and CHEP India about 20%). F&S says there is "no like-to-like comparable" in India or abroad; Brambles (ASX-listed, CHEP's parent) is the only listed pooling peer but F&S and LEAP say it is not comparable (p.201).
- Global structure. Monopoly or duopoly within each country: CHEP, LPR / Euro Pool, LOSCAM, PECO, IPP, iGPS, Faber. F&S places India in the static-hire stage and GCC, ANZ, US and EU in the movement-hire stage (p.177-182). Models: Static Hire vs Movement Hire.
- Materials. Global pallet share: wood 88%, plastic 6%, cardboard 4%, metal 2%; wooden pallet cost USD 12-16 vs plastic USD 50-80 vs metal USD 90-140; plastic pallet trials in India "unsuccessful" due to cost and repair practices (p.170).
- Fragmentation. India's 106 mn pallets are 82 mn one-way / low-quality and about 18 mn pooling-grade; about 10 mn pooled (9 mn LEAP, about 1 mn others) (deck p.13 citing F&S). Global pallet output was 7.92 bn units in CY25 vs 7.05 bn in CY20 (2.4% CAGR).

LEAP's growth of 33% is inflated by the CHEP India consolidation. LEAP's EBITDA margin looks 15-30 points above peers partly because definitions differ (LEAP's EBITDA is before depreciation on pooled assets and before lease costs under Ind AS 116) and F&S gives peer ranges, not audited figures [Est.]. Per-unit revenue of about USD 5.4 against CHEP's about USD 19.6 shows LEAP's low-yield, early static-hire economics and the headroom if movement hire matures. F&S text: Faber revenue EUR 451 mn (2025); PECO 1,200+ service locations and 200+ customers; LPR 147+ service centres. LEAP revenue converted at INR 83.37 / 85.58 / 94.65 per USD for FY24 / 25 / 26.

Strengths and weaknesses versus peers [Analyst View]
| Versus | LEAP strength | LEAP weakness |
|---|---|---|
| CHEP / Brambles (global) | Bought CHEP India (customers, 1.4 mn pallets and moulds); no competitor of scale in India; margin on company basis 50.7% vs 30-36% | Revenue per unit USD 5.4 vs 19.6; movement ratio 0.3-0.4x vs about 4x; CHEP brand licence only transitional to about Jan 2028; CHEP holds 53% of the GCC where LEAP plans to enter |
| LOSCAM, LPR, PECO, IPP, iGPS, Faber | Growth 33% vs 3-6% (acquisition-aided); retention 91% vs 80-90% | Single country, India infrastructure and static-hire stage; small scale (14.7 mn units vs 17-354 mn) |
| Godrej RenTRUST, Jungheinrich, Watrana (MHE) | TARON growth 24.5% vs 11.5-15.5%; margin 32.4% vs 17.8-22%; retention 85% | Only the number two by share (28.7% vs 29.2%); Godrej has brand and fleet investment (Rs 100 cr, Li-ion BMS) |
| Owners of captive pallets (substitute) | 20-30% customer cost benefit claimed; 10-12 customers returned within 6-12 months | Customers can revert; 82 mn one-way pallets in the market |
Rivals, substitutes and entrants in India
- Named Indian pallet-pooling competitors: Not Available. F&S refers to about 1 mn pallets with "other pooling players"; new smaller or regional players have emerged but no new large national player in FY24-FY26 (p.30, p.186). Searched: Prospectus industry and competition chapters, F&S Aug 2025 PDF, Screener.
- Substitutes: (i) owned captive pallets (CEO: 10-12 customers who bought came back within 6-12 months; one very large customer trialled 88 locations and returned in 4-6 months); (ii) one-way / low-grade pallets (82 mn of 106 mn) and hand loading with cheap labour; (iii) plastic or metal pallets (6% and 2% globally; unsuccessful trials in India) (p.170).
- Entrants: CHEP / Brambles has EXITED India (sold CHEP India to LEAP in Jan 2025) but retains a transitional brand licence to LEAP until about Jan 2028; any non-compete with Brambles: Not Available in the text reviewed. LOSCAM, LPR and PECO have no disclosed India plans.
- GCC (expansion market): CHEP holds a 53% share (F&S Fig 8.1); PACK Pallet Pooling LLC (Saudi, founded 2020, red pallets) operates in the Gulf; palletisation 73%, pooling penetration 50% (40 mn of 80 mn pooled), movement hire "well established". LEAP's Gulf plan is therefore a competitive entry into a mature pool, not a greenfield education market; F&S and LEAP frame it as converting sales-model pallets to hire / de-hire [Est.].
Porter's Five Forces [Analyst View]
| Force | Level | Why |
|---|---|---|
| Rivalry | Low | About 90% share in pooled pallets; only smaller / regional players; but low pooling penetration means the real rival is the owner-user |
| Threat of new entrants | Low-Medium | High capex, network density and re-palletising switching cost; but CHEP exited with a brand licence ending about Jan 2028 and 90% share invites Competition Act scrutiny (no CCI proceeding disclosed) |
| Substitutes | Medium | Captive and one-way pallets; plastic / metal not viable on cost; automation and new formats (R16) |
| Supplier power | Medium-High | Top 10 suppliers 63%; imported SPF; polymer and China forklifts; related-party Plenova at the top |
| Buyer power | Medium | Top 10 customers 26.65% of revenue, falling; 1-5 year contracts with escalators; large FMCG / auto / 3PL buyers negotiate; receivables 119-131 days |
Moat durability [Analyst View]. The moat is network density plus switching cost, a franchise rather than a technology moat. It is durable where pooling is the default in a node, but returns on capital are 8-9% on an EBIT basis today, and the proof that the moat converts into pricing power rests on movement hire (+8% in Q1) and escalators (+6%). The sponsored nature of the share data means the 90% is a ceiling on credibility, not a floor.

Concall Highlights & Guidance
Vintage warning (pre-results)
LEAP has about ten weeks of listed history, one earnings call (Q1 FY27, 1 Sep 2026), one quarterly result and no listed-company annual report (the FY25 annual report on the site is an MGT-7 return only). "Guidance vs actuals" therefore means (a) guidance on that call versus the first print and operating data, and (b) older founder targets (2017) versus outcomes. The Q2 FY27 board meeting (26 Oct 2026) and the Q2 call (27 Oct 2026, 12:00 IST) fall after the report date: Not Available. [Fact]Q1 FY27 call, 1 Sep 2026 (maiden call, hosted by Go India Advisors)

- Print. Total income Rs 213.4 cr (+19%); EBITDA Rs 114.1 cr (+21%; margin 53.5%, +108 bps); PAT Rs 24.7 cr (+30%; margin about 12%); cash PAT Rs 81.2 cr (+23%). Asset-pooling income +17%, MHE income +29% (call p.9; deck p.1, p.3).
- Operations. Pool 14.9 mn assets (+1.26 mn YoY, +9%); pallet utilisation 88.6% to 89.2% (target 90-91% "in a quarter to come", 92%+ in a couple of years); 1,000+ customers, 10,500+ touchpoints; 48 new customers from 11 sectors (normal 18-20 a quarter) adding about 100,000 pallets this year; TARON added 174 machines, revenue Rs 35.3 cr (+33%); movement hire 766k vs 711k pallets (+8%) (p.5-8).
- Cost levers. Transport cost 11% to 10% of revenue; repair cost 6% to 4.7%; warehouse cost +7% on a one-time settlement for closing 3 warehouses while FMCG and auto volumes rose about 20% (p.5-6).
- Strategy. Five levers: deepen existing accounts, new industries (dairy, paints, textiles recently converted), wider supply-chain participation (movement hire), broader product range (3D-printed inserts, automated crate cleaning, AGV rentals), selective new markets (GCC) (p.6-8, p.25).
- Governance remark. The CGO addressed "recent market commentary on related-party transactions": all RPTs are at arm's length, audited and disclosed in the RHP and accounts (p.8-9). The commentary itself (author, medium, date) is Not Available.
Q&A themes and answers

| EBITDA margin | Hovered 47-56% for six to seven years; FY26 50.7%, Q1 53.5%; 100-200 bps expansion possible; not 3-5 points every quarter; MHE / auto growth lifts ROCE and PAT but dilutes EBITDA margin | p.10, p.18 |
| Revenue guidance | "Quarter-on-quarter 20%+" (clarified: year-on-year); EBITDA growth to exceed revenue growth; Middle East over and above India; seasonality Q1 22% / Q2 24% / Q3 25% / Q4 29% | p.11-12 |
| GCC | MISA licence in Saudi, ADGM / Dubai entities; two separate companies because Saudi and UAE regimes differ; five hires; about 20 customer discussions; no further set-up money, only asset capex; Rs 150-200 cr revenue in three years; go-live deferred from August to mid-September because the war intensified | p.11, p.18, p.26-27 |
| Capex discipline | Q1 asset spend Rs 76 cr vs Rs 110 cr; crates Rs 650 to Rs 1,000-1,200 hurts ROCE so "going slow"; teams asked to retrieve and repair faster; 900,000-pallet buffer; utilisation up 1.5 points equals 70-80k pallets not bought; repaired 14 lakh pallets in Q1 vs 12 lakh | p.13, p.16 |
| Containers growth 13% | No slowdown; supply of crates to auto component makers only 1.5-2 units against 4 asked | p.13 |
| Pallet trading revenue about 3x | LEAP sells pallets only to customers likely to return to pooling; a very large customer bought and came back in 4-6 months | p.13-14 |
| MHE count 4,700 to 4,500 | Batteries / controllers fluctuate; 1,440 forklifts in total; MHE pooling revenue Rs 9.6 cr to Rs 11.6 cr a month | p.14 |
| Pallet adds | About 850,000 net pallets this year (historic 700k-1 mn); Q1 normally negative (-100k) but positive on the extended beverage season | p.16 |
| CHEP integration | FCs 30 to 28; two more warehouses of 250-300k sq ft to close in Q2-Q3; possible 40,000-pallet pool at Silvassa; automotive 13.5-14% to about 20% of revenue, target 22-25%; CHEP had 20% share vs LEAP 80% before the deal; 1.4 mn CHEP pallets and moulds acquired | p.17, p.21-22 |
| Working capital | DSO 131 to 119 days; cut 10-15 days a quarter; TARON about 62-63 days | p.17 |
| Pricing | 5-6% price increase; yield Re 1.45 to Re 1.54; 24 contracts renewed in Q1; 3-5 year contracts with escalators; renegotiation starts six months before expiry | p.20-21 |
| Pallet life / depreciation | Accounting life 15 years; physical life 40-55 years (CHEP pallets from 2006-08 still earning); "P/E model undervalues it" | p.22 |
| Static to movement uplift | 16 pricing parameters; customer cost benefit of 20-30% vs conventional; pool 9 mn pallets, moved 2.9 mn; target 9.5-9.6 mn pool and 3.7 mn moved; yield could end FY27 at about Re 1.62 (about Rs 600 a year) | p.23 |
| Why GCC | Product life-cycle logic: need a new growth market in 2-3 years; GCC pallet turns 3-3.5x; Piramal Glass ships 40,000 pallets a month to Jebel Ali / Ras Al Khaimah; a Rs 1,750 pallet pays back in about 9 years in India, half that in the GCC | p.25-26 |
| TARON growth | Stays at 14-17% of group; MHE grew 33% off a small base | p.26 |
| Other | Acquisitions being looked at "in India and elsewhere"; 90-95% pallet-pooling market-share claim; truck-body standardisation (India has about 1,000 truck body sizes; LEAP recommended about 10; no rule exists) | p.24 |
Current guidance ledger (as of 21 Oct 2026)
| # | Item | Guidance / statement | Latest actual / evidence | Status |
|---|---|---|---|---|
| G1 | Revenue growth | 20%+ YoY on a continuing basis, "roadshow guidance" (1 Sep, p.11-12) | Q1 FY27: revenue from ops +19.1%, total income +18.6% (CEO quoted about 21.5%) | Slightly below 20% on reported basis; Ind-Ra expects above 15% organic |
| G2 | EBITDA vs revenue | EBITDA to grow faster than revenue (p.12) | Q1 EBITDA +21.0% vs income +18.6% | Met in Q1 |
| G3 | EBITDA margin | 47-56% band; +100-200 bps possible (p.10) | Q1 53.5% (company, incl. OI); 51.2% (Ind-Ra) | Inside band; 2.3-point definitional gap |
| G4 | Pallet pool additions | About 850k net in FY27; 800-900k (p.16, p.20) | Pallets about 9.2 mn at Jun-26 vs 8.98 mn at Mar-26, about +0.2 mn in Q1 [Est.] | On track for Q1; Q2-Q4 need about 0.65 mn |
| G5 | Movement-hire pallets | 3.7 mn in FY27 vs 2.8-2.9 mn FY26 (p.9, p.23) | Q1 766k (+8%), about 3.1 mn annualised [Est.] | Behind run-rate; needs an H2 ramp (festive season) |
| G6 | Utilisation | Above 90-91% next quarter; 92%+ in 2 years (p.7) | 89.2% in Q1 | Test in Q2 |
| G7 | DSO | Down 10-15 days a quarter; "up to date" in 2-3 quarters (p.17) | 131 to 119 days (Q1) | Needs about 105-109 days in Q2 |
| G8 | Capex | Slow crate / pallet purchases; repair more, buy less (p.13) | Q1 asset spend Rs 76 cr vs Rs 110 cr | Consistent |
| G9 | FC network | Close 2 more warehouses (250-300k sq ft) in Q2-Q3 (p.17) | 28 FCs at Jun-26 | Pending |
| G10 | GCC | Go-live mid-September; Rs 150-200 cr in 3 years; 3 mn pallets in 4-5 years (p.18, p.11; Reuters) | Saudi infusion Rs 2.04 cr (28 Sep), UAE USD 1 mn (6 Oct), Dubai trading sub (21 Aug); customer win / revenue Not Available | Unconfirmed |
| G11 | New customers | 18-20 a quarter normal; Q1 had 48 (p.5) | No Q2 data | Watch |
| G12 | Pricing | 5-6% rise this year; 5-9% historically (p.4, p.20) | Yield +6% (Re 1.45 to Re 1.54) | Delivered in Q1 |
| G13 | Leverage | D/E 0.4x and net debt / EBITDA 1.4x post-IPO (company, deck p.10); Ind-Ra: D/E below 0.5x and net leverage below 2.25x (incl. leases) | Ind-Ra FY26 net leverage 2.9x pre-IPO | Rating upgraded 14 Oct |
| G14 | Auto share | 22-25% of revenue target (p.21) | About 20% now vs FY26 23.66% of revenue per Prospectus | Basis unclear |
| G15 | Seasonality weights | Q1 22%, Q2 24%, Q3 25%, Q4 29% (p.12) | FY26 Q1 was 23.4% (Rs 171 cr / Rs 730 cr) and Q4 27.9% (Rs 204 cr) on Screener consolidated sales [Est.] | Weights not borne out by FY26; do not extrapolate Q1 at 22% |
Reading the seasonality gap [Est.]: if Q1 FY27 revenue (Rs 203 cr) is 22% of the year, FY27 is about Rs 923 cr (+26% on FY26 Rs 730 cr); at the FY26 share of 23.4%, about Rs 867 cr (+19%). The latter matches the 19% run-rate; the 22% weighting would imply acceleration management has not guided.
Historic guidance versus outcome
| Date / source | Guidance | Outcome | Gap |
|---|---|---|---|
| Oct 2017 (ITLN) | FY18 revenue about Rs 100 cr (FY17 Rs 37 cr) | FY18 total income Rs 69.1 cr (deck series; FY17 Rs 37 cr matches) [Est.] year labels read from a deck chart | About 69% of guide |
| Oct 2017 (ITLN) | USD 150 mn revenue within five years (by 2022) | FY22 total income about Rs 213 cr; FY26 Rs 747.4 cr = USD 78.9 mn at Rs 94.65 (F&S) [Fact/Est.] | FY22 about 22% of about Rs 975 cr at about Rs 65 per USD; FY26 still about 53% in USD |
| Oct 2017 (ITLN) | 4.5 mn pallets deployed and 60% share by 2022 | Pallets 5.98 mn at Mar-24 (Prospectus); the 2023 pool "2.47 mn pallets" per the Prospectus history table vs deck claiming "3 mn+ pallets" in 2020: the two company documents conflict | Target met around FY24 on Prospectus basis, about two years late |
| Oct 2017 (ITLN) | Warehouse area 8 lakh sq ft by 2020 | Current FC area Not Available | n/a |
| Sep 2025 DRHP vs Aug 2026 final | IPO Rs 2,400 cr (fresh Rs 400 cr); debt repayment Rs 300.1 cr; pre-IPO Rs 80 cr | Final Rs 2,480 cr (fresh Rs 480 cr); debt repayment Rs 360 cr; pre-IPO Rs 371.3 cr | Upsized fresh issue and repayment; listing took about 11 months from filing |
| Aug 2023 (ITLN) | KKR entry with 21 warehouses, 3,500 customer locations, 6 mn+ assets | Mar-24: 21 FCs, 7.92 mn assets; Mar-26: 29 FCs, 14.70 mn assets, 10,100+ touchpoints | Delivered (acquisition-aided) |
Credibility take-away [Analyst View]. The founder's growth targets have historically been aspirational (USD 150 mn by 2022 vs roughly one-fifth achieved), while operating-metric targets (pallet pool, share) were met late. The 20%+ growth and 3.7 mn movement guides should be discounted until Q2-Q4 delivery is seen. Tone on the call: confident and promotional on the operating metrics; defensive on related parties (opened by the CGO); cautious on margin ("not 3-5 points every quarter") and on the Gulf timetable.

Demand drivers (F&S, LEAP-commissioned): India GDP USD 4.17 tn (FY26) to USD 6.90 tn (FY31p; 10.6% nominal CAGR); e-commerce USD 168 bn FY25 growing about 17% a year; Grade A warehousing and vertical racking; ASRS and automation; labour tightness; GST-led depot consolidation; ESG (reusable vs one-way); logistics cost 14% of GDP vs 8% in NA / EU. Management claims pooling yields rise 5-9% a year and an EBITDA margin band of 47-56% for six to seven years. Evidence check: Q1 movement hire +8% vs revenue +19% and yield +6% support pricing, not yet the movement-hire inflection [Est.]. Cost-side stress: crate price Rs 650 to Rs 1,000-1,200; polymer shock from the Gulf conflict; rupee about 96.44 per USD on 6 Oct 2026.

| Basis | Value |
|---|---|
| Price, shares, market cap | Rs 129 (21 Oct 2026), 44.0536 cr shares, Rs 5,683 cr (Rs 5,698 cr at the Rs 129.35 close) |

| Weighted-average cost of acquisition | Primary issues in 18 months Rs 299.34 a share (floor 0.50x, cap 0.53x); secondaries Rs 159; Vertical's average Rs 63.60 (2.5x to the IPO price); founder Rs 3.78 [Fact] p.110, p.131-132 |

| EPS +50% = 2.32 | 93 | 139 | 194 | 232 |
Arithmetic only, to show what growth the present price requires; not a forecast or target. The UBS target of Rs 175 [Est.] equals about 113x TTM EPS, or about 75x an EPS 50% higher. [Analyst View] At 40x, a high multiple for a market-type business, Rs 129 needs EPS of about Rs 3.2, roughly double the trailing figure; the price already discounts a large and sustained rise in earnings.

Final Verdict
[Analyst View] Aamara Capital, 21 Oct 2026. PRE-RESULTS: Q2 FY27 board meeting 26 Oct 2026, call 27 Oct 2026, 12:00 IST.
Bull case
- A real, sticky franchise being repriced by movement hire. About 90% of India's pooled pallets (company-commissioned data), 89.2% utilisation, 48 new customers in a quarter against 18-20, 24 renewals with escalators, top-10 customers down to 26.65% of revenue; yield +6% and a 4x global turns benchmark vs 0.3-0.4x in India leave a large lever if movement hire catches up.
- Balance sheet turning. Rs 360 cr of IPO money repaid debt, India Ratings upgraded to IND A+/Stable, D/E falls from 1.01x to about 0.44x, EBITDA of Rs 379 cr and CFO of Rs 268 cr; foreign long-only funds (Capital Group 5.77%, Prudential, Habrok, GPFG, MAS) are accumulating on weakness.
- Operating leverage and the market. Q1 PAT +30% on revenue +19%; palletisation of 17% against 73-94% elsewhere; pooled pallets forecast to double to 20 mn by FY31 (F&S, LEAP-commissioned); UBS (Buy, Rs 175) models revenue CAGR 19%, EBITDA CAGR 21% and ROCE to 14.7% by FY31 [Est.] (secondary media report).
Bear case
- Priced for a return expansion that has not started. About 83x trailing earnings and 16x EV/EBITDA [Est.] on an EBIT ROCE of 8-9% that is below the 9.5% cost of its NCDs; FY26 growth of 56% is 16.5% pro forma; movement hire grew 8% against a 3.7 mn target that needs a Q2-Q4 ramp; free cash flow negative in three of four years.
- Governance and related parties unresolved. Plenova (promoter-group, formed Jan 2025) sold Rs 111 cr to LEAP, 97.5% of its sales and 24% of capex, ownership undisclosed; 5.12% of capital encumbered behind the founder vehicle's NCDs; two CFO changes in 16 months; audit chair has a pending FIR; audit-trail logs switched off each month-end in FY25.
- Supply and data credibility. KKR down from 80.6% to 35.1% in 25 months, with anchor unlock on 9 Nov 2026, pre-IPO unlock about 12 Feb 2027 and the CHEP brand licence ending about Jan 2028; market share and size data are paid for by LEAP; the shareholder count has fallen 74% (5,98,600 to 1,53,842) and the stock is 18.7% below issue.
Base case (12-18 months) [Analyst View]
Illustrative scenarios built on stated assumptions, not forecasts. Base: revenue growth of 18-20% (guide 20%+, Ind-Ra above 15%), EBITDA margin around 50% (Ind-Ra), PAT of Rs 78-85 cr for FY27 (+25-36% on Rs 62.3 cr, consistent with the Q1 run-rate of +30%), EPS Rs 1.77-1.93 on 44.05 cr shares; at 55-75x that is about Rs 97-145 a share, so the stock is more likely to range around today's price than to re-rate, with supply events on 9 Nov 2026 and about 12 Feb 2027. Bull: movement hire inflects, margin 53% or more, PAT about Rs 90 cr (EPS about Rs 2.04) at 85x, about Rs 174, roughly the UBS target [Est.]. Bear: growth near 15%, margin 49%, PAT about Rs 70 cr (EPS about Rs 1.59), adverse Plenova disclosure or a margin call on the promoter-side NCDs, at 50-60x: about Rs 80-95.
Five things to remember
- The Q2 FY27 board meeting is on 26 Oct 2026 and the call on 27 Oct 2026 at 12:00 IST, after this report's date; every number here is pre-results and rests on Q1 FY27.
- Almost all India market data (90% share, 106 mn pallets, 9.4% penetration) is from a Frost & Sullivan report that LEAP commissioned and paid for; there is no independent corroboration.
- FY26 growth of 56% is 16.5% pro forma (Ind-Ra); "ROCE 19%" is EBITDA-based, EBIT ROCE is about 8-9%; Q1 EBITDA margin is 53.5% (company) or 51.2% (Ind-Ra); Screener's EPS of Rs 22.15 and P/E of 97.7 are on the wrong share base.
- Plenova (incorporated 25 Jan 2025) supplied Rs 111.3 cr in FY26, about 97.5% of its sales and Rs 94.5 cr of fixed assets (about 24% of capex cash); the match to the withheld largest supplier is an estimate, and the owners are not disclosed.
- Supply calendar: 5.12% encumbered by NDU / pledge; anchor unlock 9 Nov 2026; pre-IPO capital about 12 Feb 2027; promoter excess about 12 Aug 2027; CHEP brand licence about Jan 2028.
Five questions before investing
- Who owns Plenova, how were the Rs 94.5 cr of assets priced against third-party quotes, and what is the FY27 related-party run-rate against the SEBI LODR approval thresholds?
- Do Q2 numbers show organic growth near 20%, movement-hire volumes stepping toward 3.7 mn, DSO under about 109 days and utilisation at 90-91%?
- What is the size, coupon, maturity and margin-call trigger of the Matyas NCDs that hold 5.12% of the company's shares, and who is behind Gamnat Pte?
- Why were two CFOs replaced in 16 months, and what has the Audit Committee done about the audit-trail gaps and the chair's pending criminal revision?
- Is the Gulf entry (CHEP holds 53% there) a funded, customer-backed expansion or an option, and what does the CHEP brand transition by about Jan 2028 cost?
Opinion [Analyst View]. LEAP is a durable asset-pooling franchise with a rated, deleveraging balance sheet, but at about 83x trailing earnings it is priced for a return expansion through movement hire that Q1 only partly shows, on market data LEAP paid for, with an unresolved promoter-family supplier and a supply calendar that runs into February 2027. The evidence does not support committing capital before the Q2 print and a straight answer on Plenova, and it does not justify avoiding the name given the franchise and the rating upgrade. Keep it on the watch list with explicit triggers: the 26-27 Oct 2026 results, Plenova ownership and pricing disclosure, and absorption of the 9 Nov 2026 unlock.
