Analyst Notes
[Analyst View] Aamara Capital, 21 Oct 2026. Written pre-results; Q2/H1 FY27 board meeting 27 Oct 2026
What happened. Knack Packaging has had a clean first 15 weeks. It priced at Rs 170 (band Rs 161-170) after a book subscribed 83.33x on the exchange convention, listed at Rs 188 on NSE on 8 Jul, closed the day at Rs 182.98 and has finished above Rs 170 on every one of the 73 sessions since, ending at Rs 199.09 on 21 Oct (+17.1%). Its one result as a listed company, Q1 FY27, printed revenue +41.1%, PAT +47.9% and an EBITDA-per-kg figure of about Rs 54 against Rs 43 a year earlier. The order flow is good news too: a Rs 150 cr a year contract with an unnamed US feed major on 2 Oct, and CARE's A-/Stable. That is the surface. The Q2/H1 print on 27 Oct is six days away, and this note is deliberately written before it.
What the market is pricing. At Rs 199.09 the stock is on 26.3x FY26 EPS counted on the post-IPO share base (Rs 7.58) and 23.7x trailing EPS (Rs 8.39). At the Rs 170 issue price the same FY26 multiple was 22.4x, so about four turns of re-rating have happened in 3.5 months. The listed names the prospectus uses as comparators sit at 16.7x (Time Technoplast), 29.0x (TCPL Packaging) and 31.2x (Mold-Tek Packaging), so Knack now trades at peer parity after pricing at a discount. Those three make rigid containers, cartons and pails, not woven bags, and management says there is "no genuine peer". The price is therefore assuming that 46.7% company-defined RoCE and 18-22% operating margins persist while capacity roughly doubles by October 2027. Mutual-fund holding rose from 2.46% to 3.82% between 7 Jul and 30 Sep, the Bank of India Small Cap Fund holds 2.30% having bought outside the anchor book, and the 90-day anchor unlock on 3 Oct was absorbed (the stock rose about 17% in the next three sessions). Against that, the holder count fell from 105,959 to 28,335 and banks and NBFCs left the register: allottees took their listing gains.
The headline margin is better than the underlying one. The company's EBITDA is built on total income, so it includes other income. FY26 EBITDA margin is 20.42% on that basis and 18.45% on revenue from operations [Est.]; Technopak, inside the prospectus, itself says 18.5%. FY26 other income was Rs 20.34 cr, of which Rs 16.85 cr was a foreign-currency translation gain, unhedged, equal to 13.5% of PBT. Of the 3.65 percentage-point operating-margin expansion since FY24, about 1.8 points came from cutting promoter-family pay from roughly Rs 19.8 cr (FY24) to Rs 5.0 cr (FY26) [Est.]. That is a real saving but a one-time reset, not operating leverage. Standalone Q4 FY26 looked weak (OPM 15%) and only held up because Rs 10 cr of other income sat below the line; management has not explained that quarter. Q1 FY27 is 22.35% headline and about 21.7% without other income. RoCE shows the same pattern: 46.7% on the company's definition, which leaves out current borrowings (about 80% of debt), and about 32% recomputed on equity plus total debt [Est.]. Still excellent; just not 47%.
Growth is half volume, half resin. Q1 FY27 revenue grew 41% but volume grew 21% (10,940 MT vs 9,047 MT) and realisation 17% (about Rs 240/kg vs Rs 206), mostly polymer pass-through from the West Asia-driven resin spike. About 45-50% of customers are on resin-plus-conversion pricing, so profit per kg is protected when resin rises. The test, which Q2 will start to answer, is the reverse: when resin falls, revenue falls with it and the spot-priced half reprices. Over FY24-FY26 realisation was flat (Rs 214.0, 213.7, 215.8 per kg) while EBITDA per kg rose 36% (Rs 33.14 to Rs 45.15), so the gain came from mix (pinch-bottom now about 22.5-23% of volume), solar and wind power and scale, plus the pay reset above.
Cash and balance sheet. Restated cash from operations was Rs 218.5 cr over FY24-FY26 against PAT of Rs 212.5 cr (1.03x), but every rupee was reinvested: capex of Rs 230.1 cr leaves three-year free cash flow at about -Rs 11.6 cr [Est.], effectively zero. The cash-conversion cycle lengthened to about 120 days in FY26 (inventory days 91.0, up 15). Borrowings are 79.5% short term and fund-based limits ran 90-95% utilised. The IPO brings leverage down (debt/equity 0.62x at Mar-26, 0.28x pro forma) but the fresh money is spoken for: Rs 320 cr to a plant whose completion has already slipped from December 2026 to October 2027, whose cost was cut from Rs 514.9 cr to Rs 456.1 cr by deferring pinch-bottom machinery (the margin driver), and whose Rs 284.9 cr of machinery had not been ordered when the prospectus was signed. The site is leased from the promoters.
Governance is the part I would not skip. Promoters and group hold 70.59%. A further 8.26% held by the Kamlesh Patel family is classified as public yet appears as relatives in the related-party tables, so effective family holding is about 78.9% [Est.]. Related-party flows were 12.15% of FY26 revenue (about 20% in FY24 and FY25), including Rs 117.7 m of assets bought from Knack Energy, a promoter-family company whose own sales jumped to Rs 5,749 m. Loans of Rs 192.4 m and a Rs 220.9 m guarantee support a Mexico JV that lost Rs 34.45 m in Q1 FY27, and whose partner, Knack's number two customer Sacos y Empaques, handed its stake to another firm within about eight months. The company secretary resigned 16 days after listing to take a role elsewhere in the "Knack portfolio of companies", and a senior costing manager left on 17 Oct. The prospectus, the call and the 2 Oct filing contradict each other on whether the largest customer is under contract. None of this is illegality. Taken together it says minority holders have little leverage and disclosure needs cross-checking, which is why this tab ends with a conflicts register.
What would change the view. (1) The 27 Oct print: does volume hold near the 10,940 MT Q1 level, EBITDA per kg near Rs 54, and is other income shown separately; (2) the first use-of-proceeds statement and the CARE monitoring report; (3) machinery purchase orders before the quotations lapse on 30 Nov 2026; (4) about 35% of equity coming free around 6 Jan 2027; (5) renewal of the Unit-3 lease around Jan-Feb 2027; (6) whether any broker initiates, since no sell-side coverage exists. A good Q2 would not remove (4) or (3). A weak Q2 with resin falling would test the claim that 18% operating margins are structural.
Where I land. This is a high-return, fast-growing niche manufacturer with a real customer franchise (Cargill from about Rs 6 cr in 2020 to about Rs 140 cr, continuity rate 93.75%). It is also a stock priced at parity with peers on a headline margin and RoCE that overstate it, controlled by a family with extensive cross-dealings, about to be tested by results, a plant timetable and a large supply unlock inside 11 weeks. The verdict in Tab 13 is a watching brief with explicit triggers.
Unresolved conflicts register (shown, not resolved)
Each row lists the competing versions and where they come from. Where the inputs allow it, our working treatment is stated. None of these has been settled by the company.
| # | Item | Version A | Version B / C | Treatment in this report |
|---|---|---|---|---|
| 1 | Current capacity | Prospectus (RBSA certificate, 13 Jun 2026): installed 55,800 MT, effective 43,300 MT in FY26 (Units 1-3 only) | CARE (Apr 2026): about 41,300 MTPA from FY26 through rented plants. Company deck and press release (Aug 2026): 43,300 to "48,000+" MTPA. CMD on the call: "48,000+ including rented facilities at about 91% utilisation", "no space to increase" | Never mixed on one basis. [Est.] 43,300 + Unit-4 (not quantified) + 5,040 Gandhinagar plausibly gives 48,000+. Q1 FY27 annualised volume is 43,760 MT, already above the 43,300 effective figure |
| 2 | Post-project capacity (Oct 2027) | Management: about 70,000 MTPA | Prospectus arithmetic: 43,300 + 33,490 (49,100 gross new less 15,610 decommissioned) = 76,790. The prospectus's own stated net is +32,710, giving 76,010; its inputs imply +33,490, a 780 MT gap | Quote the trio (about 70,000 / 76,010 / 76,790). The gap of 6,000-7,000 MT to management's figure is unexplained (management may exclude rented units or use another basis) |
| 3 | Customer contract status | Prospectus risk factor 2: no contractual arrangements with the top 10 customers | CMD on 10 Aug call: Cargill on a "2 years plus 1 additional year" contract for the last 3 years, polymer cost plus conversion fee. 2 Oct 2026 filing: "renewal of contract for three years", but runs only to Dec 2028 (about 27 months) | Disclosure conflict; tenure, volume commitment and termination terms Not Available |
| 4 | The Rs 150 cr a year order of 2 Oct 2026 | Filing: about 60 million bags a year, about Rs 150 cr a year, unnamed "one of the largest private corporations in the world" in US animal nutrition and feed | The Rs 130 cr "order in hand" quoted on the 10 Aug call. Cargill FY26 revenue was Rs 137.7 cr | [Est.] probably a Cargill renewal at about 9% over FY26. Not additive to the Rs 130 cr order book. Several headlines called it a "Rs 150 crore order win" |
| 5 | FY24 related-party guarantee | Contingent-liability table (prospectus p.86): Rs 467.00 m (Rs 46.70 cr) | RPT summary (p.89): "corporate guarantee given - Knack Energy" Rs 4.67 m (Rs 0.47 cr). A factor of 100 | Unresolved in the filings; both shown. Contingent liabilities were 37.4% of net worth in FY24 on the larger figure |
| 6 | IPO subscription multiple | 83.33x ex-anchors (exchange convention; QIB 154.34x, NII 139.81x, retail 20.07x, employees 9.27x) | 61.10x on the total issue size including anchors (Chittorgarh): 1,580,351,432 bids / 25,865,164 shares | Both correct, different denominators. 83.33x is 1,580,351,432 / 18,964,018 [Est.] |
| 7 | Q1 FY27 EBITDA margin | 22.35% on total income (includes other income; company footnote confirms) | About 21.7% ex other income: (591.73 - 23.12) / 2,624.59 [Est.]. Q1 FY26 20.65% headline vs 20.2% ex | Both shown; headline used only where labelled |
| 8 | Q1 FY27 growth label | Press release: "revenue from operations 2,624.59 vs 1,871.17" (the latter is Q1 FY26 total income) | Revenue from operations Q1 FY26 was 1,860.12, so +41.1% (Moneycontrol Rs 262.46 cr +41.1%); total revenue +41.5%; our arithmetic on the press-release pair +40.3% | 41.1% used for revenue from operations |
| 9 | Three-year free cash flow | CFO Rs 218.48 cr less capex Rs 230.09 cr = -Rs 11.61 cr (restated consolidated table: -37.13 + 36.18 - 10.65) | n/a (no input file gives a second figure) | -Rs 11.6 cr used [Est.]: about zero against Rs 212.5 cr of profit |
| 10 | CFO, FY25 and FY24 | Restated consolidated: Rs 94.05 cr and Rs 32.45 cr. Screener standalone: 92 and 33 | CARE (standalone, after interest): Rs 60.60 cr and Rs 44.18 cr | Restated used; CARE FY25 not reconcilable from public documents |
| 11 | Sacos y Empaques | #2 customer (Rs 48.0 cr, 5.83% of FY26 revenue) | Original 40% JV partner; handed its stake (with the 10% individual) to Bessher Holding S.A.P.I. de C.V. on 30 Dec 2025, about 8 months after the JV agreement of 28 Apr 2025 | Bessher's background Not Available |
| 12 | Mexico JV funding | Footnote: USD 1 m of a USD 1.5 m board-approved loan disbursed by 31 Mar 2026 | Balance of loans and advances at 31 Mar 2026: Rs 192.37 m, about USD 2.1 m at roughly Rs 90 per USD [Est.] | Unreconciled; the balance may include interest, sales receivable and other advances |
| 13 | Peer average P/E | Prospectus: 25.44x | Simple mean of the three disclosed (18.39, 27.70, 32.49) = 26.19x [Est.]; India Infoline quoted 25.96x on listing day | All three shown in Tab 9 |
| 14 | Solar farm start | Prospectus: FY25 | CARE: operations began Oct 2025; management: "last to last quarter" | Dates conflict; MD&A says FY26 |
| 15 | Logistics | Prospectus risk factor: third-party transporters with transit insurance | CMD: "strong in-house logistics capability" | Differs |
| 16 | Cylinder ownership | Business section: 73,000+ cylinders for 1,950+ customers | Risk factor 20: 73,363 Knack-owned = 43.08% of total (implies about 170,000 total) | Inconsistent as printed |
| 17 | Customer retention | Retention ratio 88.32% FY26 (65.41% FY25, 67.27% FY24) | Continuity rate 93.75% FY26 (94.40%, 95.35%); management "about 90%" | Three different measures, kept separate |
| 18 | Statutory-dues delay | Governance file: professional tax up to 187 days late | Market file: up to 152 days | Both printed; 12 instances in FY26 (Rs 0.93 m, 218 days cumulative) |
| 19 | Q1 FY27 other expenses | Results table: Rs 383.16 m (fits the cost arithmetic: materials near 58% of revenue) | Business file cost list: Rs 194.8 m | 383.16 used [Est.]; 194.8 shown as a differing figure |
| 20 | Q4 FY26 and Q1 FY26 PAT (consolidated) | Deck: 244.33 and 206.33 Rs m | Results filing: 244.35 and 206.35 Rs m | Two prints of the same quarters; immaterial but shown |

Reading the register
Items 3 to 5 matter most for investment purposes: contract status and the real size of the order book govern revenue visibility, and the Rs 467.00 m vs Rs 4.67 m guarantee goes to the size of related-party credit support. Items 1 and 2 affect how much of Q1's volume came from owned versus rented capacity and how much the October 2027 plant really adds. [Analyst View]Business Deep-Dive

It is a B2B2C model: brands buy the bag, consumers see the branding. [Fact]
The pitch is shelf-grade six-colour gravure printing on 25-50 kg bags, brand identity on bulk packs that was previously only available on bags under 5 kg. Management on the call: "In 2004 we identified a gap ... spent close to two years on R&D and became first company in India to introduce printed bags that carry the same branding up to 50 kg". Note the prospectus dates the start to 2006 (proprietorship); the 2004 date is a management statement. [Fact]
Claims to treat with care: "first company in India (and Asia) to provide laser-cut and easy-open feature integrated into PLWPP pinch-bottom bags" rests on a machinery-vendor certificate cited by Technopak. "Largest manufacturer of PLWPP and PLWPP pinch-bottom bags in India by FY25 revenue" is true among Technopak's selected peer set, which is mostly unlisted private firms. The ~10.1% share of Indian flexible bulk PLWPP bags (including pinch-bottom), FY25, comes from a report commissioned and paid for by the company. [Fact]

Two new pinch-bottom finishing machines (about Rs 20 cr each) were installed in the last quarter of FY26. CARE: two pinch-bottom machines and one lamination machine, about Rs 47 cr outlay, due to start April 2026. Management also says 70% of sales are already PLWPP and the mix is moving from jute to PP to PLWPP to PLWPP plus pinch-bottom. [Fact]

[Est.] Q1 FY27 volume +20.9% but realisation +16.7%: most of the 41% revenue growth is resin pass-through (West Asia and crude), not volume. EBITDA/kg still rose 26.6%. Flat FY24-FY26 realisation against +36% EBITDA/kg means the gain came from mix, power savings and scale (plus the pay reset, Tab 5), not price. An analyst quoted Rs 54 on the call and management did not dispute it.

| Post-project (management) | About 70,000 MTPA by Oct 2027 | Transcript p.4 |
| Post-project (prospectus arithmetic) | +49,100 MT gross new, -15,610 MT decommissioned (Unit-1 wear and Unit-3 lease expiry); stated net +32,710 MT gives 76,010 MT effective; 49,100 - 15,610 = 33,490, which gives 76,790. The prospectus's own "net" is 780 MT lower than its inputs | Prospectus p.136 |
[Est.] 43,300 + Unit-4 + 5,040 plausibly equals "48,000+". The gap between about 70,000 (management) and 76,010-76,790 (prospectus) is unexplained; management may exclude rented units or quote a different basis. Annualised Q1 FY27 volume is 10,940 x 4 = 43,760 MT, already above the FY26 effective figure of 43,300, consistent with rented plants contributing.

- Company EBITDA is built as total income less materials, traded goods, inventory change, employee and other expenses. It therefore adds back the FY26 JV loss (Rs 0.94 cr) and the labour-code charge (Rs 1.08 cr): PBT 125.06 + finance 15.91 + D&A 29.30 = 170.27 against reported EBITDA 172.29; the 2.02 difference equals 1.08 + 0.94. [Est.] check of prospectus p.84 and p.157.
- FY25 EPS was Rs 147.62 before the 19:1 bonus (19 May 2025, 9.5 cr new shares) and Rs 7.38 after. Equity capital rose from Rs 5 cr to Rs 100 cr by capitalising reserves. Standalone FY26 PAT (Rs 89.4 cr per the deck) is below consolidated (Rs 92.7 cr): the subsidiary contributes, the JV subtracts.
- Volume vs price [Est.]: volume +12.7% in FY25 and +10.7% in FY26 against revenue +12.5% and +11.8%; realisation about +1% in FY26. All growth is organic (no acquisitions; the JV is equity accounted).
Margin trend: headline versus operating
Quality of earnings
| # | Issue | Evidence |
|---|---|---|
| 1 | Other income and forex | Other income rose 4.5 to 10.9 to 20.3 cr. Of the FY26 20.34 cr, the foreign-currency translation gain was Rs 16.85 cr (FY25 5.49 cr; FY24 4.36 cr) = 13.5% of FY26 PBT. Total other income is 16.3% of FY26 PBT (FY25 11.0%, FY24 7.2%). No hedging (CARE); the company uses it inside EBITDA [Fact] prospectus p.398, CARE p.2; share-of-PBT arithmetic [Est.] |
| 2 | Headline vs operating margin | Company EBITDA margin 20.42% (FY26) is on total income including the forex gain. Operating EBITDA margin ex other income is 18.45%, 2 pp lower. Technopak, quoted in the prospectus, says "18.5% EBITDA margin in Fiscal 2026" (p.375) |
| 3 | Q4 FY26 masked by other income | Standalone Q4 FY26: sales 210, operating profit 32 (OPM 15%), other income 10, PBT 31. Without the Rs 10 cr of other income PBT would be about Rs 21 cr [Est.]. Q1 FY27 operating margin rebounded to about 21% standalone, so Q4 may be a one-off (inventory build, WIP rise "to improve order-to-sales timeline" per MD&A). Management has not explained Q4 margin on the call: Not Available |
| 4 | Promoter pay cut explains about half the margin gain | Remuneration to promoter-directors and exiting directors (Tulsibhai Patel, Kamlesh Patel) plus relatives fell from about Rs 19.8 cr (FY24: directors 18.0 + relatives 1.8) to Rs 13.0 cr (FY25: 12.0 + 1.0) to Rs 5.0 cr (FY26: three directors, 1.65 + 1.70 + 1.65). A saving of about Rs 14.8 cr vs FY24 equals about 1.8 pp of FY26 revenue, against operating-margin expansion FY24 to FY26 of 3.65 pp [Est.]. CARE also cites "lower KMP remuneration" for the FY25 PBILDT improvement. A structural cost reset, sustainable but non-repeatable. FY26 package fixed from 18 Jul 2025: CMD Rs 1.65 cr, WTDs Rs 1.70 cr and Rs 1.65 cr |
| 5 | Power | 11 MW solar farm (FY26 per MD&A; CARE: from Oct 2025) and 2.1 MW windmill (FY24). Power and fuel Rs 24.9 cr (FY24), 21.4 cr (FY25), 19.8 cr (FY26) despite volume. CMD: saves about 1.1% of revenue in Q1 FY27 vs Q1 FY26 |
| 6 | Pass-through | About 45-50% of customers on "raw material plus conversion" (Cargill, Dawat/Kohinoor named); the rest order-time pricing; management says price rises pass through the same day. EBITDA per kg Rs 33.14, 41.87, 45.15 (company basis); an analyst quoted Rs 54 for Q1 FY27 and management did not dispute it |
| 7 | Tax | Stable at 25-26% |
| 8 | Labour code | New labour codes (effective 21 Nov 2025) created a one-off Rs 1.08 cr (Rs 10.77 mn) charge in FY26 |
| 9 | Cash backing | CFO / PAT 0.71x, 1.27x, 0.99x (3-year 1.03x) but three-year FCF about -Rs 11.6 cr [Est.] (Tab 6) |

Points to watch in the Q1 FY27 print
- Labelling: the press release shows "revenue from operations 2,624.59 vs 1,871.17 (+41%)", but 1,871.17 is Q1 FY26 total income. True revenue-from-operations growth is 41.1% (net sales Rs 262.46 cr per Moneycontrol); total revenue +41.5%; our arithmetic on the press-release pair gives +40.3%.
- Other income in EBITDA: about Rs 2.3 cr (2,647.71 less 2,624.59 = 23.12 mn). Operating margin about 21.7% vs 20.2% in Q1 FY26.
- Volume vs price: volume +20.9%, revenue +41%. Pinch-bottom mix (22.5-23% of volume from 19-20%) and polymer prices up with Brent explain the gap; part of the growth is raw-material pass-through [Est.].
- Working capital absorption: change in inventories of finished goods and WIP was Rs 316 mn in Q1 FY27 vs Rs 67 mn a year earlier, about Rs 250 mn more absorption [Est.].
- JV loss: Rs 34.45 mn is about 7.6% of consolidated pre-tax profit before JV (452.87).
- Cost lines: employee cost +48% and D&A +42% reflect rented units and added machines; interest flat at about Rs 4 cr even though sanctioned limits are high.
- Review status: only the quarter ended 30 Jun 2026 was reviewed by the auditor; the comparative Q1 FY26 and Q4 FY26 consolidated columns were management-compiled and unreviewed. The South Africa subsidiary (Q1 revenue Rs 157.18 mn, PAT Rs 25.38 mn) was included; the JV was reviewed by another auditor.
- Volume run-rate: 10,940 x 4 = 43,760 MT vs 38,157 MT in FY26 (+14.7%) [Est.]. Capacity operated: 48,000+ MTPA including rented units at about 91% utilisation (management).
- Other expenses: Rs 383.16 mn per the results table (a Rs 194.8 mn figure appears in one input; see Tab 2 item 19). Q1 FY27 cost lines in the deck: employee Rs 152.4 mn, finance cost Rs 40.3 mn, D&A Rs 98.6 mn on revenue Rs 2,624.6 mn.

- Other equity fell slightly in FY26 despite Rs 92.7 cr profit because Rs 95 cr of reserves were capitalised for the 19:1 bonus (May 2025). [Fact/Est.]
- Gross block Rs 416 cr at 30 Jun 2026 vs Rs 273 cr a year earlier (+Rs 141 cr in 12 months; +Rs 30.75 cr in Q1 FY27 alone) per the CFO on the call. Gross-block asset turn 2.53x and net-block 4.12x; promoters say the industry runs 1.5-2x on "textile-cum-packaging" machines.

FY26 standalone balance sheet and cash flow: blank on Screener on 21 Oct 2026. Standalone borrowings (188 in FY25) exceed consolidated (172) because the Screener figure includes lease liabilities and other financial liabilities [Est.]. Net worth grew about 3.4x from FY21 (63) to FY25 (215). Total assets doubled FY22 to FY25 as capex (Unit-2, printing and lamination lines, solar, windmill) was debt-funded.

- Conversion is acceptable on a three-year view (1.03x) but lumpy; receivables absorbed Rs 53.9 cr in FY24 (sales +26%). FY26 absorbed Rs 57 cr in inventory plus receivables.
- Every rupee of the three-year profit (Rs 212.5 cr) went into capex; FCF is about zero cumulatively. The business was a net debt-funded grower until the IPO.
- Also in FY26: Rs 4.4 cr of equity investment (Mexico JV) and Rs 5.6 cr of loans received back (net).
- CFO conflict. CARE, using standalone after-interest numbers, shows CFO of Rs 60.60 cr (FY25) and Rs 44.18 cr (FY24). Restated consolidated CFO is Rs 94.05 cr and Rs 32.45 cr; Screener standalone CFO is 92 and 33. The difference is classification (interest paid is financing in the restated statement: Rs 15.4 cr FY25, Rs 13.7 cr FY24; and tax). CARE's FY25 60.6 is not reconcilable to 94.05 from public documents. Restated figures used; gap flagged.
- Screener standalone CFO / EBITDA: 54%, 45%, 61%, 50%, 87% for FY21-FY25.
- Capex, maintenance versus growth: the company does not split maintenance and growth capex (Not Available). FY24-FY26 capex (Rs 69.6, 57.9, 102.6 cr) funded Unit-2/3 lines, printing and lamination, the 11 MW solar farm and two pinch-bottom machines, so it was predominantly growth capex [Analyst View]. The IPO plant adds Rs 456.12 cr of project cost (Tab 12).
- FCF yield: not meaningful (FY26 FCF negative; three-year cumulative about -Rs 11.6 cr).

CARE: operating cycle 94 days (FY25), 83 days (FY24); current ratio 1.40x, quick ratio 0.92x (FY25); credit period 30-60 days domestic, 60-90 days export. The company reports an 86-day working-capital cycle for Q1 FY27 on its own definition. Technopak shows 86 / 106 / 107 / 120 days for FY23-FY26. Reading [Est.]: inventory days jumped 15 days in FY26 (Rs 119 cr, +29% vs revenue +12%) because of WIP build ahead of the Q1 order surge and higher polymer prices. A cycle of about 120 days is long for an 18% margin business; each 10 days is about Rs 23 cr of capital at FY26 scale. Contract liabilities and advances are small. Expected credit loss charge: Rs 1.4 cr (FY26), (0.4) (FY25), 0.9 (FY24). Trade receivables of Rs 138.30 cr are the same figure as the risk factor's Rs 1,382.99 mn (16.8% of revenue); bad debts written off Rs 17.09 mn in FY26.

The company's capital-employed definition is equity plus non-current liabilities (excluding lease and deferred tax). It therefore leaves out current borrowings (about 80% of the debt). On total debt, FY26 RoCE is about 32%, still excellent against peers (Mold-Tek 15.3%, TCPL 24.4%, Time Technoplast 19.7% on the company's own definition, so the true gap is narrower than 47% vs 15-24%). In Q1 FY27 the company reports RoCE 54.73% and RoE 37.45% (annualised, on pre-IPO equity; the CFO misspoke 57.73% and corrected). Post-IPO equity doubles to about Rs 688 cr, so RoE will mechanically fall to the high teens until the plant is productive [Est.].

Key balance-sheet risks
- Short-term debt dependence: 79.5% of borrowings are current and limits ran 90-95% utilised before the IPO.
- Working-capital intensity: cash conversion cycle about 120 days and inventory +29% in FY26.
- Promoter personal guarantees of Rs 451 cr cover company and group borrowings; the FY24 guarantee figure is inconsistent by a factor of 100.
- Mexico JV exposure: Rs 192.4 mn loans and advances, Rs 220.9 mn guarantee, Rs 34.45 mn Q1 loss.
- Unhedged forex gain of Rs 16.85 cr inside FY26 EBITDA; export 56% on USD pricing.
- Fresh capex of Rs 456 cr with Rs 284.9 cr of plant, machinery and electrical items (about 62% of project cost [Est.]) not yet ordered; funding mix Rs 12.88 cr paid, Rs 32.08 cr accruals, Rs 320 cr IPO.
- Insurance covers only 56.93% of assets at 31 Mar 2026; 43.07% uninsured.
Management, Promoters & Governance
Amounts in Rs million (m) where quoted from the prospectus RPT tables (1 cr = 10 m), otherwise Rs crore. Items marked "analysis" are our reading, not allegations of illegality. Almost all governance facts come from the prospectus of 5 Jul 2026; the company has no listed-company annual report, corporate-governance report or board attendance record yet. The Sep-2026 quarterly governance report (due within 21 days of quarter-end under LODR Reg 27(2)) could not be located: the NSE governance endpoint needs a record ID.
Promoters and control
| Promoter | Role | Age | DIN | Pre-IPO % | 30 Sep 2026 % | OFS sold Rs cr |
|---|---|---|---|---|---|---|
| Alpesh Tulsibhai Patel | Chairman and MD; marketing; director since 4 Mar 2013 | 49 | 06380254 | 21.03% | 16.63% | 11.49 |
| Rashminbhai Tulsibhai Patel | Whole-time director; production; brother of Alpesh | 46 | 06468763 | 22.70% | 17.99% | 11.49 |

| Total promoters | 54.92% | 43.53% | 28.08 |
- Business history. Rashmin Patel founded Knack Packaging as a proprietorship in 2006; a partnership "Knack Packaging" (promoters plus Tulsibhai Patel and Kamlesh Patel) was formed in 2012; the company was incorporated in 2013. The partnership firm still exists, is part of the Promoter Group and is "involved in the same line of activity"; promoters hold interests in it (prospectus p.311-313). Analysis: the prospectus says there are "no common pursuits" between group companies and the issuer (p.422), which sits uneasily with this. No non-compete deed is disclosed: Not Available.
- Relatives reclassified. Tulsibhai Keshavlal Patel (father of Alpesh and Rashmin) and Kamlesh Ambalal Patel (brother of Pravin) were directors until 18 Jul 2025, were paid Rs 25.2 m and Rs 20.4 m in FY25, and were reclassified as non-promoters by board resolution of 13 Aug 2025 "with effect from FY2024-25" (p.311). They still appear as Promoter Group members and OFS sellers (Tulsibhai 5.26%, Kamlesh 4.90% post-offer).
- Control. Promoters plus promoter group hold 70.59% (86,383,500 shares; 20 holders), unchanged between the 7 Jul and 30 Sep 2026 filings. The 8.26% held by the Kamlesh Patel family is classified "public" but appears in the related-party schedule as relatives of KMP. Effective family and associate holding is about 78.9% [Est.]. No shareholder agreement or special rights; no nominee directors (p.126). Significant beneficial owners in the SHP: Alpesh, Rashmin and Pravin Patel.
- Pledge. The prospectus (p.122) says none of the promoters' shares is pledged; the NSE SHP at 30 Sep 2026 has "pledged", "non-disposal undertaking" and "other encumbrance" all false.
- Personal guarantees. Promoters guarantee company and group-company facilities of Rs 4,510 m (Rs 451 cr) at 31 May 2026 (HDFC Bank and HSBC cash credit and term loans of the company, plus HDFC facilities of Knack Energy Pvt Ltd: cash credit Rs 100 m and letter of credit Rs 370 m). Risk factor 35.
- Acquisition cost. Weighted average cost of equity after the bonus was Rs 0.27 (Alpesh), Rs 0.33 (Pravin), Rs 0.65 (Rashmin) per share against the Rs 170 issue price; average holding cost Rs 2.86-7.50 per share (p.1, 126-127).
- Lock-ins. Minimum promoters' contribution 24,723,500 shares (8,158,755 Alpesh + 8,405,990 Pravin + 8,158,755 Rashmin; 20.0% of post-issue capital) for 3 years (to 8 Jul 2029 per the prospectus table); remaining promoter shares 1 year (about Jul 2027); all pre-IPO non-promoter shares (including promoter-group individuals and the Kamlesh family) 6 months from allotment (6 Jul 2026), i.e. about 6 Jan 2027 [Est.]; anchor shares 50% for 30 days (ended 4 Aug 2026) and 50% for 90 days (ended 3 Oct 2026).
Board of directors
Six directors: three executive (the three promoters) and three non-executive independent (50% independent, the minimum when the chairman is executive). One woman director. [Fact] prospectus p.293-299.

Committees (constituted 18 Jul 2025; CSR since 2017): Audit - Magan (chair), Sharma, Pravin Patel (majority independent, chaired by an independent: compliant). NRC - Magan, Sharma, Balaji (all independent). SRC - Balaji (chair), Alpesh, Rashmin (two of three are promoters). CSR - Balaji, Magan, Alpesh, Pravin. Risk Management - Sharma, Magan, Rashmin Patel, CFO Dr Ajay Kumar Dubey. (p.299-306)
- All three independent directors joined on 18 Jul 2025, about 11 months before the IPO and after DRHP preparation began. Sitting fees up to Rs 0.10 m per meeting plus commission up to Rs 1.2 m a year (approved Mar 2026); FY26 total Rs 0.97 m, 0.97 m, 0.99 m.
- Risk factor 56 says no director has ever served on a listed company board, yet Deepti Sharma's profile lists several directorships (Panasonic Energy India Co Ltd, Axtel Industries Ltd, Bundy India Ltd). We have not verified which are listed; both statements cannot be right if any is listed.
- Education and experience documents for Deepti Sharma (independent director) and two senior managers (Manishkumar Gurjar, Suryakant Patel) could not be traced; the BRLMs relied on self-certified CVs and mark-sheets (risk factor 15, p.44-45).
- The first board meeting after listing (15 Jul 2026, 7:42-8:10 pm) approved a sub-lease and plant lease from Dayana Polyplast Ltd, Kalol, without stating related-party status in the extract read: Not Available.
- Board and committee attendance: Not Available (no annual report or governance report yet).

Analysis, churn: in the first 14 weeks of listing the company lost its Company Secretary (who signed the 15 Jul 2026 board outcome) and a costing-head SMP; the CFO has been in place only since mid-2025. The CS departure is explained as intra-group redeployment to another "Knack" entity, which confirms that group employees are shared across promoter entities. Watch for further senior exits. No ESOP or SAR scheme. Employees: 1,959 including contract labour at 31 May 2026. Also: the KMP were authorised for materiality disclosures on 9 Aug 2026.

Leases and properties with promoters
The registered office (Ahmedabad) and the Unit-1 factory at Borisana, Kadi (30-year leases dated 2018-2019, original terms) are leased from the three promoters, Tulsibhai Patel, Kamlesh Patel and relatives. The new IPO-funded plant is on 85,075 sqm leased for 20 years from five promoter and promoter-group individuals at Rs 0.11 m a month (about Rs 1.3 per sqm per month [Est.]; "arm's length" per management; rent starts 1 Apr 2026; 5% escalation every 3 years). Units 3 and 4 are leased from Praspack Polymers and Multipack Polymers (stated "no relation") for 11m29d periods; statutory approvals for those units stand in the lessors' names. Promoters also lease solar land and the labour colony to the company. Analysis: the entire existing and future asset base sits on land the promoters, not the company, own; the lease is cheap now but renewal terms are "by mutual consent".
Analysis of the RPT picture
- Intensity falling but still large: 20% of revenue (FY24-FY25) to 12% (FY26). The drop is mostly the end of promoter loan churn and remuneration; trading and capital flows with Knack Energy, Technopack, Flexipack and Polymers continue (Rs 117.7 m of equipment bought in FY26 from a promoter-family company whose own sales quadrupled to Rs 5,749 m).
- Arm's-length claims are management's; no independent valuation of the asset purchases is disclosed. What Knack Energy sold the company (Rs 117.7 m FY26, Rs 36.5 m FY25, Rs 49.9 m advance) is not described in the prospectus pages searched (keywords "Knack Energy", "solar", Note 46); the 11 MW solar farm sits on land leased from third parties and relatives (Survey no. 700-P, Unchi Dhanal). We could not confirm the assets were the solar plant: Not Available.
- IPO proceeds: no proceeds go to related parties by stated object, but the plant is on promoter land and some machinery orders are not placed yet.
- Sacos y Empaques is both the #2 customer and the exiting JV partner; its replacement by a holding company with no disclosed background changes the JV's governance while Knack keeps funding it and guaranteeing its vendor.

| 2 | High | Effective control about 79% (70.59% plus the Kamlesh family's 8.26% classified public): minority holders have little leverage; actual free float is thinner than the 29.4% "public" headline; overhang of about 35% of equity in January 2027 |
| 3 | High | Disclosure contradictions: (a) risk factor 2 says no contract with top-10 customers, the CMD said on 10 Aug that Cargill has been on a 2-year-plus-1 contract for 3 years, and the 2 Oct filing is a "renewal of contract" to Dec 2028; (b) "no common pursuits" vs the promoter-owned same-line partnership firm; (c) risk factor 56 (no director of a listed company) vs Deepti Sharma's other directorships; (d) the Q1 FY27 press release mislabels total revenue as revenue from operations in the y/y comparison |
| 4 | High | Earnings quality: FY26 forex gain Rs 16.9 cr (13.5% of PBT) inside EBITDA; Q4 FY26 standalone margin 15% masked by Rs 10 cr other income; about half of the margin expansion since FY24 is a cut in promoter pay |
| 5 | Medium | Staff churn: CS left 16 days after listing (to a group entity), SMP left in October; first CFO year; auditor changed in Feb 2025 mid-IPO preparation |
| 6 | Medium | Corporate-record errors and untraceable degrees (including an independent director's); recurring statutory-dues delays; 43% of assets uninsured |
| 7 | Medium | Project execution: IPO plant cost cut and completion pushed from Dec 2026 to Oct 2027; Rs 284.9 cr of P&M and electrical (about 62% of project cost) not yet ordered; plant on promoter land; existing capacity relies on 11m29d leases with approvals in lessors' names |
| 8 | Medium | Customer side: Cargill 16.7%, US 23.7% of revenue; the #2 customer is also the former JV partner; Knack International (tiny related party) owes Rs 38.0 m |
| 9 | Medium | Shareholding pattern for 7 Jul 2026 was revised by exchange direction on 3 Sep 2026 (discrepancy unspecified) |
| 10 | Low / mitigant | No pledge, no litigation of substance, no SEBI action, no ESOP dilution, no dividend leakage; independent audit chair is a professional CFO; remuneration reset and loan repayment show promoters de-risked governance before listing; rating upgraded to A- |
| 11 | Low / mitigant | Rent and remuneration to relatives ceased in FY26 (relatives' payroll nil) |

Supply Chain
Two halves: what Knack depends on (upstream resin, film, inks, machinery, leased capacity, labour) and who depends on Knack (downstream customers). Prospectus p.24-27, 199-204, 243-271; CARE; Q1 FY27 call. Tags as in Tab 1.
Value chain and where pricing power sits
Where pricing power sits [Analyst View]
Upstream, resin makers set the cost: a single domestic supplier takes 35.78% of purchases and two take more than 50%, buying is by purchase order or spot, and the prices are public benchmarks. Knack's own pricing power is the conversion fee and mix. Half the book is protected by cost-plus contracts; the other half (small buyers of 25,000-50,000 bags a month) follows market prices. Downstream, packaging is under 1% of the filled-product cost (about USD 0.25 on USD 20-50 of product, per the CMD), which makes buyers tolerant of price but sensitive to supply reliability; Cargill refused an Oman plant and stayed with Indian supply through the 50% US tariff period. Real stickiness is the artwork and cylinder base, not a contract: no contracts with the top 10 customers per the prospectus, and customers give volume projections but no commitments (p.379).Upstream: what Knack depends on
Raw materials
| Input | Detail |
|---|---|
| Polypropylene (PP) granules | Primary. Raffia grades H030SG/H030RG for tape; lamination grades H350FG/H350EC per Technopak (p.199) |
| LDPE granules | Liners; priced in foreign currency in part |
| BOPP film | Printed and laminated onto fabric |
| Inks, adhesives, masterbatch, additives | Vinyl/PU-based inks and adhesives |
| Cost of materials consumed | Rs 4,908.51 mn in FY26 = 59.6% of revenue (59.5% FY25; 60.5% FY24); 68.5% of total expenses (p.265, p.378) |
| Paper and board | Not applicable. Neither is a disclosed input; Knack does not buy paperboard. Paper (multiwall paper sacks) is a substitute; Technopak frames PLWPP as displacing paper, jute and multiwall in chemicals, seeds, charcoal and Europe (p.251-252). | Fact | Detail |
|---|---|
| Sourcing mode | Purchase order or spot; no long-term supply contracts with the top 10; short-term agreements with a few (p.24-26) |
| Identity | The prospectus withholds names (no consent). CARE names Reliance Industries and Nayara Energy as key raw-material suppliers paid within 5-7 days; other suppliers give 15-30 days credit. Technopak: Reliance, Indian Oil, ONGC supply domestic PP. Mapping "Supplier I" to Reliance is [Est.] |
| Domestic vs import | 97.5% domestic / 2.5% imported in FY26 (Rs 126.17 mn); imports from Singapore (Rs 49.2 mn), South Korea (Rs 42.5 mn), Thailand (Rs 34.5 mn); earlier years also Dubai, Poland, Hong Kong, Muscat, Oman, USA |
| Inventory | 45-60 days of raw material and WIP; bulk buying and cash payment to earn discounts (p.268; call) |
| Pass-through | Cost-plus customers (45-50%) neutral; spot buyers repriced; management claims same-day pass-through of increases and decreases ("50% pass-on and 60% we will get it as it is" in the garbled transcript) |
| Price benchmark | Virgin PP INR 88,054/MT (Jan 2024) to 93,185/MT (Apr 2025), +5.8% (Technopak). West Asia conflict spiked resin in early 2026 (CARE: "significant raw material price rise ... company maintains sufficient stock"); PP imports to India USD 1.27 bn (2018) to 1.91 bn (2024) |
| Related parties | "None of the suppliers are related parties" (p.25). Group companies do trade goods with Knack: see Tab 7 |
| Foreign exchange | LDPE and some imports priced in foreign currency; no hedging policy (CARE) |
| Capex suppliers | Starlinger, Lohia, B&B, Chinese converters (Tab 3 table). Starlinger is about 59% of the new-plant machinery budget [Est.]; B&B (Germany) is the single source for pinch-bottom finishing |
| Leased capacity lessors | Praspack Polymers (Unit-3), Multipack Polymers (Unit-4), Dayana Polyplast (Gandhinagar) are unrelated third parties; promoters and promoter group lease Unit-1 blocks, the project site, HQ offices, solar land and the labour colony (p.36-38) |
| Labour | 1,834 on roll and contract at 31 Mar 2026; attrition 36.69% FY26; labour codes live from Nov 2025 |
[Est.] A single resin source supplying more than 35% and two suppliers more than 50% of spend, bought on the spot, is the main upstream fragility; cost-plus contracts for roughly half of customers mitigate it. Management said on CNBC-TV18 (11 Aug) that strong supplier relationships contain polymer volatility.

Pricing model, retention and selling
| Item | Detail |
|---|---|
| Pricing model | 45-50% of customers on cost-plus (polymer plus fixed conversion), including Cargill and Dawat/Kohinoor; the other 45-50% are small buyers (rice mills, fertiliser firms, Karaikudi in Tamil Nadu) buying 25,000-50,000 bags a month at order-time price. Prospectus: for certain customers price is linked to raw material both ways, for others fixed per PO (p.379) |
| Retention ratio (prospectus definition) | 88.32% FY26, 65.41% FY25, 67.27% FY24 |
| Customer continuity rate (revenue from prior-year customers / current revenue) | 93.75% FY26, 94.40% FY25, 95.35% FY24; the deck uses 93.75% |

| Logistics | Prospectus: third-party transporters with transit insurance (p.55). Management: "strong in-house logistics capability" (call p.4). The two statements differ |
| Geography | 56.30% export; USA 23.66%; Mexico 6.12%; South Africa 5.41%; see Tab 4 for the full country and state tables |
| Cylinder asset | 73,000+ cylinders for 1,950+ customers (business section) vs 73,363 owned = 43.08% (risk factor 20); Knack "serves as custodian of customers' branding material", raising switching costs |
Downstream chain summary
Competitive Position
Two structural caveats on this tab
- All industry sizing and the "10.1% market share" come from one Technopak report that Knack commissioned and paid for (prospectus risk factor on industry information; p.243). Technopak's peer set is mostly unlisted private companies. No independent second source was reachable.
- Management said on the call "there is no genuine peer compared to Knack" and "no competitive peers listed with us". The listed comparators the prospectus uses (Time Technoplast, TCPL Packaging, Mold-Tek Packaging) make rigid containers, cartons and labels, not woven bags. Treat them as valuation anchors, not business twins.

Sector drivers [Fact, p.181-186, p.199-204]
- Demand pulls: packaged food (global USD 3,375 bn CY25 to 4,450 bn CY29, 7.2% CAGR), packaged pulses 5.7%, rice 3.0%, flour 4.5%, spices 5.3%, dry fruit 5.5%, sugar 3.2%, pet food 5.9% (to USD 143 bn), animal feed 5.4%, seeds 11.0%, fertiliser 4.7%, cement 5.4% (Exhibit 2.7 values garbled in extraction: indicative CAGRs). Knack names pulses 5.7%, spices 5.3%, rice 3.0% and pet food 6.4% as its focus sectors (p.251).
- Shift from jute, uncoated PP and paper to PLWPP for branding, barrier, strength and reuse; India's cost advantage in labour and the tape/fabric ecosystem versus China and Vietnam (p.182, p.186).
- Raw-material chain: domestic PP from Reliance, Indian Oil, ONGC; virgin PP INR 88,054/MT (Jan 2024) to 93,185/MT (Apr 2025) (p.199, p.202).

Source: Technopak Exh 12.1, 13.1-13.5, 13.11. [Est.] The ROE/ROCE rows of Exh 13.6/13.11 extracted with column scrambling; the FY25 summary row (13.11) was used and ROE cross-checked against 13.6 for Knack, Mayur, Lakhdatar and Aeroflex (match). Treat peer ROCE as plus or minus an error; plant and capacity cells were re-assigned by row order. Knack's definitions here (EBITDA 18.1%, PAT 10.0%) are Technopak's FY25 basis.
[Est.] Reading: Knack's revenue is 2x the next peer in the set, its EBITDA margin is 18.1% against a peer median of about 5.5%, and it is the only firm with ROCE above 40%. That is an extraordinarily wide gap for a sector CARE calls "fragmented ... low entry barriers". Either Knack's mix (pinch-bottom, exports, cost-plus conversion contracts) really is differentiated, or the peer set (largely coated, FIBC and plain-bag makers) is not like-for-like. The company itself says the peers are not comparable.

| US PLWPP makers | Polytex Fibers (Houston, since 1980, USD 16.7 mn revenue CY24; pet-food PLWPP and pinch-bottom; owned by Five Star / The Jordan Co), Anduro Manufacturing (Atlanta/Honduras, USD 20-50 mn; acquired by Five Star Jan 2025), JohnPac (Louisiana, USD 10-50 mn), Hood Packaging (multiwall paper and plastic, USD 1-1.5 bn), ProAmpac (USD 2.5-5 bn), Printpack (USD 1.1 bn), Transcontinental Packaging (CAD 2.81 bn). Management calls Polytex "exactly a peer" and says a dog-food bag costs USD 0.70-0.75 from Polytex vs USD 0.35-0.40 from Knack (management claim) | p.188-193; call p.12 |
| Global paper and flexible majors | Mondi (revenue USD 8.85 bn CY25, EBITDA 13.1%, 420,000 MTPA, 100+ sites; multiwall paper bags, PLWPP and pinch-bottom); Amcor (USD 15.0 bn FY25, 14.6% EBITDA, 212+ sites); Graphic Packaging (USD 8.60 bn) | p.188-192 |
| Asian exporters | Thailand (Nakhon Pathom rice/seed bag maker, USD 5 mn), Vietnam (Trung Dong Corp, 46 mn bags a month; EPP Vietnam), China/Cambodia (Shining Star Plastic, exports mostly to the USA). Management: Thailand and Cambodia are the direct competitors; China faces anti-dumping duty so is "not directly a competitor"; Indian cost is the lowest globally | p.192-193; call p.12 |

Industry structure, entry barriers and Porter's five forces
| Force | Assessment [Analyst View] | Evidence |
|---|---|---|
| Rivalry | Moderate to high | CARE: "highly fragmented ... many unorganised players ... limited product differentiation". Rivals (Kaypee, Lakhdatar, Shri Maa) are adding pinch-bottom. Knack's margin gap is itself a magnet |
| Threat of entry | Contested | Technopak: capital for specialised machines (pinch-bottom finishing especially), resin access, SOPs/ERP, cylinder management, incumbents, food and pharma compliance, labour skills (p.249-250). CARE: "low entry barriers in terms of capital and technology" (p.3) |
| Supplier power | High | Largest resin supplier 35.78% of purchases, top 10 86.21%, no contracts, benchmark pricing |
| Buyer power | Moderate | Packaging under 1% of filled-product cost and artwork lock-in, but no contracts with the top 10 and Cargill 16.73% |
| Substitutes | Moderate | Paper, jute, PLA, uncoated WPP; but Technopak sees PLWPP gaining share against them (recyclable mono-material vs multiwall paper and multilayer laminates) |
Moat and durability [Analyst View]
What looks durable: integrated scale (about 2x the next peer in Technopak's set), gravure/print capability, SKU depth, the cylinder and artwork base, export approvals and the Cargill relationship built since 2020. What does not yet look durable: no contracts with the top 10 customers, CARE's low-barrier reading, rented capacity on lessors' approvals, rivals copying pinch-bottom, and a margin gap that rests partly on cost-plus pass-through and a pay reset. The moat claim is as strong as the paid report behind it.Policy and regulation
India, plastics [Fact unless tagged]
| Rule | Content | Exposure for Knack | Source |
|---|---|---|---|
| Plastic Waste Management Rules 2016 (amended 2018, 2021, 2022, 2024) | Producers, importers and brand owners (PIBOs) carry Extended Producer Responsibility; central registry via CPCB | Knack is a manufacturer of plastic packaging; its customers (brand owners) are the EPR obligors for filled packs, but packaging producers are also obligated entities | p.222-224, p.275 |
| PWM Amendment 2022 (EPR guidelines, 16 Feb 2022) | Categories: I rigid, II flexible (single or multilayer, sheets, carry bags, sachets), III multilayer with non-plastic layer. EPR collection targets 25% (Cat I FY22), 70% (Cat II FY23), 100% (Cat III FY24) of eligible weight | PLWPP is BOPP laminated on PP woven (all PP, mono-material). Category not stated in the prospectus; probable Cat II [Est.] | p.225 |
| Recycling targets (% of EPR obligation) | Cat I 50/60/70/80; Cat II 30/40/50/60; Cat III 30/40/50/60 (FY25, FY26, FY27, FY28+) | If Cat II: 40% FY26 rising to 50% FY27 | p.226 |
| Recycled-content mandate | Cat I 30/40/50/60; Cat II 10/10/20/20; Cat III 5/5/10/10 | Knack already uses 72% recycled content in PP woven and 38% in laminated bags (EN 15343), ahead of any Cat II/III threshold | p.226, p.271 |
| Single-use plastics ban (19 items, 1 Jul 2022); carry-bag thickness 75 micron (Sep 2021) to 120 micron (Dec 2022) | Targets straws, cutlery, thin carry bags | Knack's woven shopping bags (revenue nil in FY26) are the only nearby category; core industrial and FMCG sacks are not banned | p.222 |
| Barcode/QR with producer registration on plastic packaging from 1 Jul 2025 | Traceability | Compliance cost; Knack already offers QR/barcode/RFID as a customer feature | p.222 |
| India Plastics Pact (CII/WWF, Sep 2021) | By 2030: 50% of plastic packaging recycled, 100% reusable/recyclable/compostable, 25% average recycled content | Voluntary; pushes customers (ITC, Tata Consumer, Amcor, Huhtamaki are members) toward mono-material PP | p.224 |
| Food Safety (Packaging) Regulation 2018, FSS (Labelling) 2020, Legal Metrology (Packaged Commodities) 2011, BIS | Food-contact and labelling compliance | Prospectus lists FSSAI/BIS; BRCGS certificate supports this | p.274-275 |
| EPR/CPCB registration status of Knack | Not Available. The "Government and Other Approvals" list (p.417-419) shows pollution-board consents, factory licence, PESO, Contract Labour registration, IEC and PLEXCONCIL membership but no PWM/EPR registration; risk factor 34 discusses plastic bans but not EPR | Possible reasons: not required for a woven-sack producer, or omitted. Searched prospectus business, regulation and approvals chapters | p.417-419 |
[Est.] Net read: policy is a medium-term risk for virgin-PP sacks but also a tailwind for recyclable mono-material PLWPP versus multiwall paper and multilayer laminates, the thesis Knack and Technopak both advance. The unresolved item is whether EPR obligations land on Knack as a producer and in its pricing.
India, labour, trade and industrial policy [Fact]
- Four Labour Codes effective 21 Nov 2025; Knack booked a Rs 10.77 mn FY26 exceptional item for past-service cost.
- Foreign Trade Policy 2023 and export benefits (RoDTEP, duty drawback, advance authorisation, EPCG); Gujarat textile policy 2012 interest subsidy; RR-TUFS/ATUFS capital subsidy. Export incentives booked Rs 25.82 mn FY26 (Rs 24.18 mn FY25; Rs 5.71 mn FY24); subsidy income nil in FY26 vs Rs 19.17 mn in FY25. Dependence is small (0.3% of revenue) (p.62, p.276).
- Gujarat Industrial Policy 2020 (MSME and large-project incentives); 100% FDI automatic route for manufacturing (p.274, p.276). Production Linked Incentive and "Atmanirbhar" schemes (Technopak, general; p.170-171): no PLI applies specifically.
Global policy [Fact, Technopak]
- US tariff on Indian goods: 50% imposed in 2025 (indirect hit via packaged-goods demand); a proposed cut to 18% "materially enhances competitiveness" (p.204). Management: Cargill continued to buy through "8 months of 50% tariff" and rejected an Oman plant; exports are FOB so tariffs fall on the buyer, and the company reported no material impact (Moneycontrol 25 Jun 2026). The US tariff regime as of 21 Oct 2026 is Not Available beyond this; confirm before relying.
- EU Packaging and Packaging Waste Regulation (PPWR), EU ban on intentionally added microplastics, US state EPR laws, California Plastic Pollution Reduction Act, China non-recyclable plastic bans (p.182, p.184, p.54-55). Management notes Knack targets EU, Australia, Gulf and Africa (p.252).
- West Asia conflict: higher crude, freight and rerouting; elevated polymer prices into 2026 (p.204; CARE p.2). Q1 FY27 realisation +16.7% y/y shows it flowing through.
Technopak SWOT highlights [Fact, p.202-203]
Strengths: domestic PP ecosystem (Reliance, IOC, ONGC), format versatility, customer lock-in through cylinder and artwork investment. Weakness: environmental perception of plastics. Threats: PWM Rules and thickness bans, paper/jute/PLA substitution, resin volatility, specialty-film import disruption, sustainability-driven shifts.

Concall Highlights & Guidance
Thin record, pre-results
Knack has held exactly one earnings call (10 Aug 2026, 1:00 pm IST, first ever), alongside one results release, one investor-conference intimation (30 Sep 2026) and one contract filing (2 Oct 2026). There are no earlier quarters to compare. Q2/H1 FY27 results follow on 27 Oct 2026; none of this tab uses them. Transcript: company site and BSE (links in Tab 14).The call of 10 Aug 2026 (Q1 FY27)
Speakers: Alpesh T. Patel (Chairman and MD) and Dr Ajay Kumar Dubey (CFO). Eight questioners, all buy-side or advisory, no brokerage research analysts: Raman KV (Sequent Investments), Dhananjai Bagrodia (Alchemy, also an anchor via Alchemy Long Term Ventures Fund II), Nirav Jimudia (Anvil Wealth), Lakshminarayanan (Tunga Investments), Nihal Shah (Prudent Corporate Advisory), Ashish Soni (a family office), Nitin Gandhi (Inoquest Advisors) and an individual investor (Ram Singh). [Fact]
| # | Topic | What management said |
|---|---|---|
| 1 | Capacity | 43,300 MTPA at listing; ">48,000 MTPA including rented facilities" at about 91% utilisation; a further 5,040 MT rented plant added a month before the call (trial runs ongoing); new plant "on track for October 2027" taking total to about 70,000 MTPA; main construction after the rains; machinery finalisation under way (call p.3-4, p.10, p.15) |
| 2 | Growth source | Pinch-bottom share of sales 19-20% last year to 22.5-23% now; mix moves from jute to PP to PLWPP to PLWPP plus pinch-bottom; 70% of sales already in PLWPP. 74 countries (71 at FY26), "always adding new countries, products and customers" (p.9-10, p.13) |
| 3 | Pricing and margin | Pass-through "the same day" because polymer prices are public; 45-50% of customers on a fixed-conversion-fee model (Cargill, Dawat, Kohinoor) so margin per kg is protected when resin rises; the other half are small buyers (25,000-50,000 bags a month). Asked about falling input prices: "sometimes 50% pass-on and 60% we keep" (transcript garbled) (p.7-8) |
| 4 | Margin drivers | Operating leverage, pinch-bottom machines installed in the last quarter, 11 MW solar farm at Khedbrahma (power saving about 1.1% y/y); EBITDA/kg quoted by an analyst at Rs 33 (FY24), Rs 45 (FY26), Rs 54 (Q1) and not disputed (p.9) |
| 5 | Cargill (16-17% of sales) | 2017 outreach, onboarded 2020 at about Rs 6 cr and 40 SKUs; now about Rs 140 cr and 600+ SKUs across 8 countries; 3-year-old contract structure (2 years plus 1); polymer cost plus conversion; buys finished bags only; held through the 8-month 50% US tariff and rejected an Oman plant (p.8, p.10-11) |
| 6 | Competition | No listed peer; Technopak 10% share; Thailand and Cambodia are the direct import competitors; China faces anti-dumping; Polytex (US) prices a dog-food bag at USD 0.70-0.75 vs Knack's USD 0.35-0.40; exports earn 5-6% higher gross margin than domestic (p.12-13) |
| 7 | ROCE and asset turn | CFO: gross-block turn 2.53x and net-block 4.12x; promoters say the industry runs 1.5-2x; they run "textile-cum-packaging" two-type machines (p.6-7) |
| 8 | Order book | "today INR 130 crores order in our hand" (p.10); the CNBC-TV18 headline reads "growth supported by Rs 130 crore order book" |
| 9 | Outlook | No numeric guidance. Asked for FY27 volume growth and EBITDA/kg guidance: "we try our level best ... profit will come automatically"; sales achieved in Q1 expected "to be maintained ... same to same" with the rented plants; strong pipeline; onboarding takes long, hence the rented plants (p.13, p.15) |
| 10 | Use of IPO funds | "some Rs 320 crore ... will be incurred in our coming plant" (p.6) |
| 11 | Origin and uniqueness | "In 2004 we identified a gap ... spent close to two years on R&D and became first company in India to introduce printed bags that carry the same branding up to 50 kg"; "there is no genuine peer compared to Knack" (p.3, p.7, p.12) |
| 12 | Tariffs and freight | Exports are FOB so tariffs fall on the buyer; Oman plant considered then dropped; strong supplier relationships contain polymer volatility (CNBC-TV18, 11 Aug) |

Guidance versus actuals: credibility ledger
Management has issued no numeric revenue, margin or volume guidance (confirmed on the call, p.13 and in the CNBC-TV18 interview). The ledger tracks stated schedules, third-party expectations and qualitative promises.

Reading [Analyst View]: the only dated promise (plant timing) has already slipped; the call's one soft commitment (Q1 sales maintained) is tested on 27 Oct. Tone on 10 Aug: confident, unhedged on pass-through, evasive on guidance, and dismissive of peers.

21 exchange filings between 8 Jul and 17 Oct 2026 were reviewed. Media: no investigative, short-seller or critical article found; critical points appear only as one-line "risks" (customer concentration, execution, lock-ins). Third-party media coverage and sell-side reports were otherwise not reachable in the narrative research (see Tab 12 for the market-side search).
Recurring themes and contradictions
- Pass-through is "same day" and symmetric; the transcript on falling prices is garbled and the Q2 print will show what actually happens.
- "No genuine peer" while the prospectus values Knack against three listed names and Technopak names ten peers.
- Contract status: Cargill on a contract (call) vs no contracts with the top 10 (prospectus) vs "renewal of contract for three years" ending Dec 2028 (filing).
- Capacity statements (43,300; 48,000+; about 70,000; 76,010-76,790) rest on different bases.
- Order book Rs 130 cr "in hand" versus a Rs 150 cr a year contract announced seven weeks later: the second is not additive.
- Tone: confident, commercial, no numeric guidance; the participants were mostly shareholders or advisers (one an anchor investor), none from sell-side research.
Growth, Outlook & Valuation
Pre-results: Q2/H1 FY27 is due 27 Oct 2026 and is not used here. Valuation inputs: price Rs 199.09 (NSE close, 21 Oct 2026), 12.2365 cr shares.
Order book and revenue visibility
Order book: Rs 130 cr "in hand" (10 Aug 2026)
The CMD said "today INR 130 crores order in our hand". Against Q1 FY27 revenue of Rs 262 cr that is about half a quarter of sales, or 1.5-2 months, which fits a short-cycle, repeat-order business: customers give volume projections but no commitments (prospectus p.379). No formal order-book disclosure exists in the prospectus. Book-to-bill: not applicable / Not Available.2 Oct 2026 contract (Regulation 30): about Rs 150 cr a year, not additive
"A New Order and Renewal of Contract for three years" with "one of the largest private corporations in the world" and a leader in animal nutrition and feed in the USA; about 60 million bags a year, about Rs 150 cr a year; contract till Dec 2028; international entity; not a related party. The counterparty is unnamed. [Est.] It is almost certainly Cargill: the description matches earlier descriptions of Cargill, Rs 150 cr over 60 mn bags is about Rs 25 a bag (about USD 0.27) against the call's "USD 0.25" bag, and FY26 Cargill revenue was Rs 137.7 cr. If so, Rs 150 cr a year is a renewal with roughly 9% uplift over FY26, not fully incremental. The filing says "three years" but runs only to Dec 2028 (about 27 months). Do not add the Rs 150 cr a year to the Rs 130 cr order book. Several headlines (scanx.trade, TradingView/Reuters, Investment Guru India, Moneycontrol "Stocks to watch" 5 Oct) called it a "Rs 150 crore order win".| Visibility proxy | Value |
|---|---|
| Contracted share of revenue | 45-50% of customers on resin-plus-conversion pricing (price contracted, volume not committed); the rest at order-time price |

| Customer continuity | 93.75% FY26 (94.40% FY25; 95.35% FY24) |
| Volume run-rate | Q1 FY27 10,940 MT x 4 = 43,760 MT vs 38,157 MT FY26 [Est.] |

| Q2 FY26 base | Never disclosed separately. 9M FY26 standalone total operating income was Rs 627 cr (CARE), so Q2+Q3 FY26 averaged about Rs 221 cr a quarter vs Q1 FY27 standalone Rs 257 cr [Est.] |

| 2-7 Oct | 90-day anchor lock-in ended 3 Oct; Rs 150 cr/yr contract renewal filed 2 Oct 17:45 | 181 to 189 to 197 to 212 (+17% in 3 sessions) | 40.3, 29.1, 48.9 lakh |
Reading: both anchor-unlock dates were followed by rises on strong volume: unlocked anchor paper was absorbed rather than dumped. Caution: the 5-7 Oct rally also coincided with the order headline, so attribution is mixed.
Positioning, flows and sentiment
- Smart money: mutual funds 2.46% to 3.82%; Bank of India Small Cap Fund 2.30% (not an anchor); AIFs 3.14% to 2.99%; FPIs 1.21% to 1.28%; insurance 0.70% to 0.29%; banks and NBFCs fully exited (Tab 7). DII 7.10% and FII 1.28% at 30 Sep (Screener); institutions about 8.4%; retail (listed holders) 18.7% (small 6.8% plus large 11.9%, of which 8.3% is the Kamlesh block).
- Supply: about 35% of equity (27.1% promoter-group individuals plus 8.3% Kamlesh family) free to sell about 6 Jan 2027; promoters' excess over 20% after one year. The most important technical overhang.
- Media tone: uniformly positive-to-neutral; coverage clusters at IPO (Business Standard, Moneycontrol, Mint, ET, Outlook Money, Fortune India, India Infoline, INDmoney, Groww), listing, Q1 results (Business Standard capital-market wire; SMEStreet; THE PACKMAN; Machine Maker), the 2 Oct order (scanx.trade, TradingView, MarketScreener, Investment Guru India) and aggregator quote pages (Upstox, CNBC TV18, Value Research, Univest, MarketSmith). Nearly every piece repeats company numbers (10.1% share, 74 countries, 41% growth, PAT +48%). No investigative, short-seller or critical article found.
- Contrary evidence the media did not pick up (our reading of the filings): forex gain inside EBITDA; labelled revenue-growth inconsistency in the press release; CS exit within 16 days; promoter-land dependence; Q4 FY26 margin dip.
- Social: ValuePickr search for "knack packaging": zero topics. Chittorgarh message board exists but content not retrievable. Reddit, X, Telegram, StockTwits, Tijori/Trendlyne forums: Not Available (blocked or not searchable). No inference drawn. Not in F&O; no short-interest or derivatives data.
What would change the picture
- Q2 FY27 (27 Oct): whether Q1's 21% operating margin, 41% revenue growth and rising pinch-bottom mix persist, and whether other income and forex are reported separately.
- First broker initiations; the January 2027 lock-in release; MF accumulation versus distribution in the September-December shareholding patterns.
- Plant construction orders (Rs 284.9 cr of machinery unplaced at the prospectus date) and October 2027 commissioning; the first CARE monitoring report.
- Governance headlines: further KMP exits; RPT disclosures with Knack Energy and the Mexico JV.
Final Verdict
[Analyst View] Aamara Capital, 21 Oct 2026. Pre-results: Q2/H1 FY27 board meeting 27 Oct 2026 is the nearest catalyst.
Why each rating
| Dimension | Rating | Evidence for | Evidence against |
|---|---|---|---|
| Business | Strong | Volume 30,590 to 38,157 MT in two years; pinch-bottom mix 10% to 22.5-23%; 56.30% exports; Cargill from about Rs 6 cr to about Rs 140 cr; continuity rate 93.75%; operating margin 18.45% vs peers 3-13% in Technopak's set | Moat rests on a company-paid report; CARE sees low entry barriers; no contracts with top 10; half of growth is resin pass-through; rented capacity on lessors' approvals |
| Management | Medium | No pledge, no litigation of substance, no SEBI action, no ESOP dilution; promoter pay cut from Rs 19.8 cr to Rs 5.0 cr; independent audit chair is a professional CFO; relatives' payroll nil | RPTs 12.15% of revenue; promoter land and Rs 451 cr personal guarantees; effective control about 78.9%; CS left in 16 days, SMP in October; disclosure contradictions; auditor change mid-IPO |
| Financial | Medium | PAT Rs 19.9 cr to Rs 92.7 cr (FY23-FY26); D/E 1.23x to 0.62x (0.28x pro forma); CARE A-/Stable; interest cover 8.9x; RoCE about 32% even on a strict basis | Three-year FCF about -Rs 11.6 cr on Rs 212.5 cr profit; cash conversion cycle about 120 days; 79.5% short-term debt; Rs 16.85 cr forex gain in EBITDA; headline margin 2 pp above operating |
| Valuation | Fair | At the Rs 170 issue price it was 22.4x diluted FY26 EPS, a discount to peers; Q1 annualised P/E 19.9x | Now 26.3x diluted FY26 and 23.7x TTM, equal to TCPL and Mold-Tek, which are different businesses; no estimates, no targets, no sell-side |
| Overall | Neutral | Quality franchise with visible growth | Results in six days, supply unlock in about 11 weeks, plant risk, unresolved disclosure conflicts |
Bull case
- Pinch-bottom mix and scale keep operating margins near 18-22% and EBITDA per kg near Rs 50+; Q1 FY27 showed PAT +47.9% on volume +20.9%, with capacity at 48,000+ MTPA and 91% utilisation and 5,040 MT more on trial.
- The new Borisana plant adds +32,710 MT net as stated (33,490 MT by the prospectus's own inputs) by October 2027, taking capacity to about 70,000 MT per management, 76,010 MT on the stated net or 76,790 MT on the inputs; a Rs 150 cr a year contract to Dec 2028 and customer continuity of 93.75% underpin demand.
- Balance sheet de-risks (D/E 0.28x pro forma, CARE upgrade triggers partly met), mutual-fund ownership is rising (2.46% to 3.82%) and the January 2027 unlock is absorbed as the August and October anchor releases were.
Bear case
- The headline overstates: operating margin 18.45% not 20.42%, forex gain 13.5% of PBT, half the margin gain a one-time pay reset, RoCE about 32% not 46.7%; growth is half resin pass-through and reverses if polymer prices fall. FCF has been zero for three years.
- Execution and capacity: the plant slipped 10 months, its cost was cut by deferring pinch-bottom machines, Rs 284.9 cr of machinery was unordered, the site is promoter-owned, and Units 3 and 4 run on 11m29d leases under lessors' approvals (Unit-3 ends about Jan-Feb 2027).
- Governance and supply: about 79% effective family control, RPTs with Knack Energy and a loss-making Mexico JV, contradictory contract disclosure, KMP churn, and about 35% of equity unlocking around 6 Jan 2027 on a 21% float with no sell-side coverage.
Base case (12-18 months)
Most likely [Analyst View]: volume is capacity-bound until the new plant arrives. At 48,000+ MTPA and about 91% utilisation, FY27 volume cannot run far above Q1's annualised 43,760 MT without more rented capacity [Est.], so FY27 growth depends on mix and resin. We expect FY27 PAT of roughly Rs 110-125 cr (Q1 annualised is Rs 122 cr; the cost of rented capacity and a resin reversal are the risks), i.e. EPS of about Rs 9.0-10.2 on 12.2365 cr shares. The stock trades inside roughly the Rs 175-215 closing range it has used since listing (low close Rs 176.58, high close Rs 215.32), with the January 2027 supply event the main test; it needs evidence on machinery orders and Q2/Q3 volumes to hold the upper half. The first full year of the new plant (FY29) is where the growth case is proved or lost. These are scenario ranges, not forecasts; the PAT inputs are our assumptions.
| Illustrative scenarios [Analyst View] | FY27 PAT Rs cr | EPS Rs | P/E | Implied price |
|---|---|---|---|---|
| Bear: Q2/Q3 volume slips, resin falls, overhang sold | 100 | 8.2 | 16x | Rs 131 |
| Base | 118 | 9.6 | 20x | Rs 193 |
| Bull: Q2 beats, orders placed, unlock absorbed | 130 | 10.6 | 24x | Rs 255 |
Arithmetic only: PAT / 12.2365 cr shares x multiple. Compare Rs 199.09 today. The base multiple of 20x is below today's 23.7x TTM and 26.3x diluted FY26, because we think peer parity on a headline margin is generous.
Five things to remember
- The stock closed above the Rs 170 issue price on all 73 sessions; Rs 199.09 on 21 Oct is +17.1%, and the multiple has gone from 22.4x to 26.3x diluted FY26 EPS in 3.5 months.
- The Q2/H1 FY27 result on 27 Oct 2026 is pre-announced as a board meeting only; the report you are reading uses no Q2 data.
- Operating EBITDA margin was 18.45% in FY26 (headline 20.42%); about 1.8 of the 3.65 pp expansion since FY24 came from cutting promoter-family pay from about Rs 19.8 cr to Rs 5.0 cr; RoCE is 46.7% by the company's definition and about 32% on equity plus total debt.
- Capacity and contract numbers conflict (43,300 / about 41,300 / 48,000+ MT; about 70,000 vs 76,010-76,790 MT; "no contracts" vs a 2+1-year Cargill contract); the Rs 150 cr a year order is probably a Cargill renewal and is not additive to the Rs 130 cr order book [Est.].
- About 35% of equity (promoter-group individuals plus the Kamlesh family, whose 8.26% is classified public but shows as relatives in RPT tables) becomes tradable around 6 Jan 2027.
Five questions before investing
- What do the Q2/H1 numbers show for volume (Q1: 10,940 MT), EBITDA per kg (Q1: about Rs 54), realisation and other income, and does the first use-of-proceeds statement match the plan (Rs 150 cr plant spend and Rs 31.15 cr general purposes by 31 Mar 2027)?
- Is the Cargill (or other) arrangement a binding contract with volume commitments and termination terms, and is the Rs 150 cr a year filing the same relationship as the Rs 130 cr order book?
- Were purchase orders placed before the quotations expire on 30 Nov 2026, will October 2027 hold, and what replaces Unit-3 capacity when its lease ends about Jan-Feb 2027?
- What did Knack Energy sell Knack for Rs 117.7 m plus a Rs 49.9 m advance, what supports the Rs 192.4 m of JV loans and the Rs 220.9 m guarantee, and who is Bessher Holding?
- How much of the January 2027 unlock will be sold, and who will absorb it on a 21% float with no sell-side coverage?
Triggers
| Direction | What would move the stance |
|---|---|
| Towards a buy stance | Q2 volume at or above Q1 (about 10,900 MT) with EBITDA per kg near Rs 50 or better and other income shown separately; machinery purchase orders placed and October 2027 reaffirmed; written clarity on customer contract terms; Unit-3 lease renewed or replaced; the January unlock absorbed without a break below the Rs 176.58 closing low; a price nearer the 22x area (about Rs 167 on diluted FY26 EPS, about Rs 185 on TTM EPS) |
| Towards a reject stance | Q2 volume or EBITDA per kg clearly below Q1 as resin falls; further KMP exits or new unexplained related-party flows; the plant slipping beyond October 2027 or costs rising; lease non-renewal; sizeable promoter or promoter-group selling on unlock |
| Unchanged | Q2 broadly in line, orders still pending, supply event ahead: keep watching |
Opinion [Analyst View]. Knack is a high-return, fast-growing niche manufacturer whose headline margin and RoCE overstate the underlying economics, whose cash flow has been absorbed by capex, and whose price has already moved from a discount to peer parity in 3.5 months. Governance flags and unresolved disclosure conflicts, a plant that is late and largely unordered, rented capacity, and a roughly 35% supply unlock in January argue against committing capital before the 27 Oct results and the machinery orders. Nothing found justifies rejecting it: no pledge, no material litigation, A-/Stable and a real customer franchise. Keep it on a watch list with the explicit triggers above.
