KisanKonnect buys fresh fruits and vegetables directly from about 5,000 Maharashtra farmers through village collection centres around Shrirampur (Ahilyanagar) and Junnar/Ambegaon (Pune), grades and tags them for traceability, and sells to urban households in Mumbai and Pune through its own app/website (slotted plus a claimed 60-minute delivery) and at least 11 company-run "KisanKonnect Farm Stores". It also sells private-label staples (Village Staples), snacks (Mom's Kitchen), cold-pressed oils and dairy. FY25 revenue was ₹232.5 Cr on the gross basis (₹212.5 Cr net) with a net loss of ₹66.1 Cr. Analyst Notes
First-person read of the situation Analyst View
This is a real business, but not a self-funding one. KisanKonnect did ₹232.5 Cr of revenue in FY25 on the gross basis (₹212.5 Cr net), up about 57.6% from ₹147.6 Cr. On the data available it is the largest surviving pure-play fresh F&V D2C company in India — bigger than Pluckk (~₹85 Cr) and bigger than Otipy was when it shut (₹160 Cr). The problem is the cost of that revenue: the net loss rose 38.7%, from ₹47.65 Cr to ₹66.1 Cr. Loss margin did improve about 4 points on either basis (−32.3% → −28.4% gross; −35.3% → −31.1% net). That is operating leverage, but at this pace breakeven is years away, and management has never stated a breakeven date.
The balance sheet is the first thing I would worry about. Net worth was −₹80.5 Cr at Mar-25. Borrowings were ₹106.2 Cr against total assets of just ₹48.1 Cr, and the current ratio was about 0.37. Only ₹40–45 Cr of registered charges existed at that date, which leaves at least ₹61–66 Cr of borrowing with no registered charge and no disclosed lender Est.. It could be promoter or family-trust loans, money from the group NBFC Vasavi Finvest, or investor instruments classified as debt. We do not know, and that is the single most important diligence question.
The clock is running now. The ₹72 Cr Bajaj Finserv-led round in Sep-2025 covers about 13 months of FY25-level losses, which points to a capital need around Oct-2026 — today. The public record has gone quiet: no press release in about 12 months, FY26 accounts not yet public. The only signals are Tracxn-only, unverified items: a PAS-3 share allotment in May-2026 and a new charge in Jun-2026. Otipy is the precedent to keep in mind: about ₹160 Cr revenue at a −32.5% margin, nearly KisanKonnect's exact profile, and it shut in May-2025 when a round fell through.
The competitive field moved against this model. Quick commerce now holds about 70% of online grocery, delivers in 10 minutes against KisanKonnect's 60, and the leaders are at or near breakeven (Blinkit +0.6% adjusted EBITDA of NOV in Q1 FY27). They use F&V as a traffic driver. KisanKonnect's moats — the farmer network, traceability tech and farm stores — can be copied, and I see no evidence of a price premium. Pricing power on commodity F&V sits with the consumer and the QC platforms.
Governance is weak for a company with ~₹140–150 Cr of outside money. The family controls about 75% (Vivek Nirmal Family Trust 68.1% plus 7.6% founders). The three-person board is entirely promoter-group, with no independent and no investor-nominee director. The CFO is "virtual", the auditor is not publicly visible, and there are about 22 director-linked entities including farmer producer companies that likely supply it, a captive staffing company, and a group NBFC.
The promoter history must be read neutrally, but it cannot be ignored. At Prabhat Dairy, which Vivek Nirmal ran as Joint MD, SEBI issued an interim order in Oct-2020 directing a ₹1,292 Cr escrow (SAT cut it to ₹500 Cr), the minority was delisted at ₹101/share in Apr-2021 against an implied ~₹175 in the Lactalis deal, and a SEBI show-cause notice dated 19-Oct-2023 names Vivek Nirmal, his father and the Nirmal Family Trust. The challenge, Supreme Court CA 7885/2024, is pending. No final adverse finding has been located. This is a governance risk, not a conclusion of wrongdoing — but it is absent from every KisanKonnect investor communication.
The operating claims are stale. "5,000 farmers" and "1 lakh customers" are the same in releases from May-2023 to Sep-2025 while revenue roughly doubled. "1,000+ daily orders" cannot be reconciled with ~₹58 lakh/day of revenue. The four most recent App Store reviews (Sep–Dec 2025) are all negative.
What is priced. The Sep-2025 post-money is ≈₹724–737 Cr Est., aggregator, about 3.1x FY25 gross revenue, for a loss-making company with no visible path to profit. Bajaj Finserv's entry is the real counter-signal. My view is Negative / Cautious. Before any engagement I would want the FY25 and FY26 AOC-4 (borrowings note, related-party note, auditor's report), the May-2026 PAS-3, and the status of the Supreme Court appeal.
What would change my view
| Trigger | Would move | Direction |
|---|---|---|
| AOC-4 shows the ~₹61–66 Cr uncharged debt is CCPS/convertible investor money, not promoter or group loans | Governance, Financial | Positive |
| FY26 loss margin below −20% with revenue growth >40% | Financial | Positive |
| Independent director or Bajaj Finserv nominee appointed; named full-time CFO | Governance | Positive |
| Final SEBI / Supreme Court outcome adverse to the Nirmals | Governance | Negative |
| No new equity disclosed by Q4 CY2026; delayed FY26 filing or going-concern emphasis | Financial | Negative |
| Pivot to supplying QC platforms (Pluckk route) | Business | Mixed |
Business Deep-Dive
What it sells, how, where — and the history behind it
Founding story and promoter lineage
COVID-era origin narrative Fact
- March 2020 lockdown: 11 farmers from Shrirampur (Ahmednagar) and Junnar (Pune) lost markets and began shipping produce to Mumbai/Pune housing societies via WhatsApp and phone; app and website followed.
- Krishi Jagran (26-Feb-2022): ₹40 lakh turnover in the first 2 months; ₹8 Cr+ by Feb-2022; 2,000+ farmers; QR traceability, rural packing centres, KVK Shrirampur agronomy support.
- The Better India (2-Apr-2021): ₹40 lakh first-month turnover, ~₹6–6.6 Cr in year one, ~480 farmers, 1 lakh boxes; quotes founding member Manish More (Junnar) and farmer Shrikant Dhokchawale (Rahata); no mention of the Nirmals.
- Caveat Est.: the "farmer-run FPC" framing reflects the early brand narrative. The real operating vehicle is the family-controlled Pvt Ltd, which already showed ~₹35 Cr reserve erosion in FY23.
Prabhat Dairy lineage Fact
- Nirmal family of Shrirampur promoted Prabhat Dairy Ltd (CIN L01100PN1998PLC013068), founded 25-Nov-1998 by Sarangdhar R. Nirmal; IPO 21-Sep-2015 at ₹115.
- Jan-2019: dairy undertaking plus subsidiary Sunfresh Agro sold to Tirumala Milk (Lactalis) for ₹1,700 Cr (₹1,227 Cr Sunfresh stake + ₹473 Cr slump sale); closed Apr-2019.
- Listed company renamed Madhyam Agrivet Industries Ltd (cattle feed/TMR; paid-up ₹95.1 Cr); delisted 30-Apr-2021.
- KisanKonnect's registered office (Gat 115/3/1) and the FPC (Gat 122) sit in Ranjankhol village, on or next to the Prabhat/Madhyam campus; Agri Services gives "Plot 122, Prabhat C.T. Ranjankhol". Shared infrastructure or related-party leases are undisclosed Est..

Losses are the same on either basis. This report uses the gross basis as headline (₹232.5 Cr; "₹212.5 Cr net") and never mixes bases in one ratio Est.. Mixing them (e.g. 212.5/147.6 = +44%, or 232.5 revenue with 278.1 expenses) is wrong.

Value-chain map
Where pricing power sits Est.
| Link | Power | Why |
|---|---|---|
| Farmers (upstream) | Weak | Price-takers; KisanKonnect pays above mandi net (no commission/cess) yet captures the intermediary margin |
| KisanKonnect | Moderate–Low | Freshness/traceability claims; better margins on private label; no proven premium on F&V |
| Consumers and QC platforms | Strong | Price discovery anchored by QC and kirana; KisanKonnect's lever is cost-to-serve, not price |

Structure and trends
- Overwhelmingly unorganised; the real competitor for most baskets is the sabziwala or kirana.
- Online consolidating around three QC platforms: Blinkit ~46–47% (some 2026 guides ~50%), Zepto ~29%, Instamart ~24–25% (Q1-2025 estimates).
- Fresh vertical D2C failure rate is high: Fraazo (~US$65–68M raised; NCR closed Jul-2022, shut 2022–23 per sources), Otipy (~US$44M; shut 17-May-2025), Deep Rooted (Accel; shut 2025). Survivors pivot: Pluckk earns 60–65% via QC; Handpickd zero-inventory; Country Delight subscription.
- QC unit economics turning: Blinkit adj. EBITDA +₹102 Cr in Q1 FY27 (0.6% of NOV); Instamart contribution −0.2% of GOV, positive in May-2026; Zepto lost ₹5,905 Cr in FY26, raised US$450M at US$7B (Oct-2025), DRHP (~₹8,010 Cr fresh issue) reported paused.
- Shrink benchmark: Blinkit inventory losses ~1.8% of NOV (~₹308 Cr/quarter) on a mixed basket.
- Food-safety enforcement in Maharashtra: Jun-2025 FDA suspended Zepto Dharavi and Blinkit Balewadi (Pune; no FSSAI licence) and Blinkit Malad (cockroaches); separate drive inspected 86 dark stores, suspended 14 licences (Zepto 5, Blinkit 5, Instamart 2, others 2), 60 improvement notices; Jul-2025 FSSAI warned 70+ e-commerce FBOs.
- 2026 inflation: CPI 4.3% Jun-2026 (18-month high); Acuité FY27 CPI forecast 5.1%.

Hidden-risk questions an analyst would ask
- Burn vs capital: ₹66 Cr loss vs ₹72 Cr raised; how is the next 12 months funded?
- Why is the Prabhat Dairy / SEBI history absent from investor communications?
- Why are customer and farmer counts unchanged or inconsistent (1 vs 3 lakh customers; 500 farms vs 5,000/7,000/8,000 farmers)?
- Which round label and dates are correct per PAS-3?
- Why still only Mumbai and Pune after 6 years?
- How does a 60-minute model beat 10-minute QC on F&V?
- Dairy overlap: any Lactalis non-compete or trade with residual Prabhat entities?

- Strategic backers (Bajaj Finserv, Dhanuka, Desai Foods, Times) and bank lines from five lenders.
- Farm-direct sourcing, stores and traceability could become a valuable supply asset for QC platforms or a strategic acquirer.

| Tracxn #1 of 390 | Persistent customer-service complaints; employee micromanagement reviews |

5 questions before investing

- What do the FY25/FY26 auditor's report and RPT note say (going concern, FPC purchases, campus rent, Agri Services)?
- What was the May-2026 PAS-3 — allottees, price, instrument?
- What is the current status of SC CA 7885/2024, and is the KisanKonnect Trust the Prabhat delisting Trust?
- What are order-level contribution margin, AOV, orders/day and store count today?
