Analyst Notes
[Analyst View] Aamara Capital, 21 Oct 2026
What happened. Karamtara listed on 17 Sep 2026 at Rs 320 against a Rs 254 issue price, ran to about Rs 444 (+75%) by mid-October, and closed at Rs 359.10 on 21 Oct, 41% above issue and 19% below the peak. Q1 FY27 delivered revenue of Rs 1,581 cr (+72%), but EBITDA and PAT grew only 45% (Rs 174 cr and Rs 87 cr) and EBITDA margin fell to 11.0% from 13.1%. India Ratings then upgraded the company to AA-/Stable on 19 Oct. The IPO itself was cut roughly in half from the Rs 1,750 cr proposed in the Jan 2025 DRHP to Rs 875 cr. The subscription was 46.38x including anchor shares and 66.01x excluding them; these are different bases, not a conflict. Q2 FY27 results are not out.
What the market is pricing. About 45x trailing earnings, about 22x EV/EBITDA and about 6.3x book, against Indian engineering peers at 15 to 26x and Nextpower, the global tracker leader with a 20.6% EBITDA margin, at about 20x. The price assumes the FY27 guide (revenue +60 to 65%, roughly Rs 6,900 to 7,115 cr) is met and margins recover toward 13%. Management gave no EBITDA number and no FY28 guide.
Quality of the growth. Reported revenue includes pass-through freight and US tariff. The Prospectus' adjusted revenue is Rs 3,423.27 cr against reported Rs 4,311.98 cr, so Rs 888.7 cr (20.6%) of FY26 revenue is pass-through, and the 14.55% adjusted margin is a company construct, unaudited and not Ind AS. In Q1 FY27 alone tariff within revenue was about Rs 250 cr (Rs 113 cr a year earlier), so ex-tariff revenue growth was roughly 65% and the ex-tariff margin about 13.1% [Est.]. Headline growth overstates volume growth, and margin compression is partly arithmetic of a larger pass-through base.
Cash, not profit, is the test. FY26 operating cash flow was Rs 675 cr, 2.95x PAT. My reading is that payables and LC-backed acceptances financed it (payable days 179 to 194; other liabilities up about Rs 596 cr) [Est.: inference, not stated by the company]. Capex was about Rs 900 cr, so free cash flow was about -Rs 247 cr on the Screener basis and -Rs 438 cr on India Ratings' basis (FY25: -Rs 221 cr and -Rs 404 cr). Management quotes working capital of 36 to 43 days; India Ratings shows 143 days including LC-backed payables. Consolidated debt including acceptances was Rs 2,089 cr at 31 Jul 2026, of which Rs 735 cr is acceptances. The IPO repayment (about Rs 400 cr done by Sep 2026, about Rs 200 cr more expected) is a one-time fix; Ind-Ra expects FCF negative again in FY27.
The legal stack is the part the first-pass files missed. Earlier files said no SEBI, NCLT or enforcement matters had been found. The Prospectus says otherwise. A CBI charge sheet names the company, the CMD, the CFO and a VP Finance over invoices submitted by a third party under 2013 letters of credit in favour of Karamtara; the Gujarat High Court has stayed the trial, which is a stay, not a quashing. CBI, SFIO and ED have sought records on "erstwhile customers and their group entities" and the CMD has recorded an ED statement; the Prospectus states no action against the company. The MCA inspection lists 17 alleged irregularities. A Sai Galvanizers contempt petition asks that the original Tarapur OHTL unit be excluded from the Offer or the Offer withdrawn, and the Bombay High Court ordered a Registrar inquiry on 7 Sep 2026. I make no judgment on the merits. The investable point is the cost of being wrong: lender covenants require consent for changes in KMP and shareholding, and the two people named in the charge sheet run the company and its finances. The Q1 call did not mention any of this.
Promoter liquidity. Before and at the IPO the family took out about Rs 164 cr of secondary at Rs 310, Rs 200 cr OFS at Rs 254, a Rs 23.4 cr dividend and a Rs 48.5 cr property sale, less Rs 50 cr of loans repaid to them: roughly Rs 386 cr net [Est.]. The IPO price is 18% below the private rounds of Jan 2025, Apr 2025 and Mar 2026 at Rs 310. Public float is 17.99% against the 25% minimum, with three years to comply, so a promoter sell-down or fresh issue is a standing overhang.
The guide arithmetic does not fit the stated seasonality. If H1 is 40 to 42% of the year, Q2 must be Rs 1,180 to 1,410 cr, flat to lower than Q1 despite "Q2 has been good"; H2 then needs about Rs 2,070 to 2,150 cr a quarter against Rs 1,581 cr in Q1 and Rs 1,257 cr in Q4 FY26. Either the guide is conservative or seasonality will be stressed. Q2 results are the first test.
Where I land. The business is a genuine scale leader in Indian solar structures with a credit upgrade behind it. But at 45x earnings, with a US tariff and tax-credit cliff ahead, negative free cash flow against 72% growth, a promoter sell-down overhang and an unusually heavy legal and regulatory disclosure list, evidence does not yet support committing capital. Verdict in Tab 13 is TRACK with explicit triggers.

How it makes it
Flow. Hot-rolled coil, plate, angle and wire rod, then in-house rolling and angle mill, cutting, punching, roll-forming, welding, tube and pile forming, hot-dip galvanising in in-house zinc kettles, fasteners and fittings, dispatch. Two in-house rolling-mill furnaces; galvanising 276,800 MTPA per the company site (258,000 MTPA on IPO pages: sources conflict); SAP ERP (SAP award 2017); automation, robotics and IoT systems claimed. A secondary source quotes 8 to 10 weeks from order to execution; the Prospectus states a 4 to 6 week production cycle. Orders are by purchase order under short-term, non-exclusive master supply agreements with no purchase commitment.
Inputs. Raw materials are about 60% of cost; materials were Rs 2,574 cr in FY26 with 31.46% imported (FY25 35.43%; FY24 25.62%), mainly billets, galvanised/galvalume/ZAM coils and wire rod from Vietnam and South Korea. Zinc is hedged on the LME at order booking and steel is held back-to-back (Ind-Ra). Power from a Clean Max SPV (solar/wind); gas shortages since Mar 2026 from the Middle East conflict.

Value-chain map
Where pricing power sits [Analyst View]
Upstream steel mills set the largest cost line (raw materials about 60% of cost); Karamtara is a price taker mitigated by back-to-back steel booking and LME zinc hedging. Downstream, concentrated tracker OEMs and EPCs hold scale and payment-term leverage (debtor days 111). Karamtara earns a fabrication and galvanising margin of about 11 to 12% reported. Management says the US tariff is "fully passed" to buyers and US local prices run 30 to 40% above Indian offers, with "no major real competition from any Indian company"; that claim is management's own.Upstream: what Karamtara depends on
| % of purchases | FY26 | FY25 | FY24 |
|---|---|---|---|
| Largest supplier | 16.87% (Rs 403 cr) | 23.23% | 19.69% (18.45% in a second table) |
| Top 5 | 70.77% | 68.67% | 70.89% (50.80% in a second table) |
| Top 10 | 89.65% (Rs 2,143 cr) | 86.30% | 76.00% |
| Imported share of materials | 31.46% | 35.43% | 25.62% |
- Named suppliers [Fact]: Cheongfuli (Hong Kong) Company Ltd, JSW One Distribution Ltd, C and D Steel International Trading Co Ltd, Gauravi Profiles Pvt Ltd (FY26); also Sharpmax International (Hong Kong) Co Ltd and K L Steels Pvt Ltd (FY25). The Prospectus has two inconsistent FY24 top-5 figures; the FY26 numbers are consistent.
- LC-acceptance suppliers at 31 Jul 2026 (narrative file, from filings it read): Cheongfuli 28% (billets/slabs/wire rod), a zinc/lead supplier 23% (name withheld), JSW One 19% (HR/BGL coils).
- Inputs: materials Rs 2,574 cr in FY26; steel billets, galvanised/galvalume/ZAM coils and wire rod from Vietnam and South Korea; zinc hedged on the LME at order booking; steel back-to-back (Ind-Ra). Pass-through: freight and tariff pass-through is stated (Rs 888.7 cr in FY26); contractual steel indexation is not confirmed in the filings, but price-variation clauses exist on longer jobs. Power from a Clean Max SPV; gas shortages since Mar 2026. BESS cells (planned) would be imported, country unverified.
- Single-source and concentration risk: top-10 suppliers are 89.65% of purchases; Hong Kong trading houses feature in the top suppliers. Backward integration (two rolling-mill furnaces, galvanising 276,800 MTPA, fasteners) cuts conversion cost and lead time.
Downstream: who depends on Karamtara
| % of revenue from operations | FY26 | FY25 | FY24 |
|---|---|---|---|
| Largest customer | 7.98% (Rs 344 cr) | 6.15% | 18.93% |
| Top 5 | 31.36% | 25.13% | 49.88% |
| Top 10 | 48.63% (Rs 2,097 cr) | 40.40% | 63.47% |
- Named customers in the top 10 in each of FY24 to FY26 [Fact]: Soltec Energias Renovables SLU (Spain), Megha Engineering and Infrastructures Ltd, Ampacity LLC (US), Gamechange Solar Services India Pvt Ltd. Other names withheld (no consent). Adani Green Energy named a domestic customer by Ind-Ra in 2025. Transmission and wind customers are not named in any source.
- Solar customers: 48 (FY24) and either 65 then 73 (gap-fill, deck) or 73 then 65 (market and narrative files) for FY25 and FY26; unresolved. 45.49% of FY26 revenue came from customers of at least two years; top-10 solar customers average about three years' association. Average revenue per solar customer Rs 52.4 cr in FY26 (Rs 41.3 cr in FY24).
- Concentration trend: top-10 share fell to 40.4% in FY25 from 63.5% in FY24 and rose to 48.6% in FY26; the rise coincides with US tariff pass-through sitting in revenue [Est.].
- Contract tenors: India solar 4 to 5 months; exports 8 to 9 months; price-variation clauses on longer jobs; some overseas transmission FOB. Prospectus: production cycle 4 to 6 weeks, short-term non-exclusive master supply agreements with no purchase commitment.
- End-products: utility-scale PV farms (fixed-tilt and tracker), HV/EHV lines, onshore wind, substation structures, later data-centre PEB. Most solar orders are from US customers (Ind-Ra). Management's own words on dependence: "demand continues to outpace supply".
Competitive Position
Peer numbers are Screener/StockAnalysis snapshots of 21 Oct 2026 as compiled in the market file; growth = FY26/FY25 sales; EBITDA% is Screener's rounded OPM; EV/EBITDA is gross EV (mcap plus Mar-26 borrowings, cash not netted), so cash-rich names look dearer. Karamtara's own RHP peers are chosen comparables, none a pure structures/tracker player; the benchmark is weak.

Market position and industry
- Position: F&S ranks Karamtara #1 in India by installed capacity in integrated solar structures and tracker components (FY26); no numeric share. Solar capacity of 16.81 GW equivalent against India's solar base of about 157 GWac (31 May 2026) to about 171 GWac (Sep 2026), with FY26 additions about 51 GW vs 24 GW and 15 GW in the prior two years [Est.: Wikipedia-based]; yet international was 66% of Q1 FY27 sales, indicating better US realisations. KEC describes itself as India's #2 tower maker (Karamtara not named). Nextpower is #1 in US trackers; Karamtara supplies components and is one of the largest Indian exporters of solar products to North America (FY25).
- India demand drivers: 500 GW non-fossil target by 2030; Khavda (30 GWac, about 12 GW complete); PM-KUSUM Rs 5,000 cr FY27 vs Rs 2,600 cr FY26; PM Surya Ghar (Rs 75,021 cr, 30 GW rooftop); ALMM, PLI (Rs 24,000 cr), Rs 5,400 cr BESS VGF (30 GWh); no direct incentive for structures found. |---|---|---|
| Buyer power | High | Concentrated tracker OEMs and EPCs, price-driven; top-10 customers 48.63% |
| Supplier power | Medium | Top-10 suppliers 89.65%; steel mills and zinc; partly offset by integration and hedging |
| Threat of entrants | Medium | Indian module majors, Gamechange, steel fabricators; Chinese players restricted from the US; rolling and galvanising capex and US EPC qualification are the barriers |
| Substitutes | Low | Ballasted/concrete mounting; tracker vs fixed-tilt is a mix shift |
| Rivalry | High | Price rivalry; fragmented Indian fabrication, consolidated at the global tracker-OEM layer |
| Pricing power | Low to Medium | Margins 11 to 12% with a Q4 FY26 dip to 8.4% show pass-through lag; cost-plus on steel but some fixed-price contracts |
| Moat durability | Medium | Scale and integration are durable on cost; threatened if tariffs or domestic-content rules move volume to US fabrication; no IP or software moat |

Verbatim extracts (call PDF pages)
| Topic | Quote | Speaker, page |
|---|---|---|
| Guidance | "for FY27, we endeavor to grow our revenues by 60% to 65% over the last year." | Rustagi, p.5 |
| Seasonality | "we normally have 40% to 42% of the revenue that comes in, in the first six months, and then 58% to 60% of the revenue that comes in the last six months." | Rajiv Singh, p.6 |
| Margin outlook | "we earned EBITDA of about 11% in quarter one. And definitely, as the revenue grows in subsequent quarters, there would be an improvement in the EBITDA margin." | Rustagi, p.6 |
| Q2 | "we've already done with our Q2, and the margins, I'll just leave it at that, that the margins are far better even with the elevated cost of the oil." | Rajiv Singh, p.13 |
| Margin shortfall | "We would have had a better realization on our margins, but we were the shipping costs these days and the local costs, let's say, in Europe or supplying into the Middle East today, where the trucking costs are at all-time high." (text as filed; a verb appears missing) | Rajiv Singh, p.9 |
| Tariff | "the tariff was of INR250 crores and odd figure, which is a part of our Q1's revenue. But as mentioned earlier by Rajiv sir, that everything is passed on to our customers, so it doesn't impact our profitability." | Rustagi, p.17 |
| Other expenses | "that tariff and the freight cost is a part of other expenses." (about Rs 500 cr in Q1) | p.19 |
| Working capital | "So from 67 days, it has come down to 43 days. And now further in this quarter, it has come down to 36 days." Interest "has come down to 2.6% of our revenue." | Rustagi, p.12 |
| Saudi | "we will start doing, hopefully, some trials in December, and by February, or latest by March, we hope that our galvanizing plant will come online ... it will take about 12 to 18 months for us to be able to hit, you know, good numbers ... Yes, there will be revenue next year that will come." | Rajiv Singh, p.9 |
| FY28 | "we would not like to give the guidance as of today." | Rajiv Singh, p.15 |
| US tariffs | "when the tariff went from 0 to 25, and from 25 to 50, it fully got absorbed by the buyers. And, so it was a full pass-through for us." | Rajiv Singh, p.8 |

Q&A substance and what it reveals
| Topic | Management answer | Read-through [Analyst View] |
|---|---|---|
| Transmission mix (ICICI Sec) | "Very, very large growth driver"; Bhachau started recently, peak in 6 to 9 months; wind angular capacity fungible with towers; large Saudi tower capacity | Aspirational; no tower order numbers |
| Contracts | India solar 4 to 5 months; export 8 to 9 months; raw material booked on order; price-variation clauses on long jobs; some overseas transmission FOB | Short-cycle book |
| US tariffs (TRUST MF) | Section 232 derivatives at 50%; other tariffs did not stack; "full pass-through"; US local prices 30 to 40% higher; no major Indian competitor in the niche | Margin-neutral today; policy change is a demand risk; moat claim is management's own |
| Tariff in revenue | About Rs 250 cr in Q1 FY27, Rs 113 cr in Q1 FY26, Rs 196 cr "before" (referent unclear) | About 16% of Q1 revenue is cost recovery |
| Utilisation (Mirae) | Analyst: historically 55 to 60%, over 75% needed for about Rs 7,000 cr. Management: "takes a little time to ramp up", no number | Evasive on the key test; Rs 7,000 cr needs 68 to 72% [Est.] |
| Volumes | About 135,000 t in Q1 | Annualised 540,000 t vs FY26 about 390,000 t |
| Working capital / ROCE (Sohum) | 67 to 43 to 36 days; analyst cited ROCE of 25 to 27% | Conflicts with Ind-Ra 143 days and Prospectus 23.27% |
| Capex | FY26 about Rs 900 cr; "we continue to invest this year"; Saudi Rs 405 cr (Ind-Ra) | No FY27 capex figure |
| PEB / data centres | Existing clients asked; qualified in Nordics; margin "similar"; declined to quote | New-venture risk; revenue from FY28 |
| Overseas expansion | "First time the company has raised money... very careful"; will look "when it makes sense" | No US plant announced |
| Services | Predominantly a product company; services 3 to 5% of revenue | Not an EPC |
| Mix (Three X) | Analyst said about 30% transmission; deck says 13%; not corrected | Mix transparency |
| Not mentioned | Sai Galvanizers case, the rating action (19 Oct), the defence subsidiary (17 Oct), CBI/ED/MCA matters | Absence noted |

| 7 Oct 2026 | PEB plant ready by start of FY28 | Apr 2027 | OPEN |
| 7 Oct 2026 | IPO cuts interest cost | Q2/Q3 finance cost | PARTLY EVIDENCED: about Rs 400 cr repaid to Sep, about Rs 200 cr more in 1 to 2 months (Ind-Ra) |
| IPO documents | Wind tubular towers to start (Q1 FY26 per DRHP summary) | Deck | Started; only 2% of revenue |
Arithmetic on the FY27 guide [Est.]
- Target Rs 6,900 to 7,115 cr; Q1 Rs 1,581 cr is 22 to 23%. H1 at 40 to 42% is Rs 2,760 to 2,990 cr, so Q2 is Rs 1,180 to 1,410 cr, flat to lower than Q1. H2 needs Rs 4,140 to 4,300 cr (Rs 2,070 to 2,150 cr a quarter). Rajiv: "we will obviously... hope to beat that." Rs 7,000 cr at Rs 1.1 to 1.17 lakh per tonne is 6.0 to 6.4 lakh t, 68 to 72% of capacity.
- Tone: confident and promotional ("sweat the assets", "mirror what we did in solar"); evasive on utilisation, margin numbers, FY28, PEB margin; soft Q&A with two questions from a book-runner and the rest from new IPO holders (TRUST MF, Singularity, Mirae, Three X, A-Square, Sohum). No sceptical sell-side. Normal for a first post-IPO call; not a clean bill of health.
- Contradictions and recurring themes: (1) working capital 36 to 43 vs 143 days; (2) tariff "fully passed on" yet inflates revenue and other expenses; (3) "margins will improve with utilisation" while Q1 margin fell as volume rose; (4) capacity added ahead of demand; (5) no segment guide; (6) geopolitics in three forms (US tariffs, war-driven fuel and freight, US-Iran vs the Saudi build) which management minimises.
Growth, Outlook & Valuation
Order book and revenue visibility: the evidence, source by source
Rs 6,000 cr is a rating-agency figure from issuer information; the Prospectus says there is no significant order book; Rs 2,026 cr is unverified and is not presented as fact
The only quantified figure is India Ratings' Rs 6,000 cr. It is not in the Prospectus, RHP, addendum, call or deck.| Source | What it says | Standing |
|---|---|---|
| Prospectus RF 19 (p.41) | Production cycle 4 to 6 weeks; customers order by purchase order; short-term, non-exclusive master supply agreements with no purchase commitment; "we do not hold a significant order book at any time" | [Fact] primary filing |
| India Ratings, 19 Oct 2026 | "Healthy order book position of INR 60,000 million [Rs 6,000 cr] to be executed over the next 12 to 18 months"; about 25% (about Rs 1,500 cr [Est.]) transmission towers; most solar orders from US customers with repeat orders; domestic order book grew in FY27 | [Fact] that Ind-Ra said it; figure sourced from the issuer, un-audited and un-defined |
| Q1 FY27 call | No figure. Contracts 4 to 5 months (India solar), 8 to 9 months (exports) | [Fact] |
| Q1 FY27 deck | No order-book figure | [Fact] |
| "Rs 2,026 cr at 30 Jun 2026" (Sahi page) | Appears in none of PROS, RHP, ADD, CALL, DECK, INDRA26; the Sahi page could not be retrieved (404) | Unverified; do not rely on it |
| Arithmetic [Est.] | Rs 6,000 cr is about 1.4x FY26 revenue and about 85% of the FY27 guide mid-point (about Rs 7,000 cr), but contradicts the short-cycle contract claims; it likely includes framework or repeat-customer volumes | Treat as management-reported |
| Book-to-bill; order wins in last 12 months by client/sector/amount | Not Available: no inflow disclosure; no exchange order announcements seen | Searched call, deck, Ind-Ra, Prospectus |
- Visibility indicators: 45.49% of FY26 revenue from customers of two years or more; Ind-Ra: pricing mostly fixed with back-to-back steel and LME zinc hedging; Ind-Ra is also the monitoring agency for the IPO proceeds.

Final Verdict
Bull case
- Scale and growth: revenue +72% in Q1 FY27, FY27 guide +60 to 65%, India's largest integrated solar-structure capacity (16.81 GW), 16 of the top 24 US EPCs served, and US prices 30 to 40% above Indian offers with full tariff pass-through.
- Balance sheet repair: India Ratings upgrade to AA-/A1+, about Rs 400 cr of debt repaid already, interest at 2.6% of revenue, and the ex-tariff margin of about 13.1% shows underlying profitability.
- Optionality: Saudi local-content plant, transmission and PEB ramp, and an adjusted margin of 14.55%; institutions took 46x including anchors and 66x ex-anchor.
Bear case
- Legal and regulatory load: CBI charge sheet naming the CMD, CFO and company (trial stayed, not quashed), ED/CBI/SFIO requests, MCA 206(5) with 17 alleged irregularities, and the Sai Galvanizers contempt petition aimed at a live plant and the Offer. All as disclosed; none characterised as proven.
- Priced for perfection with policy cliffs: about 45x earnings and 22x EV/EBITDA at half Nextpower's margin, against US Section 232 tariff and OBBBA tax-credit risk on a business that is 79% solar and 66% international.
- Cash and supply: FY26 FCF about -Rs 247 cr (Ind-Ra -Rs 438 cr) with OCF flattered by payables, 143 working-capital days on Ind-Ra's view, Rs 735 cr of LC acceptances, a promoter sell-down overhang (float 17.99%, family liquidity about Rs 386 cr net) and the 13 Dec anchor unlock.
Base case (12 to 18 months) [Analyst View]
Revenue lands near the low end of the guide (about Rs 6,900 cr) with reported EBITDA margin 11 to 12% and PAT near Rs 345 cr; FCF stays negative in FY27 and turns positive in FY28 only if acceptances stabilise. The stock trades at 28 to 33x forward earnings, an implied Rs 300 to 355 range, with a wide band set by the court calendar, Q2 and Q3 prints, the 13 Dec unlock and US policy. Downside to about Rs 220 if growth or margin slips or a legal event escalates; upside to about Rs 425 needs the top of the guide plus a margin recovery and benign legal outcomes. These are scenario ranges, not forecasts.
Five things to remember
- The price is Rs 359.10, a Yahoo chart close on 21 Oct 2026, not an official NSE print; market cap about Rs 11,557 cr; Q2 FY27 results are not out.
- Karamtara is a solar mounting-structure and tracker exporter (79% of FY26 revenue), not a transmission-tower company; towers are about 13% of Q1 FY27.
- The Prospectus says there is no significant order book; Rs 6,000 cr is India Ratings' figure from issuer information; Rs 2,026 cr is unverified.
- Legal and regulatory matters (CBI charge sheet and Gujarat HC stay of 2 Sep 2026; CBI/SFIO/ED requests; MCA 206(5) with NCLT application of 2 Sep 2026; Sai Galvanizers Bombay HC order of 7 Sep 2026, 21 Sep outcome not found) are as disclosed, with no finding of guilt.
- FY26 OCF of Rs 675 cr looks payables-driven (inference) and FY26 FCF was about -Rs 247 cr; management's 36 to 43 working-capital days compares with Ind-Ra's 143.
Five questions before investing
- What are the next dates and the legal view on the Gujarat HC quashing petition, and what happens to KMP continuity and lender consents if the trial resumes?
- What did the Bombay HC do on 21 Sep 2026, and what is the contingency for the Tarapur OHTL unit if third-party rights are barred?
- What exactly is the Rs 6,000 cr order book Ind-Ra cites, and why is it absent from the Prospectus and the call?
- Which Section 232 bucket applies to torque tubes and mounting structures, and what happens to US volumes after the Dec 2027 credit window?
- How will the promoters reach 25% float, and will the stock absorb a block sell-down plus the 13 Dec anchor unlock?
Opinion [Analyst View]. Karamtara is an operationally strong, fast-growing leader in Indian solar structures with a fresh AA- rating, but at about 45x earnings it is priced for the top of a guide that does not fit its own seasonality, with a US tariff and tax-credit cliff ahead, negative free cash flow against 72% growth, a promoter sell-down overhang and an unusually heavy slate of disclosed enforcement and litigation matters, including a stayed CBI trial naming the CMD and CFO. The evidence does not support committing capital yet, and it does not justify walking away from a business of this quality. Keep it on the watch list with explicit triggers: the Q2 print and margin, the Bombay HC, Gujarat HC and NCLT outcomes, the 13 Dec anchor unlock, and a price nearer the base-case range.
