Rs 340 (9 Oct, intraday +1.83%); 8 Oct close Rs 333.75 (-5.69%; -8.1% over two sessions from Rs 363.05 on 6 Oct, after HSBC's 7 Oct downgrade to Reduce and a broad 8 Oct sell-off)
What the company does. JSW Infrastructure handles bulk cargo (thermal and coking coal, iron ore, coke, limestone), break-bulk, liquids, LPG and containers at owned non-major ports in Maharashtra (Jaigarh 55 MTPA, Dharamtar 34, PNP 8) and at PPP terminals inside government major ports (Mormugao, Paradip x2, Ennore x2, New Mangalore x2, JNPA, VOC Tuticorin, SMP Kolkata). It owns a 15-tank, 465,000 m3 liquid terminal at Fujairah and runs O&M of Fujairah berths 5-6 (24 MTPA) and Dibba (17 MTPA). Since FY25 it has built a logistics arm: Navkar Corp (70.37%), 42 rail rakes, GCTs at Arakkonam and Kudathini, NCR Rail (Khurja). It is building a 302 km iron-ore slurry pipeline and greenfield ports at Jatadhar, Keni, Murbe and Oman to reach 400 MTPA by FY30.
JSW group dependence (headline, reconciled). Group cargo 51.6% of FY26 volume (62.77 of 121.58 MMT) [PD; management/CARE round to 52%]. Related-party revenue 38.2% (Rs 2,046.57 cr) [AR note 35]; JSW Steel Ltd alone Rs 1,664.91 cr (31.1%; PD billing basis 32.7%). Related-party receivables ~74% of trade receivables (Rs 786.32 of 1,057.99 cr); JSW Steel owes Rs 589.51 cr (~129 days of sales), doubled YoY. Group share guided to rise to 53-55% by FY27-28 (slurry pipeline, Jatadhar, Dolvi).
Concession expiries. PNP 2029; South West Port Goa 2029 (disputed - SWPL says 2031, in arbitration with Mormugao Port Authority); Fujairah dry-bulk O&M 2027; Dibba O&M 2028; Ennore coal 2036. SWPL (Rs 440.70 cr turnover) + PNP (Rs 280.06 cr) = ~13.4% of FY26 revenue [Est.] facing expiry by 2029. Capacity-weighted average balance concession ~21 years [PD].

Analyst Notes Analyst View
What just happened. In June 2026 JSWIL raised Rs 6,555 cr of fresh equity at Rs 285 (23.00 cr shares, 10.95% dilution) alongside a Rs 947.69 cr promoter OFS for minimum-public-shareholding compliance. The company swung from Rs 3,100 cr net debt (Mar-26) to Rs 2,769 cr net cash (Jun-26), Moody's moved it to investment grade (Baa3), and management reaffirmed FY27/FY28 EBITDA of Rs 3,000 cr / Rs 5,000 cr. The stock is up ~31% over six months (to 8 Oct), having touched a 52-week high of Rs 375.5 before easing to ~Rs 340.
What the market is pricing. At Rs 340 the stock is on 52.2x TTM P/E and ~28.6x TTM EV/EBITDA, above its own 3-year averages (45.4x / 25.0x) and ~1.7x APSEZ's P/E (30.8x). On guided FY28 EBITDA of Rs 5,000 cr the EV/EBITDA is ~15.4x on today's EV, but ~17.8x once consensus FY28 net debt (Rs 9,084 cr) is included [Aamara est.] - still below APSEZ's 19.2x, but not cheap for a business re-levering through FY28. The market is paying today for a near-doubling of EBITDA in two years. The street's mean target (Rs 374.59) is only ~10% above the price, which tells me consensus already sees most of FY28 in the price. On 7 Oct 2026 HSBC moved to Reduce (TP Rs 310). It argued that heavier capex dilutes RoIC and that slower project ramp-ups justify 4-7% cuts to FY27-29E EBITDA, and it preferred APSEZ. With a market-wide sell-off the next day (Nifty -1.6%, Midcap 100 -2.5%, JSW Steel -4.5%), the stock gave back ~8% in two sessions. No company-specific filing explains the 8 Oct move. This reinforces my valuation caution; it does not change the thesis.
What the FY28 number depends on. The bridge is concentrated in four projects that must all complete around March 2027: the 302 km slurry pipeline (CFO: ~Rs 800 cr take-or-pay EBITDA "if constructed on time"), Jatadhar Phase I (Rs 300-400 cr), the Jaigarh+Dharamtar 36 MTPA brownfield (tied to JSW Steel's Dolvi 10-15 MTPA start, "conservatively Sep-27"), and the rail-rake scale-up (logistics EBITDA Rs 700 cr). Keni, Tuticorin, Kolkata, Jaigarh LPG and Goa-15 have each slipped about a year. One quarter of slippage in the March 2027 cluster moves FY28 materially.
The credibility record is mixed. Management meets EBITDA guidance (FY26 Rs 2,604 cr vs 2,600) but has missed or trimmed volume guidance three years running (FY25 +9% vs 10%; FY26 +4% vs 10% "conservative"; FY27 cut from ~130 to ~127 MT). EBITDA was protected by tariff resets, a lumpy Q4 H-Energy take-or-pay (~Rs 75 cr), FX inside revenue (~Rs 16-17 cr) and acquisitions. Verbal logistics guidance of Rs 450-500 / 750-800 cr (Jan-26) quietly became Rs 400 / 700 cr "remains same" (May-26).
The group question is central. 51.6% of FY26 cargo and 38.2% of revenue come from the JSW group, and ~74% of trade receivables (Rs 786.32 cr) are owed by related parties - JSW Steel's balance doubled to Rs 589.51 cr. The company has also bought assets from the promoter group: the slurry pipeline from JSW Utkal Steel (Rs 1,617-1,700 cr depending on source) and three rail-rake companies from SJFT-owned JSW Shipping & Logistics at Rs 1,212 cr EV (~57x trailing PAT, ~6.3x book). The pitch has reversed from "third-party diversification" (49% in FY25) to group share rising to 53-55%. Raters see arm's-length pricing and no group loans; I see a structural dependency that caps the multiple I am willing to pay.
Earnings quality is softer than the EBITDA line. FY26 PAT grew only 1.7% on 19.8% revenue growth; TTM PAT (Rs 1,516 cr) is below FY25 (Rs 1,521 cr). OCF/EBITDA fell from ~111% (FY23) to ~78% (FY26); FCF was Rs 26 cr (FY25) and -Rs 467 cr (FY26) and will stay deeply negative through FY28 on Rs 16,500 cr capex. RoE has fallen from 20.6% to 15.0% and should dip to ~9-10% in FY27 on the enlarged equity [Est.].
What tempers the caution. Concession assets are genuinely hard to replicate (30-50 year tenures, captive conveyor/barge/pipeline evacuation, 10 major-port concessions, no rate cut at Jaigarh/Dharamtar in 10 years); the balance sheet is net cash and investment grade; Navkar's turnaround (EBITDA Rs 8 cr to Rs 118 cr) shows logistics execution; and the QIP brought sticky holders (Fidelity, HDFC MF, SBI MF, GIC). Near-dated concession expiries - SWPL and PNP in 2029 (~13.4% of revenue), Fujairah/Dibba O&M in 2027-28 - are an under-discussed risk.
Bottom line: a quality franchise priced for flawless delivery of a group-anchored March 2027 project cluster. I would wait for evidence (slurry/Jatadhar commissioning, Fujairah insurance outcome, Q2-Q3 FY27 run-rate) or a lower entry. TRACK.

Earnings quality. FY26 revenue +19.8%, EBITDA +15%, PAT +1.7%; TTM PAT 1,516 below FY25 1,521. PAT fell YoY in 3 of last 4 quarters: lower treasury income, higher depreciation, Q4 provision/MTM, high FY25 base (Q2 FY25 interest -80, Q3 FY25 tax -22%). OCF exceeds PAT every year (1.3-3.6x) but OCF/EBITDA fell to ~78%. Growth FY26 drivers: full-year Navkar (~13% of TOI, ~5% of PBILDT), rakes from 1 Feb 2026, cargo +4%. Organic port revenue +10%; inorganic logistics drove the rest. ETR rising as Sec 80-IA benefits roll off (~25% guided Oct-24). Management expects treasury income to "shoot up" post-QIP. HSBC, 7 Oct 2026: Reduce (from Hold), TP Rs 310. Higher capex could dilute RoIC and raise execution risk. A 27% YTD rally leaves little room for missteps. Slower project ramp-ups justify 4-7% cuts to FY27-29E EBITDA. Resilient India cargo partly offsets Fujairah. HSBC prefers APSEZ (Buy) on RoIC and valuation. HSBC's previous view (Hold, TP Rs 290; ScanX, 22 Jun 2026, updated 9 Jul 2026) said the QIP funds capex and that FY28 EBITDA targets look achievable, and flagged post-FY28 ramp-up risk and subdued RoIC. HSBC was also one of the QIP bankers. Median of the six named targets (310, 320, 330, 370, 392, 395) is Rs 350. One 7 Oct tally counts 19 analysts: 15 Buy, 1 Hold, 3 Sell, consensus TP Rs 369.42.

Scenario values are Aamara Capital's own estimates (EBITDA haircuts and target multiples are our assumptions), not company guidance or consensus; only the FY28 net debt input (Rs 9,084 cr) is MarketScreener consensus. Arithmetic re-checked on 233.00 cr issued shares post-QIP. Street debate: bulls (Jefferies, Nomura) underwrite 2x EBITDA and see post-FY30 options (Keni, Oman, Murbe, PPP, 250 rakes) outside consensus; bears (Kotak) see FY28 priced in and component guidance drifting (volume ~130 to 127; logistics 450-500/750-800 to 400/700; FY26 capex 5,500 to 3,500; Keni +1 yr). Bull case 1. Mar-27 cluster delivers: slurry ~Rs 800 cr take-or-pay, Jatadhar 300-400, Dolvi-linked volume - FY28 EBITDA Rs 5,000 cr, ~17.8x EV/EBITDA after FY28 net debt [Aamara est.] (below APSEZ's 19.2x). 2. Net cash, AA+ / Baa3 / BBB- funds 400 MTPA with ~16-21% IRRs. 3. Logistics (Navkar turnaround, 250 rakes, Kolkata 1.4 mn TEU) and PPP wins add optionality not in consensus.
Bear case 1. 52x P/E / 28.6x EV/EBITDA leaves no room for slippage; volume guidance missed three years running. 2. Group dependence (51.6% cargo, 38.2% revenue, ~74% receivables) rising; promoter-favourable RPT asset buys. 3. FCF negative through FY28, RoE ~9-10% FY27, SWPL/PNP 2029 expiries (~13.4% revenue), Fujairah/Oman Gulf risk.
Base case (12-18m): EBITDA near Rs 3,000 cr in FY27 with a strong Q4; one or two of the Mar-27 projects slip a quarter or two; FY28 EBITDA lands ~Rs 4,300-4,700 cr; at ~20x FY28E EV/EBITDA the stock is worth ~Rs 344 [Aamara estimate, not guidance], roughly today's price - limited upside as the multiple de-rates while earnings grow.

Valuation 52.2x P/E, 28.6x EV/EBITDA vs APSEZ 30.8x / 19.2x; street mean TP only ~10% upside.

Why did JSW Steel's receivable double to Rs 589.51 cr (~129 days), and what are its payment terms?
2
What is the status of the SWPL arbitration (2029 vs 2031) and the PNP renewal path?
3
How much of FY28 EBITDA survives a 2-quarter slip in the slurry pipeline and Dolvi start?
4
How was the Rs 1,212 cr rake EV (~57x trailing PAT) justified, and will further group assets be bought?

DECLINE
VERDICT: TRACK. A hard-to-replicate, investment-grade port franchise with a credible growth plan, but priced at 52x earnings for on-time delivery of a group-anchored March 2027 project cluster, with rising JSW-group dependence and near-dated concession expiries. Monitor Q2-Q4 FY27 execution; revisit on delivery evidence or a lower entry.
