Special situation, not a compounder. SBI's Section 7 CIRP (admitted 15 Nov 2022) was withdrawn under Sec 12A on 10 Sep 2025 through a promoter one-time settlement (OTS). The Rs 2,384 cr debt write-back is a non-recurring exceptional gain and is stripped out of every earnings metric in this report. Trading was suspended 15 Dec 2025 to 8 Apr 2026 (restored 9 Apr 2026). Same promoters (23.56%; 1.15% of equity pledged). Rating CARE D / Issuer Not Cooperating. No order book is disclosed anywhere. Three OTS-linked payments are falling due and no filing confirms any of them, and SBI can revive the CIRP if the settlement is breached.
Entity check: this is the listed EPC parent of the T. Subbarami Reddy family. It is not Gayatri Highways Ltd (26% associate holding the old BOT SPVs), Gayatri Sugars, Gayatri BioOrganics, Gayatri Hi-Tech Hotels or Gayatri Infra Ventures.

Q2 FY27 results, due by 14 Nov 2026
Plain-English description. Gayatri Projects is a Hyderabad civil contractor that once built about Rs 3,900 cr of roads, dams, canals and lift-irrigation schemes a year (FY21) and carried a Rs 16,317 cr order book (Mar 2019). Working-capital stress, BG devolvement and failed BOT road SPVs pushed it into NPA (30 Jun 2021) and CIRP (15 Nov 2022). The founding family regained control in Sep 2025 by settling lenders for Rs 750 cr cash plus continuing BG cover, a 75% share of awarded arbitration (Rs 462.39 cr) and 15% of future awards to 2033. It then raised Rs 277.10 cr of equity at Rs 10 (Apr 2026), Rs 100 cr of it from the CMD. Today it is a ~Rs 900–1,000 cr-a-year contractor executing mainly through JVs (Jammu Ring Road was ~65% of Q1 FY27 revenue). It owns an ageing, ~92%-depreciated fleet, has 240 staff and no bank fund-based lines, and has not disclosed an order book.
Chart 1 · Revenue (Rs cr): collapse and restart. TTM is still ~26% of the FY21 peak; the Q1 FY27 run-rate (~Rs 915 cr) is ~23%. Fact/Est.

What just happened. Gayatri Projects exited insolvency at a very low cash recovery for lenders (~19%). Fund-based dues of about Rs 4,011 cr (borrowings Rs 3,625.55 cr + accrued interest Rs 385.15 cr at Mar-25) were settled for Rs 750 cr cash. The settlement added contingent sweeteners: continuing cover on Rs 1,229 cr of BG limits, Rs 462.39 cr (75%) of already-awarded arbitration, 15% of future awards to at least 31 Mar 2033, and a Rs 50 cr DSRA. The family that ran the company into default kept it. Net worth swung from −Rs 1,472.91 cr to +Rs 579.00 cr on a Rs 2,384 cr write-back. Then the CMD put in Rs 100 cr at Rs 10 alongside offshore event funds, business counterparties and family vehicles (Rs 277.10 cr total).
What the market is pricing. At ~Rs 19.3 the equity is worth ~Rs 896 cr, about 1.0x post-money book of ~Rs 893 cr; EV of ~Rs 1,122 cr is ~27x TTM EBITDA (Rs 41.2 cr) and ~7x a single annualised quarter (Q1 FY27 EBITDA Rs 40.19 cr). On P/B that is the most expensive road-EPC name in the listed set except HCC (2.3x). Peers PNC, KNR, HG, GR, DBL, NCC and Ashoka trade at 0.44–0.99x book with clean ratings, real order books and 19–26% margins. So the market is paying for a turnaround that has produced exactly one clean quarter.
Why I don't take the book at face value. Post-money book of ~Rs 893 cr sits on top of roughly Rs 1,000+ cr of soft assets:
claims receivable Rs 368.08 cr, against which lenders are owed Rs 462.39 cr;
Rs 154.55 cr of "collateral under SARFAESI enforcement", which is a subcontractor's property seized by PNB and carried at auction reserve price;
Rs 167.70 cr GHL NCPS and Rs 47.46 cr GHL loan, unprovided, owed by a company with −Rs 171.72 cr net worth;
Rs 62.29 cr of hotel CCCPS being sold to the promoters for ≥Rs 34.01 cr;
Rs 207.03 cr of income-tax refunds.
The CCCPS, GHL, SARFAESI-collateral and subcontractor-advance items sit under the five auditor Emphasis of Matter notes. On a hard-asset basis tangible book is negative or not meaningful. The equity is an option, not a discount to book.
The thing that matters most in the next 5 weeks. The settlement is not finished:
the Rs 50 cr DSRA was due "from operations" by ~10 Sep 2026;
a subcontractor owed Rs 54.9965 cr by 30 Sep 2026 (only Rs 26.98 cr received by 14 May 2026);
PNB's separate Rs 135.06 cr OTS falls due ~Nov 2026, possibly late Oct.
As of 9 Oct 2026, no NSE filing confirms any of the three, and the DSRA and subcontractor deadlines have now passed without disclosure. A news sweep for 20 Sep – 9 Oct 2026 found no lender or SBI move to revive the CIRP, no bank-guarantee invocation, no LOA and no new rating action. The NCLT order gave SBI liberty to revive the CIRP on breach. PNB is to be paid from a property sale and/or a Rs 150 cr, 9%, 18-month loan from Gayatri Highways, a negative-net-worth associate that the promoters and GPL control 61.15%. That makes Q2 FY27 results (due by 14 Nov 2026) a binary disclosure event, not a routine quarter.
The operating picture is real but thin. Q1 FY27 was genuinely good: revenue Rs 228.77 cr (+198.7% YoY), EBITDA Rs 40.19 cr (17.6%), finance cost Rs 2.2 cr, interest cover 18.4x. But about 65% of that revenue came from a single JV (Gayatri-KMB, Jammu Ring Road, Rs 149.14 cr). TTM core PBT ex-other income is only ~Rs 2.5 cr. FY26 core EBITDA was 1.2%, and the Q3 FY26 revenue spike of Rs 505.84 cr came at a negative EBITDA. There is no order book, no segment data, no investor call since Nov 2021, no guidance, and a CARE rating the company still will not engage with (it ignored requests of 2, 12 and 22 Jun 2026). Whether the company can win fresh BG-backed work with Rs 61 cr of FDs under lien, no bank fund-based limits, 240 staff and a 2021 NHAI non-performer tag is unknowable from disclosures.
What tempers and what amplifies. In favour of a positive view:
debt is genuinely reset (consolidated borrowings Rs 311.35 cr, almost all interest-free related-party money);
the going-concern paragraph has been dropped since the Q3 FY26 review;
three consecutive on-time filings;
the promoter put real money in (Rs 166.82 cr of loans and Rs 100 cr of equity);
arbitration flows are live (Rs 21.68 cr passed to lenders in Q1 FY27).
Against it:
related-party liquidity everywhere (GHL loan; CCCPS sale to promoter entity GHVPL at a ~Rs 28.3 cr loss; Rs 39.8 cr of issue proceeds reimbursing promoter-group collateral providers; a "one-time compensation" to the CMD five months after he accepted nil pay);
interlocked "independent" directors;
~17.71 cr non-promoter preferential shares (~38% of equity) bought at Rs 10, whose lock-in plausibly lapses around Q4 CY2026 Est..
Bottom line. TRACK, do not engage. The trigger to re-underwrite is a Q2 FY27 filing that confirms DSRA funding, the subcontractor recovery and PNB settlement, plus any first disclosed LOA or order book. Absent those by mid-Nov 2026, the stance moves to DECLINE.
75% of awarded and 15% of future awards go to lenders to 2033+

The Rs 134.11 cr write-off of GHL subordinated debt (terminated SMTL/IDTL SPVs) is not in the exceptional line (Note 33.26); it was fully provided earlier. The remaining Rs 45.56 cr HKR sub-debt is fully provided.
Coming FY27 hit: sale of GHHL CCCPS to promoter-owned GHVPL for ≥Rs 34.01 cr vs carrying Rs 62.29 cr crystallises a further ~Rs 28.3 cr loss.
Potential gain: PNB settled at 135.06 vs 143.91 booked gives a ~Rs 8.9 cr write-back on payment. Est.

Dec-24 values are rounded Screener figures. Q2/Q3 FY26 are standalone from the Q3 FY26 filing (14 Feb 2026); consolidated Q3 PAT was 2,157.1. Discrepancies: CARE lists Q1 FY27 PAT 33.35 vs 36.78 filed; Q1 FY27 EPS was reported at Rs 2.34, but ~40.3 cr time-weighted shares (18.72 cr for 19 days, 29.62 cr for 2 days, 46.43 cr for 70 days) imply ~Rs 0.91 (Screener Rs 0.80), a probable filing error.

FY25 consolidated PAT was +123.89 vs standalone −68.80. The gap is GEVPL's Rs 191.03 cr earn-out from the SEIL Energy liquidity event, booked in other income of 212.10 (other income 209.3 at the subsidiary). Consolidated Q4 FY25 PAT was +158.7 (other income 200.2).
FY26 consolidated PAT was 2,042.12 (EPS 109.09). Consolidated EBITDA was −0.25 after GEVPL costs; revenue was the same 846.9. The "EBITDA 0.0%" shown for Gayatri in the peer table refers to this consolidated basis.
FY26 consolidated accounts also carry the BTPCL land loss (IDBI sold ~600 acres under SARFAESI).
Revenue growth is entirely organic (no acquisitions). Volume vs price split is not disclosed.

FY26 OCF of 404 vs PAT of 2,047: OCF before WC was only 28.30. It was driven by WC release: receivables −395.33, other current assets −117.96, current financial assets −64.34, inventory −10.09, offset by payables −142.07 and current financial liabilities −40.76. Not repeatable.
Interest income of 91.04 is classified in investing CF. The financing outflow of 576.51 includes OTS payments booked as "finance costs" of 322.91 and short-term borrowing repayments of 239.88. Consolidated OTS-related financing outflow was ~781.76, consistent with 750 + 5 + related payments.
FY25 OCF +113 vs PAT −69 came from WC release and non-cash exceptionals. FY22–FY23 cumulative OCF of −1,558 reflects the collapse in collections into CIRP. H1 FY26 OCF was −211.98 (other current assets +156.31, payables −88.73).
FCF yield on the Mar-26 pre-money cap (~Rs 275 cr) was ~145%. Both yields are artefacts.

Governance verdict: HIGH risk.Analyst View The family that ran GPL into a ~Rs 3,451 cr principal default and CIRP regained control via 12A + OTS. It now uses the listed company as counterparty for group transactions: the Rs 150 cr GHL loan, the CCCPS sale to promoter-owned GHVPL at a loss, and Rs 39.8 cr of issue proceeds to promoter-linked entities. The compliance record is among the weakest in listed Indian infra. Positives: 97.2% CoC approval, Crisil monitoring with no deviation, an unmodified FY26 opinion, and promoters abstained on RPT votes at the Sep 2026 AGM.

CMD pay while failing: Rs 528 lakh (FY22) and Rs 313 lakh (FY23, 120x median). The 2020 AGM waived recovery of excess FY20 managerial pay. The 5 Mar 2026 AGM approved a one-time compensation to the CMD plus CMD/ED remuneration (amount not disclosed); nil was drawn in FY26.
Personal funding: Rs 166.82 cr of interest-free loans (FY26) + Rs 100 cr equity (Apr 2026). The source of funds is not disclosed. Equity may partly reflect conversion of promoter credit balances, including the Rs 56 cr pledged-share-sale "loan from promoters" (FY23 note 20.9); not confirmed.
Discrepancy: the shareholding data date the CMD's holding going to nil at Mar 2023, while a filing note (Note 19.3, shares sold by lenders) places the 100% fall in FY24.
KMP vacancy red flag: CFO vacant 31 Aug 2022 – 13 Sep 2025 (~3 yrs). CS vacant 14 Jan 2023 – 23 Oct 2025 (~2.8 yrs), which drew NSE/BSE fines of Rs 7,18,000 + GST each (Reg 6(1)). Senior employees FY26: K. Sesha Reddy Rs 125.03 lakh; K.V. Sai Krishna Rao Rs 66 lakh; Anurag Shukla Rs 42.24 lakh. Note: Anusha Projects, the ex-employer of CGM J. Nagarjuna Rao, bought the Deep Land collateral from BoB on 24 Oct 2025.

JV-count note. The filings give different JV counts because they measure different things. 26 is every work-sharing JV listed in the FY26 Board's report. 23 is the JV set used in the FY26 consolidated statements. 22 is the set covered by the auditor's Q1 FY27 limited-review remarks: 17 on unaudited, management-certified figures plus 5 whose statements were not available and so were not consolidated. The "23–25" range in this table spans the counts used across filings. None of these counts changes the analysis: the consolidated JV contribution is Rs 246.72 cr of FY26 receipts, and the audit caveat (17 uncertified + 5 missing) applies whichever count is used.
Acquisition/investment track record: poor. Power diversification consumed >Rs 640 cr of equity; the GHL road portfolio collapsed with ~Rs 2,471 cr of GPL guarantees; the Rs 235 cr hotel investment exits for ~Rs 34 cr. GHL cross-holding: GPL 26.04% + Indira 23.84% + Sandeep 11.27% = 61.15%.

Single-source / concentration risks: execution depends on a few JV partners (KMB, MEIL, RNS/SIPL, Ramky, OJSC Sibmost, Crescent EPC) and on the legacy consortium for BGs.
↓ Downstream: who depends on Gayatri
End-customers: "State Government entities, NHAI, MoRTH and other corporate and institutional clients"; credit risk "limited as the customers… mainly consist of Government promoted entities".
Customer concentration: top-5/10 not disclosed. Proxy: JV receipts 29% of FY26 revenue; largest FY26 JV MEIL-Gayatri Rs 98.3 cr (11.6%); Gayatri-KMB alone ~65% of Q1 FY27 revenue; top six JVs ~66%. Effective top-1 client (likely NHAI) >60% of current run-rate. Est.
End-products: national and state highways, expressways, ring roads, urban flyovers and tunnels, lift-irrigation schemes and canals, drinking-water schemes, mine overburden removal, industrial plant civils.
Contract tenor and stickiness: EPC 24–36 months + 2–5 year defect liability; retention (Rs 137.8 cr) released after DLP. Stickiness is low (L1 tenders); design-win dynamics not applicable. Moats are the JV structure and pre-qualification history.
Arbitration as a recurring value stream: claims receivable Rs 368.1 cr; Rs 210.4 cr received under the CCEA 75% interim scheme against BGs; lenders take 75%/15%. Historical awards (Rs 208 cr, Rs 69.41 cr) face Sec 34/37 appeal risk.
GHL road SPVs: Gayatri Lalitpur, Gayatri Jhansi, Hyderabad Expressways, HKR Roadways (operational toll), Balaji Highways Holding, plus Sai Maatarini Tollways and Indore Dewas Tollways (terminated by NHAI; liquidation/insolvency). Recovery depends on GHL's arbitration awards. Other group assets: GHHL CCCPS (7.83 cr; cost 195.72; carried 62.29; sale ≥34.01); GEVPL investment 194.49 and BTPCL (abandoned).

Where pricing power sits: with the government owner.Analyst View Awards are L1 tenders at SOR-based rates, and owners control certification, payment release, retention and termination (CIRP-era cancellations prove it). Suppliers pass costs through PVCs, so GPL is roughly index-neutral but exposed on fixed-rate items. GPL's leverage is limited to pre-qualification (five decades; 6,800+ lane-km), JV partners' need for its credentials, and claims. Weakest link: BG capacity and rating, not demand. NHAI capex ~Rs 2.44 lakh cr in FY26 with 5,313 km built (AR26 MD&A).
Competitive Position
Rank: last among 10 listed road/irrigation EPC peers by revenue (FY26 Rs 847 cr). Market share ~0.3% of MoRTH's FY27 allocation (Rs 3,09,875 cr), before state roads, irrigation and urban spend. At its FY19–FY21 peak (revenue Rs 3,400–3,900 cr; order book Rs 12,000–16,300 cr) Gayatri was comparable to KNR and HG and a top-10 southern irrigation/dam contractor. It is now one-third to one-twenty-fifth of peer scale.
Peer comparison (consolidated; Screener raw data recomputed; prices 9 Oct 2026)
Method: EV = mcap + Mar-26 gross borrowings (cash excluded, so EV is overstated for cash-rich names). Crude ex-OI P/E for Ashoka/DBL: core PAT ≈ TTM PAT − OI × 0.75. Reconciliation: an unadjusted consolidated basis gives Gayatri EV/EBITDA ~40x (EV 1,209 / TTM EBITDA 30, borrowings without cash/PI adjustments) and ~7.6x on Q1; this report uses the adjusted EV of ~1,122 (~27x TTM; ~7.0x Q1; see Tab 12). HCC/Patel restructuring history was not independently re-verified.
Chart 6 · Price-to-book. Gayatri is the most expensive road-EPC name on P/B except HCC, with the weakest balance-sheet quality.
Strengths and weaknesses vs each peer
Peer
Gayatri strengths vs peer
Gayatri weaknesses vs peer
KNR
Similar Telangana/AP irrigation and dam heritage; +88% vs KNR −43%
KNR ~3x revenue, 26% EBITDA, clean ratings, no NHAI tag; P/B 0.63x vs ~1.0x
PNC Infratech
Southern irrigation exposure; gross debt 311 vs 5,170
6x revenue; runway niche; HAM; InvIT; e.g. UP NHAI wins worth Rs 3,483 cr (May 2026)
HAM/BOT/PPP: NHAI pays 40% of bid project cost under HAM; the developer funds 60% (equity ~10–15% of cost). In May 2026 MoRTH revised BOT bidding to let institutional investors bid directly. Developer roles need balance sheet and equity, which excludes Gayatri for now, leaving EPC and sub-contract work.
Stricter contractor evaluation norms (Mar 2026): the 2021 NHAI non-performer tag, CIRP history and D rating likely hurt scoring and eligibility (exact impact unverified).
Relief measures: temporary cost-escalation compensation Apr–Jun 2026; timelines up to 6 years for complex projects. Gayatri's small live book limits the benefit.
Other: Infrastructure Risk Guarantee Fund (FY27 budget); Integrated Transport and Logistics Authority approved 7 Oct 2026; Jal Jeevan Mission (Gayatri's 2020 UP LOAs Rs 1,748 cr); state irrigation payments in AP/Telangana depend on fiscal capacity. PLI is not applicable.
IBC/SEBI: 12A needs 90% CoC; it ends insolvency but not credit stigma. ICDR Chapter V lock-ins apply. SAST 25% caps the promoter.
Market structure: fragmented. Analyst estimate: top-10 listed firms win ~15–20% of NH EPC/HAM award value (unsourced). Analyst View

Rivalry
High
FY25–26 award drought drove aggressive L1 bidding. Peer margins compressed: PNC 31%→21%, GR 22%→19%, KNR 34%→26%
Buyer power
High
Monopsony government buyers; client-favourable terms; years-long arbitration; slow state payments
Supplier power
Med
Commodity inputs; NHAI PVCs; many state contracts lack PVC; seasonal labour
New entrants
Med
Prequalification and BG needs deter on large packages; low barriers in small state works
Substitutes
Low
No substitute for civil works; spend shifts between segments
Re-entry barriers for Gayatri: technical/financial prequalification. With turnover ~Rs 850–1,000 cr and NW ~Rs 880 cr, the practical bid ceiling is ~Rs 500–1,500 cr per package Est.. BGs are the binding constraint: typically 3–10% of contract value, no fresh sanction disclosed, and existing BGs "remain in force for project commitments" (EGM). Fleet Rs 77 cr consolidated vs large peer fleets. Moat: narrow to none, weakest in the set. Pricing power: none at award; margin comes from execution, early-completion bonuses, change of scope and arbitration. Recovering contractors tend to buy orders at thin margins, so watch bid discounts on the next LOAs.
SWOT
Strengths: ~60-year history with dam, irrigation and NH credentials; borrowings cut from 3,625.55 (standalone, Mar-25) to 537.33 standalone / 311.35 consolidated (Mar-26); Rs 277 cr fresh equity incl. Rs 100 cr from the promoter; FII holding 1.91% → 17.95%; clean Q1 FY27 (17.6% EBITDA). Opportunities: arbitration upside; PMGSY-IV, state irrigation and water; sub-contracting from large peers; Rs 12.2 lakh cr capex budget; rating restoration.
Weaknesses: tiny scale, no fleet; CARE D/INC since Apr 2023; BG constraint; no order book; 361 WC days; Rs 1,215 cr contingent liabilities; NHAI non-performer history; going-concern history (FY24, FY25, Q2 FY26). Threats: award slowdown and aggressive bidding; stricter evaluation norms; state payment delays; further dilution (~13.6 cr authorised headroom + 20 lakh ESPS); allottee selling at lock-in expiry.

Coverage: no broker coverage (Buy 0 / Hold 0 / Sell 0; no target prices). Historical FII following 2016–19 (FIIs 34–39%). No concall or presentation since Nov 2021; the FY26 AR states "no presentations were made… to institutional investors or analysts".
Media (2026): mostly AI filing aggregators. Whalesbook (24–29 Apr) is neutral-cautious and repeats the "Rs 1,090 cr" error and "debt-free" claim. ScanX (1 Jul) is governance-negative. Moneycontrol (~May): Q4 sales +39.5% to 191.34, loss 110.3, "183% in 12 months". ScoutQuest: "Rs 2,750 cr settlement". ScanX (19 Sep 2025): "Rs 2,400 crore settlement". Livesquawk (Aug): Q1 EBITDA 40.2 vs 9.5.
Forums: ValuePickr thread 5886 (created 25 Jun 2016; ~12–15 posts; last 15 Sep 2026 "Something cooking?" citing a wrong "~Rs 3,000 cr" injection). The 2016 thesis cited 90.37% promoter pledge and ~Rs 9,617 cr contingents. Basant Maheshwari's historical Rs 20 → ~Rs 150 trade (2014–17) feeds retail nostalgia. X/Reddit/Telegram chatter: not verified.
Pump-risk flags: sub-Rs 30 price; 5% band; ~38% of equity in non-promoter hands at Rs 10; inflated narratives circulating; the claimed 2014 SEBI penalty (unverified).
Sentiment arc: Apr–May 2026 euphoric relisting toward Rs 27.33. Jun–Aug constructive (promoter buying, Crisil no-deviation, Q1 profit). Sep–Oct cooling: CARE D reaffirmed, FII 17.99 → 17.95, retail holders +7,897 (+18%) QoQ, price −16.8% in a month. Net: speculative-neutral turning cautious.

OTS settlement breach → CIRP revival
Financial / Legal

NCLT reserved SBI's liberty to revive the petition on breach. Open: DSRA Rs 50 cr (~10 Sep 2026), subcontractor Rs 54.9965 cr (30 Sep 2026), PNB Rs 135.06 cr (~Nov 2026, possibly late Oct), 90-day BG devolvement, 75%/15% arbitration share to 2033+. No NSE filing confirms any payment through 9 Oct 2026 (DSRA and subcontractor deadlines passed without disclosure). The issue raised Rs 36.9 cr less than planned; OTS uses were cut from 150 to 145.

Analyst Q&A substitute: what an analyst would ask
Is profit real? ~97% of FY26 PAT is exceptional. The KAM was the 12A OTS accounting. Ex-exceptional PBT 95.1 includes OI 131.9 (interest 88.6, likely GEVPL/ICL or IT-refund related; PPE profit 33.1). Core PBILDT was 10.5.
What is still owed? PNB 63.5 + 80.4 (OTS 135.06 ~Nov 2026); claims share 462.39; BG exposure 624.0; CARE still lists Rs 6,044 cr (stale).
Asset landmines: SARFAESI collateral 154.6; subcontractor advances 147.2 (settled 55.0); another 74.8 (ECL 47.7); GHL NCPS 167.7 + loan 47.5 unprovided; GHHL 133.4 impaired then sold for 34.01; total subcontractor advances 348.9 vs ECL 129.0; claims receivable 368.1.
Tax: undisputed GST 20.8 unpaid >6 months ("not regular in depositing" statutory dues); disputed 591.1; IT refund receivable 207.0.
Consolidation gaps: associate GHL's FY26 financials "not made available"; 5 of 22 JVs not consolidated; 17 management-certified.
Scale: 240 employees; net block 74.9; executes via JVs and subcontractors.

Base
OTS completed with delay; revenue ~Rs 900–1,000 cr; margins high-single to low-double digit; no order disclosure; lock-in supply
Q1 FY27 shows the operating engine works: revenue +198.7%, EBITDA 17.6%, going-concern paragraph gone, three on-time filings.
Real optionality: Rs 368 cr gross claims receivable (though the lenders' Rs 462.39 cr share of awarded claims exceeds it), Rs 207 cr tax refunds, legacy credentials for PMGSY-IV and state irrigation, and the promoter's Rs 266 cr of personal money at stake.
Bear case
Settlement not finished: DSRA, subcontractor and PNB payments unconfirmed; SBI can revive CIRP on breach.
Book is soft (~Rs 1,000+ cr claims, advances, SARFAESI collateral, GHL), so hard book is negative at ~1.0x P/B; no order book; one JV drives revenue.
Governance: related-party liquidity loops, interlocked IDs, CARE INC, plus ~38% of equity bought at Rs 10 nearing lock-in expiry.
Base case (12–18 months)
The OTS completes with some slippage, funded by the GHL loan and property sale. Revenue runs ~Rs 900–1,000 cr, dominated by Jammu Ring Road, with margins well below Q1's 17.6%. Still no order-book disclosure and no rating upgrade. Lock-in supply caps the price; the stock de-rates toward 0.7–0.9x post-money book (~Rs 13–17).
5 things to remember
FY26 PAT of Rs 2,046.95 cr is ~97% exceptional (Rs 2,384 cr write-back). Core FY26 PAT ~−Rs 27 cr; TTM core PBT ~Rs 2.5 cr.
The raise was Rs 277.10 cr (not Rs 1,090 cr). The share count rose 148% to 46.43 cr; post-money BVPS ~Rs 19.2; P/B ~1.0x.

5 questions to ask before investing
Has the Rs 50 cr DSRA been funded from operations, has the subcontractor paid the remaining ~Rs 28 cr, and has PNB been paid? Where is the filing?
What is the current order book by project and client, and how much new BG capacity exists to bid?
Where did GHL, a −Rs 171.72 cr net-worth associate, get Rs 150 cr to lend, and why is GPL's Rs 215 cr GHL exposure still unprovided?
Who sold the 20 lakh shares off-market to the promoters in Jun 2026, and what was the source of the CMD's Rs 100 cr?
When do the 17.71 cr non-promoter preferential shares come out of lock-in, and what are the allottees' intentions?

TRACK Do not engage now
Gayatri is a live but unfinished turnaround. The balance-sheet reset is real, but the settlement is not yet closed, book value is soft, no order book is disclosed, and the equity trades at ~1.0x post-money book against cleaner peers at 0.44–0.99x. Re-underwrite trigger: the Q2 FY27 filing (due by 14 Nov 2026) confirming DSRA funding, the subcontractor recovery and PNB settlement, plus a first disclosed LOA or order book. Downgrade to DECLINE if those are not confirmed by then, or on any BG devolvement or CIRP-revival application.
