Quick Verdict Scorecard
Financial is rated Weak on cash conversion (FY26 operating cash flow 26% of standalone PAT; five-year cumulative operating cash flow negative), not on profit growth. Valuation is Attractive on price alone (8.8x P/E, ~5.1x EV/EBITDA) but the cheapness is conditional on earnings quality that is not yet proven. Details in Tab 13.
Headline KPIs (FY26) with both reporting bases
| Reconciliation: FY26 consolidated vs standalone | Consolidated | Standalone | Gap and reason |
|---|---|---|---|
| Revenue from operations | Rs 1,715.28 cr | Rs 1,532.54 cr | Rs 182.7 cr [Fact]: third-party DCR solar-cell/module trading by wholly-owned subsidiary GK Energy Solar Pvt Ltd (revenue Rs 182.74 cr). Earlier research called this gap unexplained; the AOC-1 in the Annual Report explains it |
| EBITDA | Rs 318.4 cr (18.56%) [Fact, company deck] | Rs 313.18 cr (20.44%) [Fact, company deck] | Rs 5.2 cr, i.e. the subsidiary earns ~2.8% EBITDA on its trading revenue [Est.]. Both figures use the company definition (PAT + interest + tax + D&A), which includes other income (Rs 9.29 cr consolidated, Rs 9.49 cr standalone); ex other income they are Rs 309.1 cr (18.0%) and Rs 303.7 cr (19.8%) |
| PAT | Rs 204.30 cr | Rs 201.27 cr | Rs 3.02 cr subsidiary PAT (1.7% margin) |
| EPS | Rs 10.90 | Rs 10.74 | Earlier file figure Rs 10.07 is superseded |
| Q4 FY26 revenue | Rs 476.8 cr | Rs 418.6 cr | Subsidiary trading |
| Q1 FY27 revenue | Rs 505.2 cr | Rs 505.2 cr | Subsidiary revenue nil in Q1 FY27 |
Why two EBITDA margins: the 20.44% headline is a standalone number (313.18/1,532.54). The 18.56% is consolidated, diluted by low-margin trading. Screener shows operating profit of Rs 309 cr (18.0%). The gap to the company's Rs 318.4 cr is Rs 9.3 cr and equals FY26 other income (Rs 9.29 cr in the consolidated P&L): the company defines EBITDA as PAT + interest + tax + D&A, so it includes other income [Fact, Q1 FY27 deck footnote and AR]. Like for like, the company-basis margin was 18.64% in FY25 and 18.56% in FY26 (flat to slightly down), and the Screener-basis margin 18.2% and 18.0%. We use the company basis (18.6%) elsewhere unless stated. Q1 FY27 shows the same pattern: company standalone EBITDA Rs 86.1 cr (17.05%) vs Screener Rs 82.6 cr (16.4%) on identical revenue.
| Q1 FY27 (Jun-26) headline | Standalone (company) | Consolidated (Screener) | Prior-year comparison |
|---|---|---|---|
| Revenue | Rs 505.19 cr | Rs 505.19 cr | +71.1% on standalone Q1 FY26 Rs 295.27 cr; +55.5% on consolidated Rs 324.79 cr |
| EBITDA / margin | Rs 86.11 cr / 17.05% | Rs 82.6 cr / 16.4% | Standalone 19.74% a year ago (-270 bp) |
| PAT | Rs 59.67 cr | Rs 59.65 cr | +61.6% standalone; +59.9% consolidated |
| Systems installed | 24,118 | 24,118 | +122.8% YoY; 109 MW commissioned |
| Order book: 30 Jun 2026 plus orders received after June, to 7 Aug 2026 (company deck and CEO) [Fact] | Rs 541 cr | Down from Rs 710 cr (31 Mar 2026 plus orders to mid-May, incl. the Rs 353.89 cr award of 6 May) | |
Analyst Notes
[Analyst View] Aamara Capital, 21 Oct 2026
What happened. GK Energy listed on 26 Sep 2025 at Rs 171 on NSE (issue price Rs 153), peaked at Rs 239.60 on 23 Oct 2025, and now trades at Rs 98 (Yahoo NSE series, 21 Oct 2026, down 4.9% on the day), 36% below the issue price and about 9x trailing earnings. The business did not break: FY26 revenue rose 57% (consolidated Rs 1,715 cr) and PAT 53% (Rs 204 cr), Q1 FY27 revenue was a record Rs 505 cr and installations more than doubled to 24,118 systems. What deteriorated is everything the market could see around the earnings: the order book fell from Rs 1,029 cr (Aug 2025) to Rs 541 cr (30 Jun 2026 plus orders received to 7 Aug) while FY27 guidance doubled to Rs 3,000 cr; EBITDA margin fell from 20.5% to 17.05% in two quarters (standalone); per-pump realisation fell; and the IPO cash is gone.
The October fall is unexplained. We looked for a cause and did not find one. On 21 Oct, Shakti Pumps closed at Rs 401.65 (-3.3%), Oswal Pumps at Rs 234.65 (-4.9%; another source shows -5.2%), Waaree RTL fell 9.5% and Saatvik 3.9%, so most of the day's weakness looks sector-wide [Fact]. The exchange-disclosure page shows no company-specific October filing, no bulk or block deal and no promoter sale (promoter 79.20% constant). Our searches returned no October 2026 news on the stock or on PM-KUSUM 2.0. Candidate drivers (PM-KUSUM 2.0 still not announced after management's "Q3 / September" signal; thin order book; Rs 3,000 cr guidance needing a very back-ended year; peers' margin collapse) are [Est.] and unproven. We do not assert any of them as the cause. Price path and peer moves are in Tab 12.
Earnings quality is the central issue, not growth. FY26 operating cash flow was Rs 52.9 cr standalone against standalone PAT of Rs 201.3 cr (26%); consolidated it was Rs 50.4 cr against PAT of Rs 204.3 cr (25%). Cumulative FY23 to FY26 PAT of roughly Rs 384 cr compares with cumulative consolidated operating cash flow of roughly minus Rs 68 cr. Receivables are Rs 586 cr (standalone) on Rs 1,532 cr of revenue, debtor days 140 by the company's count, with the counterparties being state agencies. The headline "net cash of Rs 240 cr" is real arithmetic (cash Rs 443 cr less borrowings Rs 203 cr) but it is not idle cash: the IPO monitoring agency (CARE) shows the Rs 322.46 cr working-capital object and the Rs 46.48 cr general-corporate-purposes object fully used and only Rs 2.01 cr unutilised; most fixed deposits (Rs 96.7 cr of the 'other bank balances' and part of the rest) are lien-marked against credit lines; and the March balance reflects year-end collections that may be timing-flattered. Q4 is 35 to 40% of annual business, so March is the seasonal peak for collections.
Concentration is close to total. ICRA puts government-scheme revenue at about 99% of FY25 revenue; CARE puts Maharashtra above 90%; the RHP shows Maharashtra at 93.12% and the largest single customer (Ecozen Solutions) at 15.13%. PM-KUSUM 1.0 has closed for new sanctions and its completion deadline was extended to 31 Mar 2027; PM-KUSUM 2.0 was announced in March 2026 but we found no formal notification. GK's own CEO said on the August call that a delay would have "slight impact" and that rooftop would be accelerated. Rooftop is only about 5% of Q1 revenue.
Governance is the second issue. The founder-chairman-CEO was paid Rs 20.99 cr in FY26 (FY25 Rs 13.43 cr; FY24 Rs 5.90 cr; FY23 Rs 0.48 cr), received a Rs 1.53 cr trademark royalty (0.1% of sales) on a trademark the company assigned to him for Rs 1 lakh on 5 Dec 2024, and lent the company Rs 91.2 cr that was repaid within the year with Rs 2.58 cr interest. His pay is 10.4% of standalone PAT against a statutory 11% cap, and the royalty will scale with sales. Auditor Bharat J. Rughani & Co charged Rs 13 lakh for the statutory audit of a Rs 1,700 cr revenue company and also signs the IPO-use certificates. A Maharashtra GST search (27 Feb to 4 Mar 2026) produced a ~Rs 7.4 cr input-tax-credit order; the independent director resigned the day before it began and the company secretary left 14 Mar. No SEBI or MCA action, no pledge and no promoter selling were found, so this is a watch-list, not a stress case.
Management's credibility is mixed. Margin guidance was met through Q4 FY26. Volume, order-flow and capex guidance were not: FY26 installs came in at 61,085 against 70,000 to 75,000 guided (a 15 to 20% miss); the Rs 1,400 cr order book promised by end-Q1 FY27 became Rs 541 cr; the 1 GW module plant "operational by September 2026" was dropped by May 2026 ("we have dropped the solar module manufacturing"). Net debt was guided to rise and instead net cash appeared. No Q3 FY26 call was held, and one investor complained on the Q4 call that management had been unavailable.
What the price assumes. At Rs 98 the market capitalisation of Rs 1,989 cr is 8.8x trailing PAT of about Rs 227 cr and ~5.1x EV/EBITDA, with a 0.5% dividend yield. Even the worst case the CEO accepted from an analyst on the May call (Rs 2,500 cr revenue and Rs 250 cr PAT; his words: "you can definitely arrive with the discussion") would put the stock at about 8x. The market is therefore pricing a material probability that earnings do not repeat, that receivables do not convert, or that scheme dependence hits FY28. That is a reasonable stance on the evidence. What is not clear is whether it is too harsh: the sector fell together, GK's FY26 numbers were audited with an unmodified opinion, and the next two dated tests (Q2 FY27 results mid-November; PM-KUSUM 2.0 notification) are close.
What would change our view. Upgrade triggers: (1) Q2 FY27 operating cash flow turning clearly positive with debtor days at or below 125; (2) order book rebuilt above about Rs 1,200 cr on a like-for-like basis with Magel Tyala Phase 6 or 7 awards; (3) formal PM-KUSUM 2.0 notification with a stand-alone pump component; (4) founder remuneration and royalty held flat in absolute terms. Downgrade triggers: operating cycle above 150 days or PBILDT margin below 12% (CARE negative triggers), a second quarter of sub-17% standalone EBITDA margin with further realisation decline, or new governance events. Our stance is in Tab 13.

How it is delivered (process)
- 1. Tender and empanelment. Letter of Empanelment (LoE) from the nodal agency (MSEDCL, MEDA, MREDA, HREDA). Farmers select a vendor on the portal and pay their share; work orders come in tranches. State tenders discover a lowest-bid (L1) rate and all empanelled vendors are asked to match it, so vendors compete on execution, not price. Typical subsidy structure about 60% central plus state grant and 30 to 40% farmer share.
- 2. Survey and design (site, water table, HP sizing), in-house.
- 3. Procurement of modules, pump sets/motors, controllers, structures and cables from OEM/ODM partners to GK specification. The company says it keeps control of critical raw materials and quality checks; the quality team sits at OEM/ODM plants (CEO, Q4 FY26 call).
- 4. Warehousing and logistics. 12 warehouses (rented or licensed, all), 40+ owned vehicles, kitting close to villages.
- 5. Installation and commissioning. 709 third-party workmen (Mar 2025) grew to 1,200+ installation partners and a 1,300+/1,500+ workforce; only 90 direct employees at Mar 2025. Stated peak installation capacity 15,000 pump systems a month (CEO, May 2026). Coverage 7,500+ villages.
- 6. Handover and 5-year O&M / warranty with buffer stock and a contact centre.

Per-pump realisation observed in awards: Rs 235.92 cr for 10,000 pumps (probable GK award, see Tab 12) and Rs 353.89 cr for 15,000 pumps both work out to about Rs 2.36 lakh per pump (3/5/7.5 HP mix); Shakti's Rs 155.24 cr for 6,580 pumps gives the same rate, consistent with L1-matched pricing. The Rs 276.93 cr (incl. GST) for 10,000 pumps in the Dec 2025 award is about Rs 2.77 lakh. Official subsidy structure: 30% central plus 30% state and 40% farmer for non-NE/hill states, with central support capped at 7.5 HP and bank finance able to cover up to 30 points of the farmer share (about 10% upfront).

Fastest grower and pressure points
- Fastest grower: pump volumes (Q1 FY27 installs +122.8%) and rooftop (5% of revenue, 20% of order book).
- Under pressure: pump realisation. Derived revenue per pump: Q1 FY27 Rs 505.2 cr / 24,118 = about Rs 2.09 lakh; Q1 FY26 Rs 295.3 cr / ~10,830 = about Rs 2.73 lakh; roughly 23% lower [Est.]. Caveats: rooftop (~5%) and revenue-recognition timing distort this. CEO (Aug 2026): "realization has been low per pump... I feel the realization will remain the same". CEO (May 2026): "competitive... every 15 days one good company at my doorstep to sell his pump... it's a commodity now".
- Management stated focus: rooftop (Smart Scheme 1 kW target 1 lakh households), BESS, MP and five other states; deprioritise Ecozen-type EPC subcontract work.

*Q2 FY25 from IPO Central, basis unstated. Q4 FY26 consolidated revenue was Rs 476.8 cr (Business Standard / Screener) vs Rs 419 cr quoted by Arthneeti (standalone). Company-quoted Q4 FY26 EBITDA: Rs 85.96 cr standalone (20.54%, Q4 call) and Rs 86.49 cr consolidated (18.14%, Q1 FY27 deck); the Screener-basis figures in the table exclude other income. Q1 FY27 detail: PBT Rs 80.26 cr (+~59%); total income Rs 508.6 cr; EPS Rs 2.94 vs 2.19; tax rate ~26%. Q2 FY26 results reported 17 Nov 2025; one alternate report cited consolidated revenue +96.7% and PAT +118%, which we could not reconcile.
Margin trend and one-time items
- Revenue growth is mostly organic and volume-led (installs 61,085 in FY26; Q1 FY27 +122.8%). The inorganic piece is the subsidiary's DCR-cell trading (Rs 182.74 cr FY26), which carries ~2.8% EBITDA. Price/realisation is a drag (Q1 FY27 revenue per pump about 23% lower [Est.]).
- Margins: consolidated EBITDA margin was flat at ~18% in FY26 (company basis 18.64% to 18.56%; Screener basis 18.2% to 18.0%): operating leverage did not expand. Standalone rose to 20.44% on lower installation cost per rupee and procurement scale. Q1 FY27 standalone fell to 17.05%: COGS 72% of revenue vs 61% in Q1 FY26 (gross margin down ~11 points), partly offset by lower installation cost.
- Guidance drift: management said in Nov 2025 EBITDA margin would be "stable-to-better"; in May 2026 the "double digit" guidance was clarified by the CEO as a net (PAT) margin, with EBITDA "20% right now" and "10% to 15% variation" possible; July 2026 media (SAHI, not a quote) attributed "20% EBITDA margin FY27".
- PAT vs EBITDA: FY26 PAT growth (+53%) lagged revenue growth because interest nearly doubled (~22 to ~41) as working capital was debt-funded before IPO cash arrived. Q1 FY27 finance cost fell to Rs 4.6 cr (Rs 10.3 cr in Q4 FY26; CEO: "it shall stay in this range"), which is why Q1 PAT (+61.6%) outran EBITDA (+47.7%).
- Tax: unusually low in Q4 FY26 (20.6%), flattering PAT; Q3 FY26 was 29.5%.
- One-time items: IPO expenses of Rs 31.06 cr (company share) were charged to securities premium; the GST order (about Rs 7.4 cr ITC disallowance, Rs 5.24 cr contingent) is not separately shown in the P&L extracts. Q4 FY26 attributed the sequential dip to unseasonal rain, a war that began end-Feb disrupting supply, and raw-material availability in the last 2 to 3 weeks of March.

ICRA FY25: receivable days ~120, NWC/OI 31% (guided 30 to 35% for FY26). FY25 trade receivables Rs 360.85 cr = 32.96% of revenue. A governance-file extract instead stated "receivables about 92% of FY25 sales" and working-capital days rising "from 54.6 to 79.8"; these conflict with the 32.96% and 44-day figures here, probably use a different base, and are carried as unreconciled. CCC lengthened because suppliers are being paid faster (creditor days 78 to 42) while debtor days stay above 120. GST order item 2 (ITC reversal on creditors outstanding more than 180 days, Rs 1.65 cr) is hard to square with 'no overdue creditors'.

- Promoter evolution: the Dec 2024 DRHP showed Kabra ~95.5% and Shah ~3.8%. Pre-IPO combined ~93.3%. Post-issue promoter holding shown as 79.20% by Screener and the shareholding pattern (flat Sep 2025 to Sep 2026); one earlier file quoted 78.64% post-issue; we use 79.20% [Fact, shareholding pattern].
- Promoter monetisation (contested): the verified sale is the OFS of 42 lakh shares at Rs 153 (Rs 64.26 cr: Kabra 40 lakh, Shah 2 lakh). Two earlier files also describe a 'pre-IPO secondary' of 42 lakh shares at Rs 153 (about Rs 64.3 cr; buyers Kotak Iconic Fund, VQ FasterCap Fund, Pivotal Enterprises) and total Rs 128 cr. The identical size and value suggest the same transaction was counted twice [Est.]. Primary check [Fact]: the RHP cover lists only the OFS (up to 40 lakh Kabra and 2 lakh Shah shares) as promoter selling, and describes the Rs 999.99 mn pre-IPO placement as a primary issue that reduced the fresh issue. Arithmetic [Est.]: promoters 93.3% of ~17.65 cr shares less 0.42 cr sold, over 20.28 cr post-issue shares, gives ~79.1%, matching the reported 79.20% with one sale only. We carry Rs 64.26 cr as verified and Rs 128 cr as unsupported. Promoter average cost Rs 0.03 to 0.15 per share.
- Track record: solar water heaters to a Rs 1,500 cr+ revenue business in about 18 years. Pump-segment revenue grew from Rs 258 cr (FY23) to Rs 1,087 cr (FY25).
- Other interests: GK Energy Solar Pvt Ltd (subsidiary), GK Capital Ltd, Gopal Kabra Foundation (CSR vehicle), Energy Marketers (partnership firm), Beromt Pvt Ltd.

Supply Chain
Upstream: what GK Energy depends on
- Key inputs: PV modules and cells (largest direct cost line FY23 to FY25), DC pump sets and motors, controllers/VFD, steel structures, cables, junction boxes.
- Total purchases [Fact, RHP risk factor 9]: FY25 (consolidated) Rs 743.6 cr; FY24 Rs 318.9 cr; FY23 Rs 256.7 cr. Top-5 share 66.4% / 76.0% / 80.8%; Top-10 86.0% / 90.9% / 93.2% (FY25 / FY24 / FY23). Trend is diversification but still high.
- Import and country dependence: DCR (Domestic Content Requirement) cells/modules are mandated for subsidised PM-KUSUM supply, so China dependence is mostly indirect (wafers, equipment, controller electronics, motor components at OEMs). Company says the cell deal reduces reliance on imported components. ALMM List-II (cells) effective 1 Jun 2026.
- Pass-through: scheme rates are fixed by tender (L1), so module and cell price swings are not contractually passed through. ICRA: margin hinges on module/cell price stability; CARE trigger PBILDT below 12%.
- Pricing practice (CEO, Q4 call): freezes price for 3 to 6 months of supply, pays advances, and "occupy 30-50% of manufacturing capacity" of 2 to 3 suppliers per product.
- Supply security: as of 30 Aug 2025, 425 MW of DCR cells/modules secured from four manufacturers; Nov 2025 definitive agreement for 875 MW of DCR cells (450 MW Mono PERC + 425 MW TOPCon) for FY27 with 'one of the prominent suppliers' (name and value not disclosed), deliveries through 31 Mar 2027. Single counterparty for DCR cells = single-source risk. The cell trading is temporary: GK buys DCR cells, gives them to an ALMM module maker and receives modules back.
- Material creditors at 31 Mar 2025 [Fact, RHP p.351]: 3 creditors owed Rs 101.9 cr of Rs 117.3 cr total payables (87%); none overdue. Names are on the company website (not retrieved).

[Est.] Column interleaving in the PDF text makes the FY24 and FY23 pairing of a few mid-table names approximate; the FY25 table and the Top-5/Top-10 totals are exact. Notable: Oswal Pumps Ltd, now a listed competitor, was GK's biggest supplier in FY23 (50%) and FY24 (30%) and its largest customer in FY23 (Rs 11.4 cr, 3.99%). Ecozen is both GK's top customer and a FY25 supplier (round-tripping with a peer/partner).
Downstream: who depends on GK Energy
- End-customers: Indian farmers (bulk of units, via DBT portals), state nodal agencies and discoms (MSEDCL as contracting authority in Maharashtra; MEDA, MREDA, HREDA), local government bodies, rooftop customers (1 kW household, commercial), Jal Jeevan Mission schemes.
- Government-scheme dependence: ~99% of FY25 revenue directly or indirectly (ICRA).
- End products containing GK output: irrigation pump systems on farms; rooftop PV on homes and commercial buildings; JJM water schemes.
- Stickiness and tenors: empanelment-based, tender by tender, no long-term offtake contracts; work orders executed within 60 days; 5-year warranty and O&M tails; re-empanelment each tender round. Switching costs are low: a farmer can choose another empanelled vendor, so retention depends on delivery speed and service.
- Receivables: government-linked; debtor days 120 to 181 depending on period; subsidy disbursement timing is the key swing factor; payment 'within 60 days post installation and inspection' (CARE).
Customer concentration [Fact]

- Two stories on concentration: RHP counts customers (farmers via DBT: no farmer concentration; top single customer Ecozen 15.13%). ICRA counts state nodal agencies as customers: "top 5 customers ~99% of FY25 revenue; clients mainly state nodal agencies MREDA, MEDA, HREDA". Both are true; we present both.
- Ecozen work is lower-margin EPC subcontract work GK plans to deprioritise. MSEDCL alone held Rs 637.83 cr of GK orders by Dec 2025 (2026 cumulative per Angel One).

*Peers are on the Screener basis (operating profit before other income). GK's company-basis consolidated EBITDA is Rs 318.4 cr (18.6%); on the Screener basis it is Rs 309 cr (18.0%). Method: EV = market cap + borrowings - cash. For GK we used the consolidated net cash of Rs 237.8 cr, giving EV ~Rs 1,751 cr and ~5.1x on TTM EBITDA of Rs 345.5 cr (5.2x on Screener's Rs 334 cr). For peers Screener does not give cash on the fetched page, so EV is mcap + borrowings (an upper bound; true EV/EBITDA is lower). Waaree RTL uses Sep-26 borrowings of Rs 1,493 cr (a sharp jump from Rs 146 cr; not independently verified). 'OPM' for Q1 is Screener's operating margin.

Peer Q1 FY27 read-across
| Peer | Q1 FY27 | Read-across |
|---|---|---|
| GK | Revenue +55.5% (cons.; +71.1% standalone), EBITDA 16.4% vs 17.7% (cons.), PAT Rs 59.65 cr (+60%) | Fastest volume growth, margin down |
| Shakti | Revenue +37.9% to Rs 858.7 cr; installations +57.6% to 27,678; EBITDA margin 9.6% vs 23.1%; PAT -46.7% to Rs 51.6 cr; order book ~Rs 1,000 cr incl. GST (22 Jul 2026) | Margin collapse |

Market position and rank
- By FY26 revenue: Shakti (Rs 2,698 cr) > Oswal (2,064) > GK (1,715). By FY26 PAT: Oswal (376) > Shakti (258) > GK (204). By FY26 revenue growth: GK (56.7%) > Oswal (44%) > Shakti (7%). By Q1 FY27 pumps installed: Shakti 27,678 > GK 24,118 (+122.8%); Oswal not disclosed in sources.
- Plausibility flag on market size: FY25 revenue of the three listed players alone (Rs ~5,040 cr; Shakti has some non-solar revenue) exceeds the RHP's FY24 industry value of Rs ~3,900 cr, so the industry-size definition (probably ex-EPC/installation, or a different scope) cannot be reconciled with company revenues. Market shares are directional.

Strengths and weaknesses by peer [Analyst View]
| Versus | GK strengths | GK weaknesses |
|---|---|---|
| Shakti Pumps | Faster growth (56.7% vs 7.2%), higher FY26 EBITDA margin (18.0 to 18.6% vs 15.6%) and PAT margin (11.9% vs 9.6%), P/E 8.8x vs 23.4x, net cash vs Rs 505 cr debt, higher ROE (37% vs 18%), lower capex intensity, Maharashtra share leadership | 36% smaller revenue; no manufacturing (Shakti makes pumps, motors, controllers and is moving to cells/modules and inverters); no exports or C&I diversification; higher geographic concentration; lower procurement scale |
| Oswal Pumps | Faster FY26 growth (56.7% vs 44.3%), Q1 FY27 growth (+55% vs -8%), net cash | Structurally lower margins (18% vs 24.9% EBITDA; 11.9% vs 18.2% PAT); no manufacturing moat; fewer product lines; Oswal already contracting in Q1 FY27, a warning on where GK's pricing may go |
| Waaree RTL / Saatvik | Pure-play depth in pump installation and logistics (15,000 pumps/month, 7,500+ villages), low debt | Sub-scale vs 2 to 3x revenue; no module/cell manufacturing in a DCR/ALMM market; weaker order visibility (Rs 541 cr vs Rs 5,500+ cr); single-scheme revenue base |
Industry structure and size
| Item | Detail |
|---|---|
| India solar pump market (RHP / CRISIL) | Rs 19.3 bn (FY19) to ~Rs 39 bn (FY24), 15% historical CAGR; projected Rs 300 to 320 bn (Rs 30,000 to 32,000 cr) by FY29, a ~52% CAGR [Est. check: (310/39)^(1/5) = 1.52]. The forecast is aggressive vs history and contingent on PM-KUSUM 2.0. DSIJ's 'Rs 3 to 3.2 lakh cr' is a 10x unit error |
| Third-party estimates | IMARC / MarkNtel: ~USD 139 to 154 mn (2025/26), 6.9 to 7% CAGR, different scope; footnote only |
| Addressable base | ~30 million agricultural pumps (8 mn diesel, 22 mn grid-electric); government target cited 1.4 mn solar pumps |
| PM-KUSUM Phase 1 | Central outlay Rs 34,422 cr (Business Today). Component B 11.8 lakh pumps installed = 90% of sanctioned target (CSE); Component A 2,200 MW of 10,000 MW (22%); Component C no data |
| PM Surya Ghar (rooftop) | More than 63 lakh applications, ~32 lakh beneficiaries by May 2026, target 1 crore households by FY27. GK says national rooftop market ~70 lakh systems; Maharashtra 1 kW 'Smart Scheme' Rs 300 to 400 cr opportunity |
| Subsidy structure | 30% central + 30% state + 40% farmer (non-NE/hill states); central support cap 7.5 HP; bank finance up to 30 points of farmer share |
| Pricing under MSEDCL | Awards matched across vendors and then split: GK Rs 276.93 cr (10,000 pumps, ~Rs 2.77 lakh); Shakti Rs 155.24 cr (6,580 pumps) and Rs 235.92 cr (10,000 pumps, ~Rs 2.36 lakh); Oswal Rs 380 cr (13,738 pumps, ~Rs 2.77 lakh); HP mix differs |
Key trends
- Demand is entirely policy-led and tender-led: Component B, Magel Tyala phases (Phase 5 awaited at Q4 call; Phase 6 submitted and Phase 7 in pipeline at Q1 call), MP orders, rooftop schemes.
- Vertical integration is the response: Shakti 2.2 GW cell/module; Saatvik and Waaree upstream; GK 875 MW DCR cell procurement but no own plant.
- Peers diversify into inverters for PM Surya Ghar (Shakti, Oswal); GK into rooftop and BESS.
- Steel, copper and module inflation at elevated levels (Choice) against lower realisation on current books squeezes margin.
- PM-KUSUM 2.0 design (not final): ~Rs 50,000 to 51,000 cr central outlay, 10 GW dedicated agri-PV, BESS (Ministry of Power wants up to 4 hours; MNRE 2 hours), feeder-solarisation emphasis, FPO aggregation, Agriculture Infrastructure Fund linkage, stricter EPC compliance. Pump share unknown; a feeder tilt could reduce stand-alone pump allocation (our inference, not stated by any source).
Policy and regulatory items
| Item | Status | Impact on GK |
|---|---|---|
| PM-KUSUM 1.0 | PEDA: closed w.e.f. 31 Dec 2025. MNRE (Apr 2026) extended project completion to 31 Mar 2027 for projects with PPAs/sanctions on or before 31 Dec 2025 (applicability to Component B unclear) | Existing book can still be executed; no new central sanctions until 2.0 |
| PM-KUSUM 2.0 | Announced Mar 2026; no formal notification found by 21 Oct 2026. CEO: 'work should start by end of Q3'; 'announcement may come by September'. Choice expected notification by end H1 FY27 (Sep-end 2026). Minister's Assembly reply said money distributed to ministries; CEO dismissed it as unrelated | Binary driver for FY27 to FY28 order inflow |
| DCR / ALMM List-II | DCR not relaxed for PM-KUSUM; ALMM List-II (cells) effective 1 Jun 2026 | Cost and availability risk; integrated rivals advantaged |
| ALMM exemptions | July 2026 MNRE order exempting net-metering/open-access projects to 31 Dec 2026 (single source, unverified) | Not relevant to Component B |
| GST rate on solar pumps/modules | Not Available: not found | Open item |
| MSEDCL payment behaviour | Payment lag is the main working-capital driver | See risks |
| PLI (high-efficiency modules) | Benefits integrated manufacturers, not asset-light EPC [Est.] | GK is a user of DCR supply, not a PLI beneficiary |
| PM Surya Ghar / Smart Scheme | Running | Diversification; low margin, retail-fragmented |
Barriers to entry, Porter's Five Forces and moat
| Force | Rating | Reasoning |
|---|---|---|
| Rivalry | High | Few listed players plus many empanelled regional vendors; matched-L1 pricing; margin compression visible in Q1 FY27 |
| Buyer power | Very high | Single dominant buyer per state, government price discovery, 90 to 125 day payment cycle |
| Supplier power | Moderate-high | OEM/ODM partners, DCR scarcity, steel/copper inflation, key suppliers undisclosed |
| New entrants | Moderate | Easy for pump makers and EPC firms; capital and empanelment limit the very small |
| Substitutes | Low-moderate | Grid-connected pump solarisation (Component C / feeder solarisation), diesel and grid alternatives; feeder-level policy tilt is a partial substitute |
- Barriers to entry are low to moderate. Capital intensity is low (fixed assets Rs 14 cr FY25; Rs 110 cr FY26 after the head office). Real barriers: MSEDCL/MNRE empanelment and track record (execution within 60 days), working-capital and bank-guarantee capacity (BBB+ is adequate, not strong), installation/logistics/after-sales network, OEM relationships and DCR cell access. Barriers are low for domestic pump manufacturers to enter tenders.
- Moat: narrow. Edge is execution scale, state empanelment and logistics, not IP, brand or cost. ROE 37% and ROCE 41% are high but falling from 3-year ROE 50.7% and ICRA-reported FY25 ROCE of 76%.
- Pricing power: none; GK is a price-taker in L1-matched tenders. Integrated peers (Shakti, Oswal) have a cost-structure advantage (own pumps, soon cells). Durability low to medium, dependent on keeping empanelment slots and Maharashtra share while diversifying [Analyst View].

Concall Highlights & Guidance
Q2 FY26 call, 20 Nov 2025 (hosted by IIFL; Kabra, Shah, Malu). First call after listing
- Order book: ~Rs 864 cr (Rs 846.15 cr / 36,444 pumps + Rs 17.83 cr / 4.04 MW rooftop) at 30 Sep 2025; to be installed by ~15 Feb 2026; 5 to 6 months of cover (vs 4 to 5 months norm). ~34,000 pumps split ~50:50 PM-KUSUM and Magel Tyala. 'No significant new orders since September'; new tenders under technical evaluation.
- Pipeline: bid for ~1 lakh pumps under Magel Tyala submitted 13 Nov 2025.
- Guidance: ~50,000 pump installs in H2 FY26; FY26 70,000 to 75,000 pumps; EBITDA margin stable-to-better; capacity ~10,000 pumps/month, EPC capacity +25 to 30% by April 2026; 'no slowdown' FY26/FY27; drivers MP, Rajasthan, UP; rooftop a secondary engine.
- Capex/strategy: 1 GW module plant at MIDC Tembhurni 'operational by September 2026 or before'; 875 MW DCR cell agreement for FY27 (confirmed by 1 Nov 2025 exchange news).
- Debt: working-capital debt ~9% cost; net debt would rise in FY26 (opposite occurred). Receivable delay is 'short-term... Q3 well under control' (debtor days 135 to 192, Sep-24 to Sep-25).
- Receivables funding [Fact]: the CEO cited the AIIB's USD 1.1 bn financing facility for MSEDCL's solar agri-pump programme (approved 25 Sep 2025) as a source of payment; at 20 Nov 2025 the money had not yet reached GK. Debtor days were 182 to 197 at 30 Sep 2025 (call and deck). Inventory days rose to 55 in H1 FY26.
- Magel Tyala runway (CEO): programme of about 8.5 lakh pumps of which only about 2 lakh allocated at the time; GK historical share 15 to 18% (CRISIL). Outside Maharashtra 10 to 15% of pump revenue.
- Tone: confident, promotional; candidly flagged the order-book gap.
Q3 FY26: no call; presentation 16 Feb 2026
- Order book Rs 803.24 cr at 31 Dec 2025: pumps Rs 787.58 cr / 33,067 pumps; rooftop Rs 15.66 cr / 3.55 MW. EBITDA margin 20.54%; 'expects to maintain or improve margin for rest of year'. Entered retail rooftop EPC (3 Feb 2026). Presentation mentioned a partnership with a cell maker, not an owned plant.
- Absence of a call after a strong quarter and a ~38% fall from the peak (240 to ~150) is itself a communication gap.
Q4 FY26 / FY26 call, 13 May 2026 (Kabra, Malu)
- Why Q4 dipped sequentially (Kabra): unseasonal rainfall prevented installations; a war that began end-Feb disrupted; raw-material availability 'suddenly affected' in the last 2 to 3 weeks of March. Externalised explanation, a recurring-excuse risk.
- Order book Rs 710 cr at 31 Mar 2026 incl. a recent Rs ~350 cr order (the Rs 353.89 cr, 15,000-pump Magel Tyala empanelment dated 6 May suggests the figure is 'as of call date'). Pending: Magel Tyala Phase 5 ('under evaluation'), Rs 300 to 400 cr Smart Scheme 1 kW rooftop. Target: order book ~Rs 1,400 cr before end of Q1 FY27.
- FY27 guidance: revenue ~Rs 3,000 cr (pumps Rs 2,200 to 2,400 cr on 120,000 to 140,000 units; rooftop Rs 600 to 1,000 cr); PAT growth similar to or better than FY26's 51% (per summary); 'double-digit' margin, which the CEO confirmed in Q&A is a net (PAT) margin; EBITDA 'right now 20%' with 10 to 15% variation possible; PM-KUSUM 2.0 'definitely delayed', expected to scale from Q3 FY27 (Kabra cited a '700-odd crore' figure for current scheme flow). Q4 historically 35 to 40% of annual business. Worst case, with the CEO's nod to an analyst: Rs 2,500 cr revenue and Rs 250 cr PAT 'you can definitely arrive with the discussion'.
- Capex: asset-light, no large manufacturing capex; head office bought as collateral for bank lines; BESS flagged as a >5-year option (reversed within four months by the Sep BESS award). Net cash Rs 240 cr; funding from cash, IPO money, CC/BG limits. 'We have dropped the solar module manufacturing. I don't want to become a, you know, follow the herd.'
- Market share: 8 to 9% national, 15%+ Maharashtra. Peak installation capacity 15,000 systems/month.
- Investor complaint: Tanmay Jhaveri (Finterest): management 'unavailable' to investors.
- Tone: confident on FY27, defensive on Q4.
Q1 FY27 call, 7 Aug 2026 (Kabra, Malu; hosted by Churchgate Advisory)
- Revenue Rs 505 cr, record quarter. Softer margin was 'anticipated'; PAT margin to stay in double digits (11.8% now); interest cost to stay in current range.
- Order book Rs 541 cr: the 30 Jun 2026 book plus orders received after June (deck and CEO; the CEO told an analyst the figure is "as on today", in the first week of August). Recurring analyst concern: order-book adequacy. Mgmt 'on track to double revenue', heavy H2/Q4 skew; 'confident of more orders in coming months'; Magel Tyala Phase 6 bid submitted, Phase 7 in pipeline.
- PM-KUSUM 2.0: work expected to start Q3; analysts pushed on delay. CEO: 'if in case [KUSUM 2.0 is delayed]... yes, there would be slight impact, but in that position, we will accelerate our rooftop business'. 'End of Q3 work should start'; 'announcement may come by September'.
- Mix: 'I have a 20% order book from the rooftop and 80% from the pump.' Rooftop ~5% of revenue; better ROCE and faster cash than government-linked receivables.
- Realisation per pump fell as volumes jumped: 'realization has been low per pump... I feel the realization will remain the same'. Diversification positioned as the earnings-quality lever. Backward integration 'I'm not very clear'; BESS/hybrid may need capital.
- Working capital (per summary): FY26 debtor days 140, NWC days 112, inventory 21, creditor 49; CFO +Rs 52.9 cr (FY25 -Rs 98.6 cr).
- Long term: 1 million systems, US$1 bn business by 2030.
- Tone: cautious-confident; margin guidance softened from 'stable/improve' to 'double-digit PAT margin'.
Guidance vs outcome (credibility check)
| Date | Guidance / statement | Outcome | Verdict |
|---|---|---|---|
| Nov 2025 | H2 FY26 ~50,000 pumps; FY26 70,000 to 75,000 | FY26 delivered 61,085 (Q3 ~19k, Q4 ~17k); 15 to 20% miss. Reasons given: rain, raw-material supply in the last weeks of March, end-Feb 'war' | MISS |
| Nov 2025 | EBITDA margin stable/improve | Q3 20.54%, Q4 20.54%, FY26 20.44% (vs 18.64%), standalone | MET |
| Nov 2025 | Receivable delay short-term; Q3 well under control (135 to 192 days Sep-24 to Sep-25) | Mar-26 debtor days 140 (consolidated 125); receivables Rs 586 cr; collections strong in H2 | PARTIAL |
| Nov 2025 | Magel Tyala ~1 lakh pump bid; order release soon | Dec 2025: 13,239 pumps (Rs 366.6 cr) + 10,000 pumps (Rs 276.9 cr) = ~23k pumps; Phase 5 still 'under evaluation' in May 2026 | PARTIAL |
| Nov 2025 | 1 GW module plant 'operational by September 2026 or before' | Dropped by May 2026; not in Q3 deck | DROPPED |
| Nov 2025 | 5 to 6 months of order cover | Book fell to Rs 541 cr by June | Shrank |
| Nov 2025 | Net debt would rise in FY26 | Opposite: net cash Rs 240 cr at March | Better |
| May 2026 | Order book ~Rs 1,400 cr by end Q1 FY27 | Rs 541 cr as of 7 Aug (30 Jun book plus orders received to then, so the 3 Jul Rs 48.0 cr and 6 Jul Rs 235.9 cr awards are already inside it). Adding the 26 Aug Rs 454.5 cr rooftop empanelment gives ~Rs 995 cr by end-Aug [Est.], ~29% short of Rs 1,400 cr | SLIPPED |
| May 2026 | Rs 300 to 400 cr Smart Scheme rooftop | Rs 454.5 cr / 100 MW empanelment (Aug) | MET (late, above range) |
| May 2026 | FY27 revenue ~Rs 3,000 cr; Q4 = 35 to 40%; 140 to 150 working-capital days | Q1 Rs 505 cr (17%); needs ~Rs 830 cr a quarter in Q2 to Q4 (1.6x Q1) | OPEN, high risk |
| May 2026 | 'Double digit' margin, clarified by the CEO as a net (PAT) margin; EBITDA 'right now 20%' with 10 to 15% variation possible; PAT growth at least 51% (per summary) | Q1 PAT margin 11.8% and PAT +61.6%; EBITDA margin 17.05% | On track |
| Aug 2026 | PM-KUSUM 2.0 'by Q3'; 'announcement may come by September' | No announcement found by 21 Oct | LATE |
| Aug 2026 | Realisation 'will remain the same' | Margin down to 17.05% in Q1 FY27 | Contradicted |
| Jul 2026 (SAHI) | 20% EBITDA margin FY27 (non-quoted media attribution) | Not a contradiction: the CEO himself said EBITDA was about 20% in May; Q1 FY27 was 17.05% | Unverified |
Overall: margin guidance reliable; volume, order-flow and capex-timing guidance repeatedly optimistic. Explanations tend to externalise (policy delay, weather, war).
Management tone over time
| Period | Tone | Marker |
|---|---|---|
| Nov 2025 | Confident, ambitious | Cells, 70 to 75k pumps |
| Feb 2026 | Silent | No call |
| May 2026 | Mixed | Confident on 2x revenue, defensive on Q4 (rain, war, raw material) and PM-KUSUM 2.0 delay |
| Aug 2026 | Measured | 'Anticipated' margin softness; accepts order-book scrutiny; leans on rooftop and BESS |
Hidden-risk Q&A signals and contradictions
- Order-book adequacy (raised Q2, Q4, Q1 FY27): Rs 864 to 803 to 710 to 541 cr across 30 Sep, 31 Dec, 31 Mar (plus orders to mid-May) and 30 Jun (plus orders to 7 Aug), while the FY27 target doubled. The Rs 541 cr book is ~18% of Rs 3,000 cr.
- KUSUM 2.0 timing and dependence on MSEDCL for the bulk of orders.
- Pricing: competitive bidding, lower realisation; EBITDA margin 20.5% to 17.05% in one quarter (-350 bp) and ~270 bp YoY.
- Receivables: 125 to 140 debtor days; negative FCF despite profits. Borrowing-limit hike to Rs 1,500 cr proposed at the 31 Aug 2026 AGM despite net cash.
- Q4 seasonality / weather / supply-chain shocks.
- Contradictions: 'no capex / asset-light' (May and Aug 2026) vs '1 GW plant by Sep 2026' (Nov 2025); BESS '>5 years' (May) vs 150 MW BESS award (Sep); 'double-digit' net margin (May) vs '20% EBITDA by FY27' (July media, unverified; consistent with the CEO's 'EBITDA about 20% right now').
- Investor outreach during the fall: GIA conference 24 Jun; Churchgate non-deal roadshow Mumbai 26 Aug; Avendus Spark 3 Sep; Arihant Rising Stars / Bharat Connect 30 Sep.
Growth, Outlook & Valuation
Order book (Rs cr)
| Date | Total | Pumps | Rooftop |
|---|---|---|---|
| 31 Mar 2025 | 714.28 | 714 | n/d |
| 15 Aug 2025 | 1,028.96 | 1,008.88 | 20.08 |
| 30 Sep 2025 | 863.98 | 846.15 (36,444 pumps) | 17.83 (4.04 MW) |
| 31 Dec 2025 | 803.24 | 787.58 (33,067 pumps) | 15.66 (3.55 MW) |
| 31 Mar 2026 | 710 (incl. ~Rs 350 cr recent order) | n/d (mostly Magel Tyala per the call) | n/d (some MP rooftop) |
| 30 Jun 2026 plus orders received to 7 Aug 2026 (deck: "order book as at 30 June 2026 and including orders received post June") | 541 | ~80% | ~20% (~Rs 108 cr) |
The Rs 710 cr and Rs 541 cr figures both include post-period orders (to mid-May and 7 Aug respectively). The stand-alone 30 Jun 2026 book is not disclosed; if the 3 Jul Rs 48.02 cr and 6 Jul Rs 235.92 cr awards are inside the Rs 541 cr, as the wording implies, it would have been about Rs 257 cr [Est.].
Order wins since Dec 2025 (client mostly MSEDCL, Maharashtra)
| Date | Order | Value | Detail |
|---|---|---|---|
| 11 Dec 2025 | MSEDCL Magel Tyala letter of award | Rs 366.63 cr | 13,239 pumps |
| 24 Dec 2025 (one file dates the same item Apr 2026) | MSEDCL PM-KUSUM B LoE amendment, 10,000 off-grid pumps | Rs 276.93 cr (incl. GST); one press item (Business Standard, 24 Dec) reported the amendment as Rs 254 cr | Takes MSEDCL book to Rs 637.83 cr; stock +5%. The Dec 2025 and 'Apr 2026' entries in two research files carry identical value and units and are treated as likely the same award, not counted twice. ScanX also cited two 'infrastructure' contracts of Rs 530 cr combined (unclear, verify) |
| 6 May 2026 | MSEDCL empanelment | Rs 353.89 cr incl. GST | 15,000 pumps |
| 3 Jul 2026 | 10 MW rooftop | Rs 48.02 cr | 1,150 sites, 90 days (domestic discom). Already inside the Rs 541 cr book |
| 6 to 8 Jul 2026 | MSEDCL 10,000 off-grid DC pumps (Magel Tyala), LoE 6 Jul | Rs 235.92 cr | 3/5/7.5 HP, execute within 60 days. Probable, not confirmed [Est.]: Shakti was reported to have an identical Rs 235.92 cr / 10,000-pump award. Evidence it is also GK's: management's ">Rs 1,092 cr since 1 Apr 2026" equals 353.89 + 48.02 + 235.92 + 454.50 = 1,092.33; and L1-matched pricing gives the same Rs 2.36 lakh per pump for Shakti (155.24/6,580), GK (353.89/15,000) and this award. Not seen in an exchange filing. Already included in the Rs 541 cr order book |
| 26 to 31 Aug 2026 | Rooftop empanelment, 100 MW / 1 lakh households (1 kW) | Rs 454.50 cr incl. GST (Rs 45,450/kW) | 60 days, 5-year O&M; state discom not named; stock +9% on 26 Aug |
| 21 to 22 Sep 2026 | MSEDCL BESS letter of award | Rs 42.84 cr a year for 15 years | 150 MW / 300 MWh, VGF e-reverse auction (tender 2,000 MW / 4,000 MWh); tariff Rs 2.38 lakh/MW/month; commissioning within 18 months of BESPA; stock +5% to +6% on the day (sources differ), Yahoo close about Rs 126.6 and ~Rs 126.95 per another source. One research file estimated the project cost at Rs 500+ cr; the company has disclosed no capex |
| 2 Jul 2026 (SAHI) | 5 MW Gujarat industrial rooftop win; mention of a regional BESS partner | n/d | Not detailed in any filing we read |
| Cumulative since 1 Apr 2026 | Management claim | More than Rs 1,092 cr incl. GST | Allocations / empanelments. Reconciles to 353.89 (6 May) + 48.02 + 235.92 + 454.50 = 1,092.33 [Est.]; the Dec 2025 awards (366.63, 276.93) are not in it, which also supports the Dec 2025 dating of the Rs 276.93 cr award |
Book-to-bill is not derivable: both the Rs 710 cr and the Rs 541 cr figures include post-period orders, so a quarterly bookings figure cannot be computed from them. Orders after 7 Aug add only the 26 Aug Rs 454.5 cr rooftop empanelment (the BESS award pays Rs 42.84 cr a year over 15 years and is not comparable). Visibility: ~100% government/discom-driven; orders are letters of empanelment/award with 60 to 90 day execution windows (short-cycle, so the book is by nature thin and replenished late). Repeat vs new: essentially repeat (MSEDCL Magel Tyala phases 1 to 7; PM-KUSUM).
FY27 guidance math [Est.]
| Item | Rs cr |
|---|---|
| FY27 revenue guidance | ~3,000 (pumps 2,200 to 2,400 on 1.2 to 1.4 lakh units; rooftop 600 to 1,000) |

| Q1 FY27 delivered | 505 (17%) |
| Remaining for Q2 to Q4 | 2,495 (~830 a quarter, 1.6x Q1) |
| Order book at 7 Aug 2026 (30 Jun book plus orders received to then) | 541 (22% of the remaining need) |
| Unbooked at 7 Aug | ~1,954 |
| Unbooked after the 26 Aug Rs 454.5 cr rooftop empanelment (the only later order of size) | ~1,500 |
| H2 revenue needed | ~Rs 1,500+ cr vs H1 ~Rs 910 cr (Q1 505 + Q2 estimate) |
| Analyst-framed worst case, accepted by the CEO | Revenue 2,500 / PAT 250 |

| Dimension | Rating | Evidence |
|---|---|---|
| Business quality | Medium | Fast volume growth, ISO 9001, 164,500 systems, 726 MW, 7,500 villages, ROCE 41%; but 99% scheme revenue, 93% Maharashtra, no moat beyond execution, no manufacturing, module plant dropped |
| Management quality | Medium | Margin guidance met; net-cash outcome better than guided; no pledge, no promoter selling; but volume and capex guidance missed, founder pay Rs 20.99 cr plus royalty plus Rs 91.2 cr loan, small auditor, GST order, KMP churn, no Q3 call |
| Financial quality | Weak | CFO Rs 52.9 cr vs PAT Rs 201.3 cr (26%); FCF negative every year; IPO money spent; cash partly lien-marked; BBB+ ratings |
| Valuation | Attractive | 8.8x TTM P/E, ~2.2x book, ~5.1x EV/EBITDA, 0.5% yield; cheap on reported earnings |
| Overall | Neutral | Cheap price against unproven cash conversion and a shrinking order book |
Bull case (3 reasons)
- Cheap on audited earnings. 8.8x TTM P/E and ~5.1x EV/EBITDA for a business that grew PAT 53% in FY26 and 60% in Q1 FY27, with 37% ROE; even the worst case the CEO accepted (Rs 2,500 cr revenue, Rs 250 cr PAT) implies ~8x. FY26 numbers carry an unmodified audit opinion.
- Near-term order catalysts are real. The 26 Aug Rs 454.5 cr rooftop empanelment and the BESS award came after the Rs 541 cr book was struck; Rs 1,092 cr of allocations since 1 Apr 2026 (management, reconciles to four named awards); 15,000 pumps a month of installation capacity; Magel Tyala Phases 6 and 7 pending.
- Sector sold off together. On 21 Oct Shakti fell 3.3%, Oswal 4.9%, Waaree RTL 9.5% and Saatvik 3.9%; there is no company-specific negative filing, no promoter selling, no pledge. If PM-KUSUM 2.0 arrives with stand-alone pumps, the sector re-rates.
Bear case (3 reasons)
- Earnings may not be cash. Five-year cumulative operating cash flow negative; FY26 CFO 26% of PAT; Rs 586 cr receivables; net cash is a year-end, partly lien-marked snapshot after the IPO money was spent. A 9x multiple on non-converting earnings is not cheap.
- Visibility is deteriorating while guidance doubles. Order book Rs 1,029 cr to Rs 541 cr; ~Rs 1,954 cr of FY27 guidance unbooked at 7 Aug (~Rs 1,500 cr after the 26 Aug empanelment); realisation down ~23% per pump; standalone EBITDA margin 20.5% to 17.05%; peers' margins collapsing (Shakti 9.6%).
- Concentration plus governance leakage. 99% scheme revenue, 93% one state, 2.0 not notified; no cost advantage after dropping the module plant; founder pay and royalty rising faster than profit, small auditor, GST search, KMP churn.
Base case (12 to 18 months) [Analyst View]
Five things to remember
- Reconciled FY26 numbers: consolidated revenue Rs 1,715 cr vs standalone Rs 1,533 cr (DCR trading subsidiary, 2.8% EBITDA); EBITDA margin 18.6% consolidated vs 20.44% company-stated standalone.
- Operating cash flow Rs 52.9 cr vs PAT Rs 201.3 cr; the Rs 240 cr net cash is IPO-derived and partly encumbered.
- Order book Rs 1,029 cr to Rs 541 cr (7 Aug, including post-June orders); ~99% government-scheme revenue; 93% Maharashtra.
- Module plant dropped; the 875 MW cell contract is the only supply hedge.
- Price Rs 98 is verified only on the Yahoo NSE series; the cause of the October fall is unexplained.
Five questions an investor must ask
- What is Q2 FY27 operating cash flow, debtor days and order book, and has the March receivable collection reversed?
- Has PM-KUSUM 2.0 been notified, and what share goes to stand-alone pumps rather than feeder solarisation, agri-PV and BESS?
- How is Rs 3,000 cr achieved when only Rs 541 cr was booked at 7 Aug, and can the company confirm in a filing the Rs 235.92 cr 10,000-pump award?
- Why were founder pay (Rs 20.99 cr), the 0.1% royalty and a Rs 91.2 cr promoter loan with interest needed, and will pay and royalty be capped?
- What explains the creditors outstanding more than 180 days behind the GST order, and who are the three material creditors?
Opinion [Analyst View]. GK Energy is a real, fast-growing, audited business priced at 8.8x earnings, but the earnings are not yet converting to cash, the order book is falling against a doubling guide, almost all revenue is one government scheme, the module plant was dropped, and the founder's pay and royalty are growing faster than the profit. The price is cheap enough to follow and not yet proven enough to own. We want Q2 FY27 cash conversion and a notified PM-KUSUM 2.0 before committing, and the cause of the October fall remains unexplained.
