Bhartiya International makes leather jackets, coats and outerwear, leather bags, belts and wallets, and finished leather in its own Chennai tannery, and sells them as private-label product to global fashion brands such as Ralph Lauren, AllSaints, Levi Strauss and Coach. It also designs textile outerwear in Milan and has it made by contract factories in India, China and Bangladesh. About 95% of revenue is exported, mainly to the US, UK and continental Europe. FY26 consolidated revenue was Rs 1,358.0 cr (+31.9%), but the business carries about a year of raw leather in stock, so it is working-capital heavy (Rs 532 cr of borrowings against Rs 487 cr of equity). Separately, it owns 36.77% of Bhartiya Urban Pvt Ltd, the unlisted developer of Bhartiya City in Bengaluru, whose equity-method results swing consolidated profit.

Analyst Notes

[Analyst View] Aamara Capital, 23 Oct 2026

What happened. A 39-year-old leather exporter that spent a decade going nowhere has put together two years of genuine growth. Consolidated revenue went Rs 777.5 cr (FY24), Rs 1,029.3 cr (FY25), Rs 1,358.0 cr (FY26) and Rs 372.8 cr in Q1 FY27 (+33.2%), while India's leather exports fell 1.6% in dollars in FY26 and 3.7% in Q1 FY27. Crisil had expected the sector to shrink 10-12% in FY26 because of the 50% US tariff; BIL grew 32%. The fashion business proper, PBT before the real-estate associate, went Rs 18.4 cr, Rs 23.7 cr, Rs 46.1 cr, and Q1 FY27 alone produced Rs 21.8 cr. The stock has followed: Rs 430 at the promoter warrant in May 2024, Rs 656.75 at FY26 year-end, an all-time high of Rs 1,185 on 9 Oct 2026, Rs 956 today.

What the headline numbers hide. Reported consolidated PAT is the wrong number to anchor on. It is distorted by the 36.77% stake in Bhartiya Urban Pvt Ltd, which has swung from -Rs 31.7 cr (FY22) to +Rs 48.2 cr (FY23) to -Rs 17.0 cr (FY26), and by a Rs 13.13 cr a year brand amortisation at Ultima SA that ended in March 2026. The Q4 FY26 "loss" of Rs 8.78 cr was an associate loss of Rs 11.16 cr on top of a fashion business that made Rs 5.0 cr before tax with an operating margin of 7.78%, flat on Q4 FY25. The Rs 2.39 cr profit some portals printed was the company deck's pre-associate figure, not an invented number. Strip both distortions and the core earned roughly Rs 30 cr after tax in FY26 and should earn materially more in FY27 even without growth, because about Rs 13 cr of amortisation drops out.

What the market is pricing. At 49.6x trailing EPS of Rs 19.28 and 2.63x book (against a three-year average of 1.38x), the market is paying for the growth and the end of the noise, not for what the accounts show. On my FY27 scenarios (Tab 12) the stock is about 19-24x core EPS if the associate breaks even, rising to about 26-35x if the associate repeats its FY26 loss. That is not absurd for a 30% grower, which is why this is not a DECLINE.

What tempers it: cash. This business does not turn profit into cash. FY26 consolidated operating cash flow was Rs 19.28 cr on EBITDA of Rs 120.2 cr (16%), per the annual report. The 29 May results filing had shown Rs 40.06 cr; the Rs 20.8 cr gap sits in an "other non-current financial assets" line that has no balance-sheet counterpart, so I use the AR. Standalone OCF, which is where 99% of the debt sits, was -Rs 13.68 cr on PAT of Rs 33.71 cr, and standalone debt-service coverage was 0.93x. Over twelve years consolidated FCF was -Rs 84 cr while borrowings went from Rs 204 cr to Rs 542 cr. Receivables rose 45.3% (Rs 187.86 cr to Rs 272.88 cr) against revenue growth of 32%. Inventory is Rs 688 cr, 51% of total assets. Growth is being financed by banks, suppliers and the promoter's warrant money.

What tempers it: the group. The listed exporter sits inside a larger, leveraged family real-estate group, and FY26 dealings with it grew. BIL borrowed Rs 56 cr from the associate and repaid it (the peak is Rs 30 cr per the AR but Rs 36 cr per the half-yearly Reg 23 filing, an unresolved conflict between two primary documents). It agreed to sell its Gottigere (Bengaluru) plant property to "a Related Party" for Rs 31 cr; the only matching cash is a Rs 1 cr advance from promoter-group Urbanac Projects, the same entity that got 12.01 lakh warrants at Rs 430. No valuation, book value or date is disclosed, no Reg 30 announcement was made, and AOC-2 says "not applicable". Institutions cast zero votes at the 39th AGM. The independent member of the Management Committee, which can invest in group companies, attended 1 of 14 meetings. None of this is a rule breach. All of it is a reason for a discount.

Positives that are easy to miss. Credit is improving, not deteriorating: Ind-Ra-like net leverage including acceptances fell from 5.63x (FY24) to 4.59x (FY25) to about 3.7-3.9x in FY26 on my calibration, below the 4.0x upgrade trigger. Fund-based utilisation eased to 83.2% over six months to Jan 2026. Ultima SA's loss is entirely brand write-down; before depreciation it made CHF 1.01 mn. The CFO's claim at the 2024 AGM that subsidiary losses were non-cash is largely borne out for Ultima. Insiders, led by the CFO, bought about Rs 2.1 cr of stock between Jun and Oct 2026 at Rs 693-1,065. Tariffs moved from a 50% threat to India at 10% under Section 301, 2.5 points better than China and Vietnam; the UK CETA is live and the EU FTA is close.

Where I land. TRACK. The growth is real and the forward multiple is defensible, but I cannot commit capital to a working-capital machine with negative standalone cash flow, a 61%-promoter register with no minority voice, Rs 0.5-2.5 cr of daily liquidity and an undisclosed related-party plant sale. The dated triggers in Tab 13 (Q2 FY27 cash flow by 14 Nov 2026, Gottigere valuation, the Rs 30 cr vs Rs 36 cr loan clarification, the Ind-Ra review) would move it to ENGAGE or DECLINE.

Product-mix gap

BIL has not disclosed the leather garments / accessories / textiles split for FY24-FY26 in any filing, deck or rating text. The only quantified split is FY17. [Analyst View] Signals point to faster growth in accessories, textile outerwear and traded goods than in own-factory leather outerwear: Tada's HTS 4202 bag shipments, the AGM push on "textile outerwear and leather bags", traded goods +44.7% vs manufactured goods +33.0% in FY26, and Ind-Ra's FY25 note on "sampling and R&D expenses for new customer onboarding".

How they make it

  1. Hide and skin sourcing: raw and wet-blue cow, sheep and goat skins from New Zealand, UK, Spain, France, Italy, the Middle East and Latin America (Tab 8).
  2. Tanning and finishing at J&J Leather, Chennai: LWG scope raw hide to finished leather (beamhouse, chrome or chrome-free tanning, retanning, dyeing, fatliquoring, finishing). The AR describes J&J as "converting wet blue leather into finished leather".
  3. Design and sampling: Milan studio and India design teams; management says it uses AI tools for design development and presentation (2024 and 2025 AGMs).
  4. Cutting, sewing and finishing: garments at Bengaluru/Chennai, bags, belts and wallets at Tada and Chennai. Labour-intensive cut-make-trim. Capital goods imported under EPCG.
  5. Logistics: sea via Chennai and Nhava Sheva, plus air. Red Sea disruption called "manageable" (2024 AGM).

Textile model: design in Milan/India, BIL procures fabric and trims, contract manufacturing in India/China/Bangladesh, BIL runs QC and sells, partly through Ultima SA and Design Industry. Technology: not energy-intensive; technology transfer through the Italian office; no patents found. IP is design libraries and finishing recipes [Analyst View].

Ultima SA's loss is entirely brand amortisation, and that charge has ended [Est.]. Schedule III contribution to consolidated profit (Note 50, Rs lakh): parent 3,348.49; Ultima SA (1,072.11); Design Industry 334.01; DI China 158.57; WFT 76.81; Ultima Italia 34.86; J&J 32.01; eliminations +108.92; group before associates 3,028.41; associates (1,703.52). The consolidated Brand/Patent intangible (gross Rs 66.11 cr) was amortised Rs 13.13 cr in each of FY25 and FY26 and is nil at 31 Mar 2026, so FY27 consolidated D&A should be about Rs 13 cr lower [Est.]. Ultima's local CHF 1.84 mn write-down (about Rs 20 cr) differs from the consolidated Rs 13.13 cr because carrying values differ; do not add the two.

Q1 FY25 to Q3 FY25 EBITDA is derived from MarketsMojo's prior-year operating margins (8.5% / 11.1% / 7.3%, the same series used in Tab 11) [Est.]; Screener's 12 / 28 / 17 nets the associate into operating profit and does not tie to the FY25 annual (12 + 28 + 17 + 18.8 = 75.8 vs 90.4, while 19.5 + 32.8 + 19.2 + 18.8 = 90.3 ties). Q1 FY25 to Q3 FY25 finance cost is Screener-based; Q4 FY25 onward are from filings. FY26 quarterly EBITDA (27.11 / 40.10 / 28.68 / 24.32) sums to Rs 120.2 cr and ties to the annual. Ind-Ra's 9MFY26 EBITDA of Rs 97.7 cr implies Q4 at Rs 22.5 cr on its different basis.

The company deck's "Fashion Business" P&L shows Q4 FY26 total income 313.26, EBITDA 24.87 (incl. OI), PBT 5.00, tax 2.61 and "Profit After Tax" 2.39 cr (+1,100% on 0.20), all before the associate; it then deducts "Minority Interest ^ (Profit/(Loss) from associate co.)" of -11.15 to reach -8.76. Whalesbook/ScanX quoted the pre-associate 2.39 as consolidated PAT. Kotak's "+6.61 EPS" matches the filed diluted -6.61, most likely a dropped sign [Est.]. MarketsMojo's "pre-tax loss of Rs 6.16 cr" is after associates. Tax of Rs 2.62 cr on pre-associate PBT of Rs 5.00 cr; the associate loss carries no shield. Q4 operating margin (7.78%) was flat on Q4 FY25 (7.80%), so the loss was not a tariff give-back.

Ruling

Both statements carry the same 29 May 2026 sign-off date and the same CFF. The AR is the statutory Reg 34 set and is the one consistent with the balance sheet, so this report uses OCF Rs 19.28 cr (16% of EBITDA). Filing-based aggregators will show Rs 40.06 cr (33%).

PAT vs OCF divergence flags

  1. Standalone FY26: PAT +Rs 33.7 cr, OCF -Rs 13.7 cr, FCF about -Rs 32 cr, funded by +Rs 68.7 cr short-term bank borrowing and Rs 13.7 cr promoter warrant money. Consolidated OCF (+19.3) beat standalone, so subsidiaries generated about Rs 33 cr of OCF, consistent with intra-group receivables [Est.].
  2. Five-year consolidated OCF (Rs 187 cr) exceeds PAT (Rs 75 cr) only because interest (Rs 194 cr) sits in financing; post-interest the business consumed Rs 91 cr, funded by Rs 92 cr of net debt and Rs 47 cr of equity.
  3. Twelve-year consolidated FCF -Rs 84 cr and standalone -Rs 112 cr, against cumulative standalone PAT about Rs 195 cr.
  4. Supplier credit is a growing lever: payables rose from Rs 91 cr (FY23) to Rs 268 cr (FY26); without it OCF would be about Rs 166 cr lower over five years.
  5. Interest paid (Rs 49.1 cr) matches P&L finance cost (Rs 49.7 cr), so no capitalisation gap.

The cycle more than doubled from FY15 (207) to FY21 (444) and has improved to 262 as revenue scales over a relatively fixed raw-leather stock. Ind-Ra attributes it to integrated operations (own tannery), multi-location manufacturing, seasonality and raw-leather availability (BIL buys well ahead and buys matching lots for large custom orders, per ICRA). Debtor days have risen from 59 (FY23) to 73 (FY26). Budget 2026-27 extended the duty-free imported-input export period from 6 months to 1 year, which eases this.

The FY26 AR (PDF p.24 and p.47) also says IND BBB/Stable/IND A2; "BBB-" and "A3" occur nowhere in the decoded AR. The AR's one slip is calling it a "long-term issuer rating"; Ind-Ra's issuer rating has been withdrawn since 22 Sep 2023. No CRISIL or CARE rating on BIL (namesakes excluded). Group context only: ICRA had BUPL at [ICRA]BBB+ (Positive) on Rs 1,288 cr, withdrawn Jan 2025; Bhartiya City Residences [ICRA]BBB- on Rs 600 cr, withdrawn Jul 2026; CRISIL had assigned the same Rs 600 cr Crisil BBB+/Stable on 17 Dec 2025, the day it reaffirmed BUPL at Crisil A-/Stable and raised BUPL's rated debt to Rs 1,504 cr from Rs 1,300 cr (CRISIL rationales, added at QC review).

Nikhil Aggarwal (DIN 01891082), the promoter's nephew, is a non-executive non-independent director since 4 Oct 2007 (20,100 shares). The consolidated RPT note shows him on a group salary of Rs 46.86 lakh (FY25 Rs 41.94 lakh), presumably via an overseas subsidiary [Est.]; a "non-executive" director drawing an executive-scale salary weakens the classification [Analyst View].

The CG report says no loans were given to firms in which directors are interested; literally true, since BIL borrowed from BUPL. The H2 FY26 Reg 23 disclosure (Mar-2026) was not found.

Overall governance view [Analyst View]

Positives: clean audit and secretarial record, no pledge, no promoter selling, full use of preferential proceeds, credible IDs on paper (FCA audit chair, retired Lt. General, former ambassador). Negatives: a listed exporter inside a larger leveraged family real-estate group, with rising two-way dealings in FY26; no effective minority voice; two paid "non-executive" seats; overseas subsidiaries need parent credit. Score 5.5 of 10, negative bias until the Gottigere valuation and relocation terms and the BUPL loan peak are clarified.

Where pricing power sits [Analyst View]

LinkMargin profileWho sets price
Raw hide suppliersLow, cyclicalPrice-setters for a commodity; BIL is a price-taker and holds about a year of raw leather (buffer and mark-to-market risk)
Tannery (J&J)ModerateCaptive; integration benefit
Manufacture (BIL)Thin, labour-heavy: reported EBITDA about 9-10%; core ex-incentives and FX about 8.2%; ex-incentives with FX as cost about 6.1%Some premium on complex leather styles; cannot pass input inflation within a season
Brands / retailHigh (about 2-5x FOB)Hold most of the power: own the consumer, set target FOBs, multi-source; five of them are about 60% of sales
Governmentn.a.Material: export incentives about 33% of EBITDA; US/UK/EU tariffs swing competitiveness

BIL's integration captures tannery plus manufacturing margin; its weak point is working capital (about 360 days NWC per Ind-Ra FY25; Rs 532 cr debt against Rs 487 cr equity). Its leverage is niche-specific: leather outerwear has few scaled, compliant, vertically integrated vendors; 32% FY26 growth against a shrinking sector is consistent with that.

Porter's Five Forces

ForceIntensityCommentary
Buyer powerHighTop-5 about 60% of sales and 10%+ customer(s) 44.3% of standalone revenue; brands run multi-vendor programmes with price, sampling and chargeback terms. (Q4 FY26 margin was flat YoY, so the tariff period does not show visible give-backs.)
Supplier powerMediumHides sourced globally; competition from bulk buyers forces high inventory; own tannery gives partial control
SubstitutesMedium-HighPU/vegan leather, technical textiles, fashion and weather cycles; BIL hedges with PU and textile outerwear
New entrantsLow-MediumTannery permits (Supreme Court Jan 2025 Palar basin ZLD inspections), brand audits, design relationships and large WC; asset-light Chinese/Turkish/Pakistani suppliers can still enter programmes
RivalryHigh2,872 CLE members; China, Pakistan, Turkey; garments a US$416 mn niche where BIL is among few scale players

Moat and pricing power [Analyst View]

Moat: narrow, at best stable; a niche-scale advantage in leather apparel rather than a structural moat. No consumer brand, no cost leadership, no lock-in beyond season-to-season vendor approval. Pricing power: weak. Gross margin fell from 44.3% (FY24) to 38.9% (FY26) and EBITDA margin from 10.2% to 8.85% despite volume growth, consistent with buying share through price and onboarding costs. Q1 FY27 recovered to 9.67% (10.12% on the deck basis); it needs to hold. Working capital itself is a barrier: few entrants can fund 300+ days of inventory.

No consensus exists (no sell-side coverage). These are Aamara scenarios on stated assumptions, not forecasts. Q1 FY27 was about 20.6% of FY26 revenue on the prior year's seasonal pattern; Q1 FY27 tax rate 22.9%. If the conservative case meets a repeat associate loss, EPS is about Rs 27 and P/E about 35x. The scenarios do not fix cash conversion: on FY26's 16% OCF/EBITDA, even the base case would generate about Rs 24 cr OCF before interest.

Street sentiment synthesis

There is no street consensus: holders are the promoters (61%), two FPIs that have not traded in years (7.4%), three corporate holders with no disclosed thesis (Chartered Finance, Vinod Infotech, Parijata, 9.8%), one large individual (1.3%) and about 5,500 retail holders. Every algorithmic view has landed on Hold/Neutral. Views agree that revenue momentum is real, that the Feb-2026 tariff easing was the turning point, and that quality is weak. They disagree on whether Q1's Rs 17.8 cr PAT is a run-rate (FY23's Rs 63 cr was followed by Rs 0.2 cr), on valuation (about 50x earnings vs 2-3x book and 1.6-2x EV/CE), and on whether the BUPL stake is hidden value or a related-party drain. Sentiment moved from negative (Apr-May 2026) to a quiet bottom (Jun-Jul) to a sharp re-rating (Aug-Sep) to fading momentum (Oct), and is being tested ahead of Q2 FY27 on thin liquidity.

Aamara Capital verdict, 23 Oct 2026

TRACK

Bhartiya International's growth is real and its forward multiple is defensible once the associate and amortisation noise is stripped out, but profits do not turn into cash, related-party dealings with the promoter's real-estate group are rising and under-disclosed, and liquidity is too thin to build a position. We watch it against dated triggers rather than commit capital at Rs 956.

Bull case

  1. Share gains in a capability-scarce niche: +32% in FY26 and +33% in Q1 FY27 against a flat-to-falling sector, with tariff parity in the US and FTAs in the UK and EU.
  2. Earnings normalise sharply: brand amortisation (Rs 13.13 cr) is gone, operating leverage on a fixed raw-leather base, and FY27E core EPS of about Rs 40-49 [Est.] puts the stock near 19-24x.
  3. Credit repair: net leverage about 3.7-3.9x, below Ind-Ra's 4.0x upgrade trigger, utilisation easing; an upgrade lowers the cost of Rs 532 cr of floating debt.

Bear case

  1. Growth is bought with working capital: standalone OCF -Rs 13.68 cr, receivables +45.3%, 12-year FCF -Rs 84 cr; any order slowdown turns inventory into a liquidity problem with 83% of debt due within a year.
  2. The real-estate group keeps leaking into BIL: associate losses (Rs 17 cr in FY26), Rs 56 cr of associate loans with conflicting peaks, an undisclosed-price plant sale to the promoter group.
  3. At 49.6x trailing on 2.9% ROE, with no institutional holders and Rs 0.5-2.5 cr daily turnover, a Q2 miss or key-person exit (Outerwear head) can reprice the stock quickly; 10%+ customer(s) are 44.3% of standalone revenue.

Base case (12-18 months)

Revenue grows 15-20% toward Ind-Ra's Rs 1,700 cr path; EBITDA margin holds 9-10%; reported EPS rises on the amortisation end, but the associate keeps Q4 noisy and OCF stays well below EBITDA. The rating is affirmed or upgraded one notch. The stock trades in a wide range around today's level, driven by quarterly prints on thin volume.

Five things to remember

  1. Q4 FY26's Rs 8.78 cr loss was an associate loss; the fashion business made Rs 5.0 cr PBT at a 7.78% margin, flat YoY.
  2. Use filed EPS: TTM Rs 19.28, P/E 49.6x; FY26 OCF is Rs 19.28 cr per the AR, not Rs 40.06 cr per the results filing.
  3. Inventory Rs 688 cr (51% of assets) and CCC 262 days are the business model, not a blip.
  4. Rating is IND BBB/Stable/IND A2 (bank loans only; issuer rating withdrawn 2023); upgrade trigger below 4.0x.
  5. Gottigere (Rs 31 cr to a related party), the Rs 30 cr vs Rs 36 cr associate loan peak, and the 44.3% customer concentration are the undisclosed items that matter.

Five questions to ask before investing

  1. Who is the Gottigere buyer, what is the book value and independent valuation, and where and when does manufacturing relocate?
  2. Was the Bhartiya Urban loan peak Rs 30 cr or Rs 36 cr, and will BIL commit to no further associate borrowing?
  3. Who are the 10%+ customer(s) behind Rs 493.17 cr, and what are installed capacity and utilisation by product line?
  4. What is the plan to bring standalone OCF above PAT, and what inventory-days target is management working to?
  5. Will the company hold earnings calls, give quantified guidance, and resume the dividend it has promised three times?

Final opinion

TRACK. A genuinely improving exporter priced for its improvement, inside a group whose real-estate dealings and cash conversion we cannot yet underwrite. Revisit on the Q2 FY27 print (by 14 Nov 2026) with the H1 cash-flow statement and any Gottigere and associate-loan disclosure in hand.
