What the company does. Beta Drugs is a Baddi-based oncology drug maker in the Batra family's Adley Group. It makes cytotoxic and targeted cancer medicines as tablets, capsules, oral liquids, liquid and lyophilised injections, and prefilled syringes. It sells them through four channels: its own "Adley" brands to Indian hospitals (36% of FY26 revenue); contract manufacturing for companies such as Glenmark, Intas, Alkem, Cadila and Torrent (39%); tender exports to about 40 emerging-market countries (18%); and third-party API sales from its Adley Lab subsidiary (7%). It has also added dermatology (in-licensed from Italy and Greece) and, since April 2026, IVF drugs through a 66% stake in Nivian Lifesciences. FY26 consolidated revenue was ₹384.8 Cr and PAT ₹41.5 Cr. About 65% of that profit is earned in subsidiaries. [Fact]

Reconciliations: the figure this report uses, and the alternatives

#IssueFigure used in this reportAlternative and why it differsLabel
1ValuationP/E ~41x trailing consolidated (TTM owners' PAT ₹45.6 Cr, FD mcap ₹1,856–1,873 Cr); 3-yr average ~39x. EV/EBITDA ~22x (TTM EBITDA ₹83.3 Cr). P/B ~4.4x on book after conversion (~₹419 Cr, ₹377/sh).heard.md (Screener page) shows P/E ~117x, P/B ~11.7x and RoE ~10%. Those are on the standalone entity: standalone FY26 PAT is ₹14.3 Cr, only 35% of group PAT (₹1,867 Cr ÷ ₹14.3 Cr ≈ 130x). The forum's "60–145x" mixes standalone figures with book value before conversion. Screener's consolidated P/B of 7.0–7.2x uses the stale ₹241/sh book before the CCD conversion. MarketsMojo shows 45x / 8.35x / 27.3x on its own basis.[Est.]
2FY26 revenue and EBITDARevenue from operations ₹384.8 Cr (+6.2%). EBITDA excluding other income ₹75.7 Cr (19.7%).Management's "₹396 Cr net revenue" is total income (includes ₹11.2 Cr of other income, of which ₹9.9 Cr is FD interest). The deck's "₹86.85 Cr / 22.57%" EBITDA includes other income (75.67 + 11.18).[Fact]
3Promoter saleConfirmed (FY26 AR Note 11b). Neeraj Batra went from 66,58,746 to 64,73,631 shares, i.e. 1,85,115 shares sold. Bulk deal on 13 Nov 2025 at ₹1,686 (~₹31.2 Cr); Airavat Capital Trust II bought 1,55,925. Promoter holding 66.73% → 64.90% → 64.63% → 59.10%.Share counts reconcile every step: 65,51,392 ÷ 1,00,94,553 = 64.90% (Dec-25, before the 42,337-share conversion was counted); ÷ 1,01,36,890 = 64.63% (Mar-26: the 42,337 CCD conversion, not a further sale); ÷ 1,10,85,872 = 59.10% (Jun-26: dilution from 6,65,314 CCD shares + 2,83,668 Nivian swap shares). governance.md's "~27,000 sold in the Mar quarter" is therefore wrong, and narrative.md's "unconfirmed" is superseded. Neeraj Batra's 63.86% (Mar-26, ÷1.0137 Cr shares) and 58.40% (Jun-26, ÷1.1086 Cr) are the same 64,73,631 shares over different share counts. On 1,11,21,255 shares she holds 58.2% and the promoter group 58.9%.[Fact]
4Q1 FY27 organic growth~10.2% = (125.5 − 15.1 Nivian) ÷ 100.2market.md gives "~14% ex-Nivian" without a method. It would only reconcile if Nivian added about ₹11.4 Cr, not ₹15.1 Cr. Not adopted.[Est.] / 14%: [Est., method not disclosed]
5MD payRahul and Varun Batra each draw ₹1.51 Cr from Beta and ₹1.51 Cr from Adley Formulations, so ~₹3.02 Cr each. Group executive-director pay is ~₹6.8 Cr, ≈16% of consolidated PAT.The s.197(12) table shows only the Beta half (49.05x median). Beta-paid ED pay of ₹3.81 Cr is ~27% of standalone PAT. Special resolutions were passed (20th AGM 30 Sep 2025; 19th AGM 2024), so this is not a breach.[Fact]
6Credit ratingCRISIL BBB+/Positive (reaffirmed 20 Jan 2026 on ₹8 Cr). On 25 Sep 2026 CRISIL issued an advisory that it is "awaiting adequate information", which is not a reaffirmation. Brickwork BWR A-/Stable and A2 assigned on 6 Jul 2026 on ₹42.89 Cr.Brickwork had the company as "Issuer Not Cooperating" from 17 Jun 2020 to Jul 2026 (B+ INC Jan-24, B INC Apr-25). The FY26 CG report shows only Brickwork, as "No change", and omits CRISIL. Brickwork is also the monitoring agency for the CCD money.[Fact]
7NPPA trade-margin cap8 Oct 2026: NPPA gave in-principle approval to a 30%-of-MRP trade-margin cap on ~110 non-scheduled anti-cancer drugs. The Supreme Court floated a uniform 16% on 29 Sep 2026.A possible trigger for the 12–13 Oct fall (−4.6%, then −8.7/−9.5%; Shilpa −4.4%). Offset: on 11 Jun 2026 NPPA raised carboplatin and cisplatin ceilings by 50%.[Inferred]
8₹117 Cr CCD₹93.13 Cr unused at 31 Mar 2026 (only ₹23.87 Cr used) while carrying a 7.8% coupon (₹9.36 Cr in FY26). All converted by 25 May 2026. Brickwork is the monitoring agency.Conversion price ₹1,653.40 [Fact]. That is ~₹1,575 adjusted for the bonus; narrative.md's ₹1,643 is a source error.[Fact]
9Kacholia stake~11.0%: 4.91% direct + 6.13% via Suryavanshi CommotradeThe Suryavanshi–Kacholia link is from heard.md/Trendlyne only. The AR and governance.md cannot identify the holder. governance.md infers Kacholia sold ~39,000 shares in Q1 FY27; heard.md says the fall was dilution only.[Inferred]

The read

1. The core franchise is real. Domestic branded oncology grew from ₹82 Cr (FY24) to ₹103 Cr (FY25) and ₹123 Cr (FY26), then rose 47% to ₹33 Cr in Q1 FY27. Management puts its EBITDA margin at 35–36%. It sells 135+ products, reaches 85%+ of India's corporate and government hospitals, and has first-in-India NDDS oral liquids (Caxfila-OS ~₹10 Cr, the #1 brand; Adxate-OS methotrexate solution launched Apr-26). Consolidated gross margin has moved from 50.4% (Q1 FY26) to 55.5% (FY26) and 56.6% (Q1 FY27). If Beta were only this business, it would deserve a premium multiple. [Analyst View]

2. Management's forecasting is the problem. In May 2025 management talked about "₹750 odd crores by FY28" and did not push back on an analyst's ₹450 Cr for FY26. By Nov 2025 it said it "never gave ₹450 crores". In Feb 2026 it cut the FY26 guide from ₹420 Cr to ₹400 Cr. The actual was ₹384.8 Cr, +6.2%. Exports, guided at ">₹100 Cr in H2 FY26", delivered ~₹28 Cr. The EU-GMP inspection has slipped five times (Dec-23 → before Mar-25 → Oct–Dec 25 → Jan–Mar 26 → Sep-26), and no outcome has been announced. The FY27 guide went from ₹530 Cr at ~24% EBITDA (Feb-26) to "20–25% growth" (~₹462–481 Cr) without being called a cut. Each miss was put down to an outside cause: rains, audits, GST, NPPA, LatAm geopolitics.

3. Promoter selling came before the bad news. The FY26 AR confirms that Neeraj Batra sold 1,85,115 shares (~₹31 Cr at ₹1,686) on 13 Nov 2025. That was six days after the 7 Nov call had already trimmed growth guidance to 20–25%, eleven days before the Main Board listing, and about three months before the 14 Feb guidance cut that sent the stock down 19.6% intraday to ₹1,105. The buyer, Airavat (an AIF), is roughly at breakeven today. The sale is small (~1.8% of equity, below the SAST trigger), but the timing is poor.

4. Cash conversion has not kept up with profit. The cash conversion cycle went from 53 days (FY22) to 100 days (FY26); inventory days on COGS went from 87 to 159. OCF/EBITDA has been 0.44–0.52x for four years. FCF was −₹0.7 Cr in FY25 and −₹16.2 Cr in FY26, including ₹25.9 Cr of land; over five years cumulative FCF is ~₹18 Cr against PAT of ₹176 Cr. Meanwhile ₹93 Cr of the ₹117 Cr raise sat in deposits earning ~₹9.9 Cr while the CCD coupon cost ₹9.4 Cr.

5. Governance is weak. The two MDs draw ₹3.02 Cr each across Beta and Adley Formulations. The Directors' Report table shows only half of it. The statutory audit fee is ₹4.2 lakh, the report has no Key Audit Matters, and there is no other-auditor paragraph even though all subsidiaries are audited by a different firm. Adley Lab sells 69% of its output to group companies at transfer prices. The title to Adley Formulations' Barotiwala plant land sat in the deceased founder's proprietorship name, with a writ pending; the FY26 AR dropped the disclosure without explanation. A directors' partnership firm, Rishi Herbal Products, supplies the group. CRISIL says it is awaiting information. None of these is fraud. Together they argue against paying a high multiple.

6. There is a new regulatory risk. On 8 Oct 2026 NPPA gave in-principle approval to a 30% trade-margin cap on ~110 non-scheduled anti-cancer drugs (MRP cuts of 20–70%), with the Supreme Court floating 16%. That targets hospital-channel branded generics, which is exactly where Beta's best business sits. The cap leaves the manufacturer's price unchanged on paper, but hospitals that lose their spread will push back on purchase prices or switch brands. I think this is the most likely reason for the 12–13 Oct sell-off [Inferred]. The June 2026 50% rise in platin ceilings partly offsets it by reviving a ₹30–35 Cr platin line.

7. What supports the stock. Net cash is ~₹87 Cr (Mar-26, ex-CCD). The CCDs converted, so ₹9.4 Cr a year of coupon goes away. The holder register is strong: HealthQuad (healthcare PE, board nominee), Inti Capital, Airavat, and Kacholia-linked holdings of ~11% [Inferred]. These investors paid ₹1,575–1,712 a share (CCDs bonus-adjusted ~₹1,575; Airavat ₹1,686; Nivian swap ₹1,712), and the stock is now ₹1,669–1,684, back at their cost. On FY27 guidance, EV/EBITDA falls to ~17–18x.

8. What to watch. Q2 FY27 results (expected early-to-mid Nov 2026): exports need to run at ~₹30 Cr a quarter to reach the ₹105–110 Cr FY27 guide, and branded growth must hold above 20%. Then the EU-GMP outcome, the final NPPA notification and drug list (DGHS list was due 14 Oct), and Beta's exposure to non-scheduled molecules, which has not been disclosed. My stance is Neutral: a good franchise inside a company whose numbers and governance need constant checking, at a multiple that leaves little room for another miss. [Analyst View]

Business Deep-Dive

An oncology-focused specialty pharma group, backward-integrated into oncology APIs. It added derma/cosmetology in 2023 and IVF in 2026, and has five revenue verticals across three manufacturing entities and one marketing subsidiary. The group traces back to Vijay Batra's Adley Formulations proprietorship (oncology unit from 2008). Vijay Batra took over Beta Drugs Pvt Ltd in 2014 from Kiran Goyal, Deepak Kumar Prince Bharti and Rohit Bansal and refocused it on oncology.

How it is made

StepDetail
1. KSM → intermediate → API (Adley Lab, Derabassi)Multi-step synthesis from N-2/N-3 intermediates and KSMs imported mainly from China. FY26: bought an existing licensed chemical plant 50–70 m away for ~₹9.45 cr (land additions ₹9.78 cr), avoiding 3–5 years of NGT clearances. Intermediate plant costs ~₹27 Cr in total; the AR cites ₹10.45 Cr spent + ₹25 Cr planned, operational by end-Q3 FY27 (management: "end-CY2026"). Aims: DMF control, lower import dependence, +1–1.5pp margin, sale of surplus intermediates
2. Formulation (two Baddi-area plants)Contained cytotoxic oral solids, oral liquids, sterile liquids, lyophilised vials and PFS (AFPL). FY26 realignment: AFPL (Barotiwala) = domestic branded + CMO; BDL (Nandpur) = exports and regulated markets (still makes ~20–25% of domestic supply). Management calls Nandpur the "first cytotoxic suspension plant to be inspected by Europe"
3. InputsChemicals, salts and APIs; excipients and packing (vials, stoppers, blisters); petrochemical solvents (~5 months' buffer); power and DG sets (₹9.7 Cr). FY26 consolidated material cost ₹173.8 Cr on purchases of ₹185.9 Cr
4. OutsourcedDerma imports; Nivian's 11 CMOs (may move onto Beta's lines)

The Q1 FY27 profit increase was operational: EBITDA ex-OI rose ~₹7.7 Cr, the finance-cost saving (~₹0.7 Cr) was more than offset by lower other income (~−₹1.4 Cr), and the result was +41%. The FY26 "extraordinary expenses" were never itemised beyond CCD interest. The consolidated P&L carries ₹1.15 Cr (FY25 ₹0.69 Cr) of "interest on loan (holding company)", which looks like intercompany interest that was not eliminated. The sale (~1.8% of capital) is below the SAST Reg 29(2) 2% trigger; the PIT Reg 7(2) filing was not retrieved. Earlier inputs differ: narrative.md and governance.md called it unconfirmed and split it ~1.57 lakh (Dec) + ~27,000 (Mar). The share-count arithmetic above supersedes that. An insider database row shows 31,051 shares with a value of ~₹31.2 Cr, which is internally inconsistent. Pledge: nil (current and historical). Angel One/Tradebrains cite an interim "May-26" pattern of FII 2.95% / DII 6.01%, which conflicts with Jun-26 (unreconciled).

Land title (Barotiwala)

In FY25, AFPL's Kotla/Barotiwala land and main plant building, and the SCO-42 Panchkula showroom, stood in the name of "Adley Formulations (Prop. Sh. Vijay Kumar Batra)". CWP 7630/2021 was disposed of on 27 Jul 2022. A Revenue order of 11 Jan 2023 allowed mutation subject to stamp duty. CWP 1464/2023 challenged that, with an execution petition filed 10 Jul 2024 and the "outcome awaited". The stamp duty is unquantified and not in contingent liabilities. The FY26 AR dropped the disclosure, and AFPL's CARO now says title is in the company's name. Status: [UNVERIFIED — status not disclosed]

Where pricing power sits. Strongest: NDDS/first-to-market brands (Caxfila-OS, Adxate-OS, AB-Pacli) and branded TKIs sold to corporate hospitals (35–36% EBITDA), plus premium in-licensed aesthetics. Constrained: NPPA/DPCO-scheduled cytotoxics; the platin exit shows Beta has none under a ceiling. Weak: CMO (15–18% EBITDA; brand owners keep the margin) and L1 tender exports (27–30% → 20–21%). Upstream: Chinese KSM vendors have moderate leverage. New threat: the NPPA 30% trade-margin cap shifts power to hospital buyers that lose their spread. [Analyst View]

Structural trends: (1) Corporate hospitals capture large trade spreads, the target of the TMR and the Supreme Court case. (2) The market is shifting to targeted, IO and biosimilars; MNC top-5 ~18%; Beta has no biosimilar (NDA stage, 3–4 years away). (3) Patent cliffs open early-generic windows. (4) The oral shift (48% of Beta's branded sales) is highly exposed to the TMR. (5) Exports are L1 tenders; regulated markets need EU-GMP and BE. (6) CDMO: large firms outsource cytotoxics, and rivals are adding capacity (Shilpa +35%).

Porter's Five Forces, barriers and moat

ForceIntensityRationale
RivalryHighFragmented chemo generics; dozens of Baddi CMOs; many brands per molecule
Buyer powerHighHospital chains, L1 tenders, large CDMO clients
Supplier powerMediumAPI 65–70% captive, but China KSMs, platinum, vials
SubstitutesMedium-HighIO, ADCs and biosimilars displacing cytotoxics
New entrantsMediumContainment capex and NGT approvals (3–5 yrs) vs easy contract manufacturing for marketers

Barriers to entry: cytotoxic manufacturing moderate-high; branded oncology moderate; tender exports low-moderate (2–4 yr registrations); CDMO low-moderate. Moat: narrow, medium durability, resting on API-to-formulation integration, cytotoxic-dedicated LATAM-approved plants, 85%+ hospital reach with long CDMO relationships, and an NDDS oral-liquid niche. It can be eroded by the TMR, biosimilar-led rivals, CDMO clients insourcing, and L1 pricing. Beta is a price-taker outside NDDS. [Analyst View]

Final Verdict

Business Quality

Medium

Strong branded core (35–36% margin, +47%) inside low-margin CDMO and tender exports

Management Quality

Weak

Repeated guidance cuts, promoter sale before the cut, dual MD pay, ₹4.2 lakh audit

Financial Quality

Medium

Net cash ₹87 Cr; CCC 100 days; FY26 FCF −₹16 Cr

Valuation

Expensive

~41x P/E / ~22x EV/EBITDA; ~17–18x on FY27 guide

Overall View

Neutral

Wait for Q2 FY27, the NPPA notification and the EU-GMP outcome

Bull case

  1. Branded oncology compounds at 20%+ with NDDS first-launches; gross margin holds above 56%.
  2. Exports recover on delayed tenders, Azerbaijan/Philippines and EU-GMP, and platin revives after the +50% ceiling. Operating leverage plus zero CCD coupon lifts PAT ~40%.
  3. Smart-money cost band (₹1,575–1,712) and net cash limit downside; FY27E EV/EBITDA ~17x.

Bear case

  1. The NPPA 30% cap (or SC 16%) compresses hospital-channel economics just as branded becomes the growth engine.
  2. Another export/EU-GMP miss confirms the guidance pattern; FY27 lands at ~₹430 Cr; the multiple de-rates toward Venus/Natco (13–18x).
  3. Governance discount widens: overhang from PE/Nivian shares, CRISIL action, WC stretch, FCF still negative.
Base case (12–18 months): revenue ~₹460–480 Cr with ~10% organic growth plus Nivian, EBITDA ex-OI ~21%, owners' PAT ~₹55–60 Cr. The NPPA cap causes a quarter or two of trade disruption but no collapse in manufacturer realisation. The EU-GMP outcome is uncertain. The stock trades sideways in a wide band around the PE cost cluster until Q2/Q3 prove the export recovery. [Analyst View]

Five things to remember

  1. Use audited figures: revenue ₹384.8 Cr and EBITDA 19.7%, not ₹396 Cr and 22.6%.
  2. The promoter sold 1,85,115 shares at ₹1,686 on 13 Nov 2025 (AR-confirmed). The Jun-26 drop to 59.10% is dilution.
  3. Branded oncology is the only line that consistently meets guidance; exports and EU-GMP consistently miss.
  4. Cash conversion is poor: CCC 100 days, FY26 FCF −₹16 Cr, ₹93 Cr of the raise idle at Mar-26.
  5. The MDs take ~₹3.02 Cr each across two entities (~16% of group PAT); audit fee ₹4.2 lakh; no KAMs.

Five questions before investing

  1. What share of branded sales is in non-scheduled molecules caught by the NPPA 30% cap, and what is the PTD impact?
  2. Did the EU-GMP inspection take place in Sep-26, and with what observations?
  3. Why did the controlling promoter sell in Nov-25, and is any further selling planned?
  4. Has the Barotiwala land title been mutated and stamp duty paid? What is the quantum?
  5. What information is CRISIL awaiting, and why does the AR omit the CRISIL rating?
Bottom line: Beta owns a genuinely good, high-margin branded oncology franchise, but it sits inside a related-party-heavy group run by a management team that keeps missing its own numbers, with weak cash conversion and a new NPPA threat to its best channel. At ~41x trailing earnings, near the PE investors' entry price, we are Neutral. We would revisit after Q2 FY27, the NPPA final notification and a confirmed EU-GMP outcome. [Analyst View]
